These following terms and conditions apply to individuals who are accessing or using the Program both as a merchant (“we” or “merchant”) and an affiliate (“you” or “affiliate”) who refers customers to use product or service from the merchant.
By participating in the Program, Affiliate agrees to use the Program in the manner specified in, and are bound by, these Terms and Conditions. If you do not agree to these Terms and Conditions in their entirety you are not authorized to register as an Affiliate or participate in the Program in any manner.
It is required to make a disclosure of your affiliation with Doan Elite Nutrition whenever you promote our products or company on any social channels.
Do not post inappropriate content on your personal or business social media platforms, including but not limited to: illegal activity, offensive or discriminatory content, or explicit material.
Non-Compete Agreement
The Affiliate agrees that during the term of this Agreement and for a period of 12 months after the termination of this Agreement, they will not directly or indirectly compete in any activities or business endeavors that are similar in nature to or competes with the products and services provided by the Company, whether as an owner, manager, consultant, employee, or otherwise. This includes, but is not limited to, representing, promoting, or marketing a competitor's products or services, or engaging in any business activity that could reasonably be deemed to be in competition with the Company. The Affiliate acknowledges that such competition would result in irreparable harm to the Company and agrees that in the event of any breach of this section, the Company shall be entitled to an injunction, in addition to any other remedies available at law or in equity.
The Affiliate agrees not to engage in any activities or take any actions that may harm the reputation of the Company, its products, or services during the term of this Agreement and for a period of 12 months after the termination of this Agreement.
The Affiliate also agrees that they will not directly or indirectly solicit, approach, or do business with any of the Company's customers or clients during the term of this Agreement and for a period of 12 months after the termination of this Agreement.
The Affiliate acknowledges that this non-compete section is reasonable and necessary to protect the Company's business interests and that the Affiliate's compliance with this section is a material term of this Agreement.
If the Affiliate breaches any of the provisions of this non-compete section, the Company may terminate this Agreement immediately and retain any commissions or other payments owed to the Affiliate as liquidated damages.
This section shall survive the termination of this Agreement for any reason.

All content included on our website, such as text, graphics, logos, button icons, images, audio clips, digital downloads, data compilations, and software, is the property of Doan Elite Nutrition or its content suppliers and protected by United States and international copyright laws. The compilation of all content on this site is the exclusive property of Doan Elite Nutrition and protected by U.S. and international copyright laws. All software used on this site is the property of Doan Elite Nutrition or its software suppliers and protected by United States and international copyright laws. You may not copy, modify, distribute, display, transmit, reproduce, publish, license, create derivative works from, transfer, or sell any information, software, products, or services obtained from this website without the express written consent of Doan Elite Nutrition. You also agree not to alter or remove any proprietary notices from any materials obtained from the site.
Participation Agreement
By participating in our Affiliate Program, you agree to comply with all terms and conditions set forth in this Agreement. You agree to abide by all applicable laws and regulations in connection with your participation in the Program. You understand that we may terminate your participation in the Program at any time, for any reason, and without notice.
You acknowledge that the use of the Program and any products or services provided through the Program is at your own risk. We make no representations or warranties regarding the Program, the products or services provided through the Program, or the accuracy or completeness of any information available through the Program. We will not be liable for any damages of any kind arising from your participation in the Program, including, but not limited to, direct, indirect, incidental, punitive, and consequential damages.
You agree to indemnify, defend, and hold harmless Doan Elite Nutrition from and against any claims, liabilities, damages, losses, costs, and expenses, including, without limitation, reasonable attorneys’ fees, arising out of or in any way connected with your participation in the Program or your violation of this Agreement.
We reserve the right to modify, suspend, or discontinue the Program at any time, with or without notice, and we will not be liable to you or any third party for any such modification, suspension, or discontinuance.
You acknowledge that we reserve the right to block or remove contents or communications that we determine to be: (a) abusive, defamatory, or obscene; (b) fraudulent, deceptive, or misleading; (c) in violation of a copyright, trademark, or other intellectual property right of another; or (d) offensive or otherwise unacceptable to us in our sole discretion.
Please note that we may modify this Agreement at any time in our sole discretion, and such modifications will be effective immediately upon posting. Your continued participation in the Program after the posting of any modifications constitutes your agreement to be bound by the modified terms and conditions.
Liability and Warranty Disclaimer
We strive to provide accurate and reliable information on our website and products. However, we make no warranties or representations regarding the accuracy or completeness of the information provided on this site. The materials and products on this site are provided "as is" and without warranties of any kind, whether express or implied. To the fullest extent permissible under applicable law, we disclaim all warranties, express or implied, including but not limited to implied warranties of merchantability and fitness for a particular purpose.

In no event shall Doan Elite Nutrition be liable for any direct, indirect, incidental, special, or consequential damages arising out of or in any way connected with the use of the affiliate program or the products or services provided by Doan Elite Nutrition, whether based on contract, tort, strict liability, or any other legal theory, and whether or not Doan Elite Nutrition has been advised of the possibility of such damages.
In no event shall Doan Elite Nutrition be liable for any damages resulting from:
(i) the use or inability to use the affiliate program or any products or services provided by Doan Elite Nutrition;
(ii) unauthorized access to or alteration of your transmissions or data;
(iii) statements or conduct of any third party on the affiliate program;
(iv) any other matter relating to the affiliate program or any products or services provided by Doan Elite Nutrition.
Some jurisdictions do not allow the exclusion or limitation of incidental or consequential damages, so the above limitation or exclusion may not apply to you. In such cases, liability is limited to the fullest extent permitted by law.
Pricing Errors
While Doan Elite Nutrition strives to provide accurate product and pricing information on the website, typographical errors or inaccuracies may occur. In the event that a Doan Elite Nutrition product is mistakenly listed at an incorrect price or with incorrect information, Doan Elite Nutrition reserves the right to refuse or cancel any orders placed for the product listed at the incorrect price or with the incorrect information. Doan Elite Nutrition reserves the right to refuse or cancel any such orders whether or not the order has been confirmed and your payment method charged. If your payment method has already been charged for the purchase and your order is cancelled, Doan Elite Nutrition shall issue a credit to your payment method account in the amount of the incorrect price or incorrect information. Doan Elite Nutrition makes no representations or warranties regarding the accuracy, completeness, reliability or currency of the information on the website. The use of the website is at your own risk. Doan Elite Nutrition reserves the right to correct any errors, inaccuracies or omissions and to update information at any time without prior notice.
Approve or Reject of the Registration
We reserve the right to approve or reject ANY Affiliate Program Registration in our sole and absolute discretion. You will have no legal recourse against us for the rejection of your Affiliate Program Registration.
Notice
Any notice required or permitted by these Terms and Conditions shall be given by email and shall be deemed effective upon delivery by email or by other methods of communication.
Affiliate Links and Coupon
Affiliate link is automatically generated, but you can also generate an affiliate link for a specific product or collection. If a person clicks on someone else’s referral link and then later they click on yours, yours is the one that counts.
Affiliate might or might not be assigned to one coupon code with details and usage clarified on Dashboard. If customer both click on the affiliate link and use coupon code, you will not receive a double commission. If you’re not assigned a branded coupon, then you’re not allowed to promote the coupon.
Affiliate may also advertise our website on online channels such as Facebook, Instagram,... or offline classified channel ads, magazines, and newspapers.
Commissions and payment
Refer any customer to make a purchase on our website, you will get a commission amount which is calculated based on Commission structure. Commission amount is dependent on order value and not including extra fee (tax, shipping cost,...).
For an Affiliate to receive a commission, you need to specify the payment details on Settings. Payment schedule will be notified on Affiliate Guide page.
Payments will only be sent for transactions that have been successfully completed. Use of the Affiliate Program is subject to a fair use policy which gives merchant the right to review each and every referral order. Status of commission if displayed in Commission tab, any paid commission will be listed on Payment tab. Transactions that result in charge backs or refunds will not be paid out.
Affiliate Relationship and Obligations
The Affiliate acknowledges that they are an independent contractor operating on their own behalf. This Agreement does not create any partnership, franchise, joint venture, agency, or an employer/employee relationship. The Affiliate shall not hold themselves out as a representative, agent or employee of the Company and shall not make any warranties or representations on behalf of the Company.
The Company and the Affiliate agree to enter into a business relationship whereby the Affiliate will market and promote the Company’s products and services. The Affiliate agrees to use their best efforts to promote and market the Company’s products and services in accordance with the guidelines provided by the Company.
The term of this Agreement shall commence on the date of acceptance by the Affiliate and shall continue until either party terminates this Agreement. Either party may terminate this Agreement at any time without cause. The Affiliate agrees to give a month notice of their intention to terminate this Agreement. The Company may terminate this Agreement without advance notice.
The Affiliate acknowledges that they are solely responsible for any taxes and fees that may be required by law and that the Company will not be held liable for any tax obligations of the Affiliate. The Affiliate also acknowledges that they are not entitled to any benefits, such as insurance, retirement, or vacation pay, that may be provided to employees of the Company.
The Affiliate understands that the Company may terminate the Affiliate's participation in the program at any time for any reason. The Company reserves the right to withhold payment of any commissions earned by the Affiliate if the Company believes that the Affiliate has violated any of the terms of this Agreement.
By accepting this Agreement, the Affiliate agrees to the terms and conditions set forth herein and agrees to use their best efforts to promote and market the Company's products and services.
Website Code of Conduct
Marketing tool
We may share promotion media such as banner, logo or specific collection promotion to you through Marketing tool tab. You can download the media or get the HTML embed code in order to share on affiliate channels.
Cookie
We use a cookie to track people who have clicked on your link, so they need to be using cookies for us to track them.
If a person doesn't allow cookies or clears their cookies then we can't track them so can't pay earnings on that person's activity.
Cookies day is the tracking day that starts from the time a customer clicks on the affiliate’s link or use the coupon. Within the cookie time, every order made by this customer at merchant website will automatically result in commissions to the affiliate (There’s no need for the customer to click on the affiliate link then).
Removal from Referral Program
If an affiliate wishes to be removed from the affiliate program, they can do so by contacting: support@doanelitenutrition.com
