Terms and Conditions

Welcome to NMN Bio!

Thank you for joining our Affiliate Programme. These Terms and Conditions apply to individuals participating in the NMN Bio Affiliate Programme as either merchants ("we," "us," "merchant") or affiliates ("you" or "affiliate"). By participating, you agree to abide by these terms. If you do not agree with them in their entirety, you are not authorised to register or participate.

1. Affiliate Registration

We reserve the right to approve or reject any affiliate registration at our discretion. If we reject your application, you have no recourse.

Prohibited Affiliates: We do not accept coupon-only websites or business models that revolve primarily around discount aggregation. If your business model includes the use of discount codes, you must disclose this during registration. Failure to do so may result in withheld commissions or removal from the programme.

2. Affiliate Links and Promotional Methods

Upon approval, a unique affiliate link will be generated for you. You may also create custom links to promote specific products.

Link Attribution: If a user clicks on another affiliate’s link and later clicks on yours, the most recent link will receive the referral.

Promotional Channels: Affiliates can promote NMN Bio through approved online and offline channels, including blogs, social media, search ads, newsletters, and more, provided all promotional activities comply with these terms.

Coupon Codes and Combined Attribution: You may be assigned a coupon code to promote. If both your affiliate link and a coupon code are used on the same order, only one commission will be counted. Attribution is determined according to NMN Bio’s last-touch attribution model, which may give priority to one tracking source over another (for example, primary tracking platform over secondary network). NMN Bio’s attribution determination is final.

3. Commissions and Payments

Commission Structure: Affiliates earn up to 15% commission on qualifying orders, calculated on the net order value (excluding taxes, shipping, and refunds). Commission rates depend on the order type and customer history, as detailed in the affiliate dashboard. No lifetime commissions apply.

Commission rates, qualifying order categories, and payment thresholds may be modified at any time at NMN Bio’s discretion. Affiliates will be notified of any material changes in accordance with Section 13 (Modification of Terms).

Qualifying Orders: Commissions are paid on the following categories of orders:

• New customer acquisitions: orders placed by buyers who have not previously completed a purchase on the NMN Bio website.

• Reactivation orders (win-backs): orders placed by customers who have been inactive for at least 12 months, provided the affiliate actively drove the return through a tracked link or coupon code (not passive cookie attribution).

Orders from active customers, recently returning customers (less than 12 months since last purchase), or customers converting an existing relationship into a subscription do not qualify for commission, regardless of the affiliate link or coupon code used. NMN Bio reserves the right to determine order classification based on customer purchase history and attribution data available in our systems.

Payment Schedule: Payments are made monthly within the first 5 business days of the following month. You must provide a valid PayPal email address to receive payments.

Taxes: Affiliates are solely responsible for reporting and paying any taxes, social contributions, VAT, withholding obligations, or other levies arising from commission payments received under the Affiliate Programme. Commission payments are made gross of any such taxes. Affiliates are responsible for ensuring their own tax compliance in their country of residence.

Refunds and Chargebacks: Cancelled, refunded, or fraudulent transactions are not eligible for commissions. Any commission already paid on such transactions may be deducted from future payouts.

4. Marketing Tools

We provide promotional materials, including logos, banners, and HTML snippets, in your affiliate dashboard.

You may not alter our logo or brand identity without prior written approval from us.

5. Cookie Tracking

We use cookies to track affiliate referrals.

Cookie Duration: The standard cookie duration is 90 days from the last click.

Attribution: Only purchases made during the cookie window will be credited to your account, subject to the qualifying orders rules in Section 3. If a user clears cookies, switches devices, or disables tracking, we cannot guarantee commission attribution.

6. Prohibited Activities

To protect NMN Bio’s brand and to comply with health advertising standards, the following activities are strictly prohibited:

• Making medical or therapeutic claims (e.g., "cures disease," "treats diabetes," "reverses ageing").

• Using fake testimonials or manipulated before/after results.

• Creating unauthorised landing pages or misleading sales funnels.

• Placing NMN Bio links on adult, gambling, hate speech, or violent content sites.

• Spamming or engaging in misleading email marketing.

7. Paid Advertising Restrictions

Promoting NMN Bio products through paid advertising platforms (Google Ads, Meta, TikTok, and others) is permitted but subject to each platform’s own policies, which are stricter and more dynamic than general advertising rules. Compliance is the sole responsibility of the affiliate.

Platform-specific considerations

Google Ads. NMN is not currently listed as a prohibited substance in Google’s Unapproved Pharmaceuticals and Supplements policy. However, the broader Healthcare and Medicines policy prohibits any supplement ad that implies disease prevention, cure, or treatment, or that markets a supplement as equivalent to a prescription drug. Violations of the Healthcare and Medicines policy can result in account suspension without prior warning, and reinstatement is not guaranteed.

Meta (Facebook and Instagram). Supplement ads are allowed but tightly scrutinised. Claims related to anti-ageing, immunity, energy, cognitive function, or "supporting natural processes" can trigger rejection or restriction. Since January 2025, Meta operates a Health and Wellness category that limits audience-building features (custom audiences, lower-funnel conversion events) for businesses it classifies in this category. Affiliates running Meta campaigns for NMN Bio should expect heightened review and should avoid before-and-after framing for supplement results.

TikTok. Selling dietary supplements through TikTok Shop is limited to invite-only sellers and requires category qualification. TikTok Ads permits supplement promotion only with strict claim restrictions (no disease, cure, or treatment claims, no weight-loss claims for general supplements, no exaggerated transformations). Branded content must be disclosed using TikTok’s built-in commercial content toggle. Hashtags such as #ad alone do not satisfy the disclosure requirement.

Affiliate responsibilities

• Affiliates choosing to run paid ads assume full responsibility for compliance with each platform’s policies.

• NMN Bio is not liable for account suspensions, ad rejections, takedowns, financial losses, or any other consequence arising from paid advertising activity.

• Any paid ad campaign promoting NMN Bio products must be submitted for pre-approval (see Section 15) before going live, regardless of platform.

• NMN Bio reserves the right to withhold or reverse commissions on orders generated through non-compliant paid advertising.

8. Communications Consent

By registering as an affiliate, you consent to receive periodic emails from us related to the Affiliate Programme, including product updates, performance reports, and programme changes. You may unsubscribe at any time by clicking the unsubscribe link.

9. Affiliate Compliance and Marketing Guidelines

Affiliates are expected to promote NMN Bio products with integrity and professionalism.

Brand Guidelines: Follow our brand guidelines, including consistent use of our logo and brand colours.

Influencer Marketing: Influencers must ensure all sponsored content is disclosed (e.g., #ad, #sponsored), in accordance with UK ASA and CMA rules, as well as FTC rules for US-facing content.

10. Termination of Affiliate Status

Either party may terminate the affiliate relationship at any time, with immediate effect upon written notice (including by email).

If you wish to leave the programme, you may do so by emailing us at cedrick@nmnbio.co.uk.

Upon termination, any unpaid commissions on qualifying orders accrued prior to termination will be processed according to the payment schedule, subject to the refund and chargeback provisions in Section 3.

NMN Bio may terminate the affiliate relationship with immediate effect and without payment of accrued commissions in cases of material breach of these Terms, fraud, or activity that brings NMN Bio’s brand or reputation into disrepute.

11. Dispute Resolution and Jurisdiction

In the event of any dispute related to the Affiliate Programme, the parties agree to seek resolution first through good-faith negotiation. If the dispute remains unresolved after 30 days of negotiation, the parties may refer the matter to mediation by mutual agreement before pursuing litigation.

These Terms and Conditions are governed by the laws of England and Wales. The parties submit to the exclusive jurisdiction of the courts of England and Wales for the resolution of any disputes that cannot be settled through negotiation or mediation.

12. Limitation of Liability

To the maximum extent permitted by applicable law, NMN Bio shall not be liable for any indirect, incidental, consequential, special, or punitive damages, including without limitation loss of profits, loss of data, loss of business opportunities, loss of advertising platform access, or loss of goodwill, arising out of or relating to participation in the Affiliate Programme.

The total aggregate liability of NMN Bio under or in connection with the Affiliate Programme shall not exceed the total commissions paid to the affiliate during the six (6) months preceding the event giving rise to the liability.

Nothing in this Section limits or excludes any liability that cannot be limited or excluded under applicable law, including liability for death or personal injury caused by negligence, or for fraud or fraudulent misrepresentation.

13. Modification of Terms

NMN Bio reserves the right to modify these Terms and Conditions, including commission rates, qualifying order definitions, cookie duration, prohibited activities, and platform policies, at any time. Updated Terms will be made available to affiliates by email and/or through the affiliate dashboard.

Continued participation in the Affiliate Programme after the effective date of any modification constitutes acceptance of the updated Terms. Affiliates who do not agree with the updated Terms may terminate their participation in accordance with Section 10.

14. Privacy and Data Protection

Participation in the Affiliate Programme is subject to NMN Bio’s Privacy Policy and Cookie Policy, available at nmnbio.co.uk. By registering as an affiliate, you acknowledge that NMN Bio will process personal data (including contact details, payment information, and tracking data) in accordance with these policies and with applicable data protection laws, including the UK GDPR, the EU GDPR where applicable, and the Data Protection Act 2018.

Affiliates who promote NMN Bio products are independently responsible for complying with all applicable data protection laws in their own marketing activities, including obtaining valid consent for email marketing and other direct marketing communications, and providing appropriate privacy disclosures to their own audiences.

15. Affiliate Ad-Copy Approval Checklist (Mandatory Compliance)

To ensure NMN Bio is promoted legally and ethically, all affiliates must comply with the following ad standards.

📌 Pre-launch requirements

• Submit all ad copy, landing page URLs, email scripts, and creatives for pre-approval before publication.

• Request and reference a current Certificate of Analysis (COA) from NMN Bio when product quality is mentioned. COAs are available upon request at cedrick@nmnbio.co.uk.

• Include clear and visible affiliate disclosures. Example: "This post contains affiliate links and we may earn a commission if you buy."

• Include the standard medical disclaimer where appropriate: "This product is a food supplement and is not intended to diagnose, treat, cure or prevent any disease. Consult a healthcare professional before use."

❌ Forbidden practices (strictly prohibited)

• Disease or therapeutic claims (e.g., "treats Alzheimer’s", "reverses ageing").

• Claims of approval by MHRA, FSA, EFSA, FDA, or NHS without verifiable credentials.

• Paid or fake testimonials, or before/after photos without verifiable proof.

• Omission of affiliate status in posts, videos, blogs, or ads.

• Use of high-pressure, fear-based, or misleading tactics.

• Advertising through spam emails or unsolicited DMs.

✅ Sample approved phrasing

• "Supports NAD⁺ levels as part of a balanced lifestyle."

• "Formulated to complement your wellness routine."

• "Contains NMN, a molecule studied for its role in cellular health."

⚠️ Monitoring and enforcement

• Any affiliate breaching these guidelines may be suspended or permanently removed.

• NMN Bio reserves the right to request immediate takedown of non-compliant content.

• We may withhold commissions for violations or in cases of reputational risk.

16. US Regulatory Status

NMN is a lawful dietary supplement ingredient in the United States. On 29 September 2025, the U.S. Food and Drug Administration (FDA) confirmed that Beta (β) Nicotinamide Mononucleotide (NMN) is not excluded from the definition of a dietary supplement under the Dietary Supplement Health and Education Act (DSHEA). The FDA acknowledged evidence that NMN was marketed as a dietary supplement in the United States before it was authorised for investigation as a new drug. This decision reversed the FDA’s 2022 position. On 2 December 2025, the FDA issued follow-up letters formally reinstating the New Dietary Ingredient (NDI) acknowledgement for compliant suppliers.

What this means for affiliates

• NMN Bio products may be lawfully promoted to US-based customers as dietary supplements, in accordance with FDA’s clarified position.

• Affiliates may reference NMN’s lawful dietary supplement status when promoting products to US audiences.

• NMN Bio products are classified as food supplements in the UK and as dietary supplements in the US. All marketing must reflect the appropriate regulatory language for each market.

Important compliance reminders for the US market

• NMN supplements are not FDA-approved drugs. The FDA does not approve dietary supplements. Affiliates must never state or imply that NMN Bio products are "FDA-approved" or "FDA-endorsed."

• The NDI (New Dietary Ingredient) framework still applies to NMN. NMN Bio sources NMN from suppliers whose NDI status has been acknowledged by the FDA.

• All health-related claims must remain within the boundaries outlined in Section 6 and the Ad-Copy Approval Checklist (Section 15).

• The standard medical disclaimer must be included in all US-facing promotional materials.

• Affiliates promoting to US audiences must also comply with applicable FTC disclosure requirements (clear affiliate disclosures in all content).

17. UK and EU Regulatory Status

United Kingdom

In the United Kingdom, NMN is classified as a novel food currently under assessment by the Food Standards Agency (FSA). NMN Bio markets its products in accordance with applicable food safety and labelling regulations during the assessment period. As of 2026, the FSA has not yet issued a formal authorisation decision for NMN as a novel food.

European Union

In the European Union, NMN is classified as a novel food undergoing evaluation by the European Food Safety Authority (EFSA). In May 2026, EFSA adopted a positive scientific opinion recognising NMN as a source of nicotinamide (vitamin B3). Formal authorisation by the European Commission has not yet been granted at the time of publication of these Terms.

What this means for affiliates

• Affiliates promoting NMN Bio products to UK or EU audiences must use language consistent with food supplement regulations and must not imply medicinal properties.

• Do not claim that NMN is "approved" by the FSA, EFSA, or the European Commission.

• Authorised structure or function claims relating to specific vitamins or minerals in our formulations may be used where supported by EU Register entries. Generic "anti-ageing" or "cellular repair" claims are not authorised and must not be used.

• The standard medical disclaimer (see Section 15) applies to all UK and EU promotional materials.

✅ Final Acknowledgment

By participating in the NMN Bio Affiliate Programme, you agree to abide by these Terms and Conditions in full, including the Paid Advertising Restrictions, the Limitation of Liability, the Ad-Copy Approval Checklist, and the US, UK, and EU regulatory guidance set out above. Non-compliance may result in suspension or termination from the programme, and forfeiture of unpaid commissions.
