Pasage Affiliate Program Terms and Conditions

1. Introduction

Welcome to the Pasage Affiliate Program. By joining our program, you agree to adhere to the terms and conditions outlined below. These terms are designed to ensure a fair, rewarding, and legally compliant environment for all parties involved.

2. Enrollment in the Affiliate Program

• To enroll, complete the affiliate application on our website. Your application will be reviewed, and we reserve the right to accept or reject it based on our criteria (Insert Commission Rate Info Page Hyperlink).
• Affiliates must be 18 years or older to participate.

3. Affiliate Obligations and Compliance

• Affiliates must comply with all legal requirements and Pasage’s policies regarding advertising and data privacy.
• Affiliates are responsible for ensuring all their content is truthful and free from deceptive or misleading claims.
• Any use of unauthorized or inappropriate advertising methods will result in immediate termination and forfeiture of unpaid commissions.

4. Commission Structure

• Affiliates will earn a commission of 10-20% on sales generated through their affiliate links based on our criteria.
• An additional 5% commission is awarded for monthly sales exceeding $4,000.
• Maximum of 25%
• Commissions are calculated based on net sales (Include net sales hyperlink).

1. Reporting and Tracking

• All statistics concerning the affiliate program will be kept in a private access portal within the pasageusa.com website powered by Shopify and (Insert Affiliate app). From this portal, affiliates will be able to track sales, access Pasage’s intellectual property, view milestones, and manage your profile.

6. Payment Terms

• Payments are made monthly for the first month and bi-weekly thereafter, provided the affiliate has met a $50 minimum sales threshold.
• Payments will be processed through Mastercard, VISA, Apple Pay, PayPal, Discover, AMEX, ShopPay, GooglePay, METAPay, or Venmo.
• Affiliates are responsible for any taxes due on their earnings.

7. Cookie Duration

• Our program offers a 60-day cookie duration. Commissions are only earned on sales made within this period following an initial click-through.

8. Intellectual Property

• Affiliates are granted a non-exclusive, non-transferable license to use Pasage’s trademarks and branded materials as provided in the affiliate portal.
• All intellectual property rights remain with Pasage, and any misuse may result in termination of the affiliate agreement.

9. Termination and Modification

• Either party can terminate the affiliate relationship with (7) day written notice.
• Pasage reserves the right to modify these terms and conditions, commission rates, and payment schedules. Affiliates will be notified of any changes (7) days in advance.
• All unpaid commission will be paid in a final payment after termination is filed from either the affiliate or Pasage.

10. Limitation of Liability

• Pasage is not liable for indirect, special, or consequential damages arising in connection with this affiliate program.
• The affiliate program is provided 'as is' without any warranties.

11. Indemnification

• Affiliates agree to indemnify and hold harmless Pasage and its employees against any claims, damages, or expenses arising from their own actions.

12. Confidentiality

• Affiliates must keep any confidential information they receive through this program private and secure.

13. Governing Law

• This agreement is governed by the laws of Pennsylvania, and any disputes related to these terms will be subject to the exclusive jurisdiction of its courts.
• All parties will mediate and resolve disputes to the best of their ability before resorting to legal action.

Personal Information Controller

Any personal information provided to or gathered by UpPromote under this Privacy Notice will be stored and controlled by UpPromote (the data controller).

Information collected from Merchants

When merchant uses the app, we are automatically able to access certain types of information from your Shopify account such as email, first name, last name, shop information (shop domain, shop currency, shop address …). We collect this information to provide you with our Services; for example, to confirm your identity, contact you, provide customer support when you contact us, provide you with advertising and marketing activities.

Information collected from Affiliates

When an Affiliate signs up to join a program, we collect some information to inform merchants such as email, personal information, payment details and social network information,...The information would help merchant evaluate affiliate background and potential, along with process specific activities within the app and contact affiliate if needed.

Information collected from Customers when visiting merchant website

In order to track referral order, when customers visit merchant website and make a purchase, UpPromote system will collect information of order such as total order, order items, order ID,....

If you are using the system and wish to exercise these right, please contact us through management@pasageusa.com. We may require that you provide us with acceptable verification of your identity before providing access to such information.

If you are an affiliate and wish to exercise these rights, please contact the merchant you interacted with directly — we serve as a processor on their behalf, and can only forward your request to them to allow them to respond.
