General Terms and Conditions (GTC) for the Affiliate Program of Qi Blanco® UG (limited liability)

§ 1 Subject of the Agreement

The affiliate program of Qi Blanco® UG (hereinafter referred to as the "Merchant") enables partners (hereinafter referred to as the "Affiliate") to promote the Merchant’s products and services and to receive compensation for referred sales.

For this purpose, the Merchant provides special tracking links and discount codes, which the Affiliate may integrate into and promote through their own channels.

§ 2 Participation in the Affiliate Program

Participation in the affiliate program is only possible upon approval by the Merchant. The Merchant reserves the right to reject registrations without stating reasons. There is no entitlement to participation.

The Affiliate is obligated to provide complete and truthful information during registration.

§ 3 Use of Promotional Materials, Links, and Codes

The Affiliate is entitled to use the links and codes provided by the Merchant exclusively for the promotion of the Merchant’s products.

It is prohibited to use links or codes in a manner that violates the rights of third parties or damages the reputation of the Merchant.

In particular, the use of links or codes for paid advertisements, in anonymous or third-party comment sections, or without a direct connection to the product is prohibited.

§ 4 Commission Structure

All Affiliates receive a uniform commission of 10% on the net order value of each successfully referred sale.

§ 5 Exclusion of Commissions for Self-Purchases and Related Orders

Commissions are granted exclusively for orders based on an independent recommendation by the Affiliate to third parties.

A claim to commission shall not exist, in particular, for orders:

(5.1) Personal Purchases

Orders placed by the Affiliate themselves, regardless of whether such orders are placed using their own or third-party customer accounts, email addresses, or delivery addresses.

(5.2) Company Purchases and Affiliated Businesses

Orders placed by companies owned, controlled, or directly or indirectly participated in by the Affiliate.

This applies in particular to:

• The Affiliate’s own companies or business entities

• Affiliated companies within the meaning of § 15 AktG

• Economically affiliated organizations

(5.3) Repeated or Systematic Self-Use

Cases in which the Affiliate repeatedly or systematically uses their affiliate link or discount code for their own purposes or within their own economic environment.

This includes in particular:

• Repeated use by persons or companies within the Affiliate’s direct sphere of influence

• Use intended to obtain discounts on personal purchases or business expenses

§ 6 Right to Review and Reject Commissions

Qi Blanco reserves the right to review orders generated through affiliate links or discount codes to determine their eligibility for commission payments.

If Qi Blanco determines or reasonably suspects that an order violates the above provisions, Qi Blanco shall be entitled to:

• Reject the respective commission in whole or in part

• Cancel commissions that have already been recorded

• Reclaim commissions that have already been paid

A commission claim shall only arise after final verification and approval by Qi Blanco.

§ 7 Payment of Commissions

Commission calculations are based on the net sales amount (excluding taxes and shipping costs).

Commissions will only be credited for completed sales that have not been canceled or refunded.

The Affiliate is required to provide the Merchant with correct banking details and a valid billing address.

§ 8 Tracking and Cookies

The affiliate program is based on a cookie tracking system that enables the allocation of sales to the Affiliate.

The validity period of the cookies will be communicated within the affiliate portal.

Sales made outside the cookie validity period cannot be attributed to the Affiliate.

§ 9 Term and Termination

The agreement between the Merchant and the Affiliate is concluded for an indefinite period and may be terminated by either party at any time without stating reasons.

After termination of the agreement, no commissions will be granted for sales generated after termination.

§ 10 Liability and Warranty

The Merchant shall only be liable for intentional misconduct and gross negligence.

Liability for ordinary negligence is excluded, except in cases involving the breach of essential contractual obligations (cardinal obligations).

The Merchant shall not be liable for indirect damages, loss of profits, or consequential damages.

§ 11 Final Provisions

No verbal side agreements exist to these Terms and Conditions.

Amendments and supplements must be made in writing.

The laws of the Federal Republic of Germany shall apply.

Should any provision of these Terms and Conditions be invalid, the validity of the remaining provisions shall remain unaffected.

This Privacy Policy of UpPromote about Affiliate Marketing system describes how we may collect and use personal data and the rights granted to merchants, affiliates and customers regarding their respective data.

By joining the Affiliate program, you signify your approval of the terms set out in this Privacy Policy, and other terms and conditions. If you do not agree to this Privacy Policy, you must not use the affiliate marketing system.

We may update this Privacy Policy from time to time in order to reflect, for example, changes to our privacy practices or for other operational, legal, or regulatory reasons. By continuing to our affiliate program after these changes are posted, you agree to the revised policy.

Personal Information Controller

Any personal information provided to or gathered by UpPromote under this Privacy Notice will be stored and controlled by UpPromote (the data controller).

Information collected from Merchants

When merchant uses the app, we are automatically able to access certain types of information from your Shopify account such as email, first name, last name, shop information (shop domain, shop currency, shop address …). We collect this information to provide you with our Services; for example, to confirm your identity, contact you, provide customer support when you contact us, provide you with advertising and marketing activities.

Information collected from Affiliates

When an Affiliate signs up to join a program, we collect some information to inform merchants such as email, personal information, payment details and social network information,...The information would help merchant evaluate affiliate background and potential, along with process specific activities within the app and contact affiliate if needed.

Information collected from Customers when visiting merchant website

In order to track referral order, when customers visit merchant website and make a purchase, UpPromote system will collect information of order such as total order, order items, order ID,....

“Cookies” are data files that are placed on your device or computer and often include an anonymous unique identifier.

Cookies are created when a user's browser loads a particular website. The website sends information to the browser which then creates a text file. Every time the user goes back to the same website, the browser retrieves and sends this file to the website's server.

Information sharing

Ensuring your privacy is important to us. We do not share your personal information with third parties except as described in this privacy policy. We may share your personal information with third-party service providers who we employ to process specific functions; examples include providing email marketing activity, analyzing data and other marketing support,... Third-party service providers have access to personal information only as needed to perform their functions and they must process the personal information in accordance with this Privacy Policy.

We may also disclose your personal information to any third party with your prior consent.

Use of UpPromote app by Children

UpPromote is not intended for children. If you are under 13, you may use the affiliate marketing system only with the supervision of your parent or guardian.

Your Rights

UpPromote understands that you have rights over your personal information, and takes reasonable steps to allow you to access, correct, amend, delete, port, or limit the use of your personal information. If you are using the system and wish to exercise these right, please contact us through partner@qiblanco.com. We may require that you provide us with acceptable verification of your identity before providing access to such information.

If you are an affiliate and wish to exercise these rights, please contact the merchant you interacted with directly — we serve as a processor on their behalf, and can only forward your request to them to allow them to respond.
