TERMS OF INDEPENDENT CONTRACTOR AGREEMENT

1.      Contract Agreement:  I understand that this agreement is not binding until receipt and acceptance by TME Group, LLC. I have read it carefully, and agree to abide by all provisions of the Terms and Conditions that are with in this agreement.

2.      Adherence to TME Group, LLC Policies, Procedures & Regulations: I agree to adhere to by TME Group, LLC’s policies, procedures, and regulations which are a binding part of this Agreement.

3.      Independent Contractor Definition and Status: I am an independent contractor responsible for determining my own business activities and time spent and I am not an agent, employee, or legal representative of the Company. I will not represent in any manner that I am an agent, employee, or legal representative of the company. I am responsible for the payment of all federal and state self-employment taxes and other tax required under federal and state regulatory or taxing agency.

4.      Non-assignability and exclusivity: This Agreement is not re-assignable without written consent from TME Group, LLC Upon its acceptance by a TME Group, LLC officer, I am hereby appointed on a non-exclusive basis for the sales of energy-efficient solutions offered by TME Group, LLC

5.      Marketing & Marketing Support: I understand that I may use content from the TME Group, LLC website for and only for, marketing and sales of TME Group, LLC solutions in my business.  TME Group, LLC is very committed to supporting and protecting its active Contractors. 

6.      Independent Contractor Protection & Geographic Considerations: TME Group, LLC intends to provide its customer with no incentive to purchase from the internet over a purchase from an active contractor. As such, I understand that TME Group, LLC reserves the right for other reps to sell in my general sales area. A1 Nova Energy Inc. also reserves the right to sell in my general sales area any solutions to customers who order over the internet.

7.      Commissions: TME Group, LLC agrees to pay the Independent Contractor selling its solutions according to the attached Commission Payment & Schedule, which shall also be signed by both parties in this Agreement. 

8.      Governance: The laws of the state of Utah govern this Agreement. The parties agree that any claim, dispute, or other deference shall be exclusively resolved by a mutually-acceptable arbiter, whose decision will be binding. Additionally the arbitration shall be pursuant to the commercial arbitration rules of the American Arbitration Association with arbitration to occur at a location determined by TME Group, LLC within accordance to these rules.

9.      Agreement Totality: This Agreement, including TME Group, LLC policies, procedures, regulations, and Contractor’s Commission and Payment Schedule incorporated herein by reference, constitute the entire agreement between the parties herein, and no other additional promises, guarantees, representations or agreements of any kind shall be valid unless in writing.

Commission & Payment Schedule

As per its signed Agreement, A1 Nova Energy, Inc. agrees to pay the Independent Contractor selling its solutions according to this Commission Payment & Schedule, which shall also be signed by both parties in this Agreement. 

COMMISSION PAYMENTS:

As compensation for services rendered by the Independent Contractor, A1 Nova Energy Inc., shall pay Independent Contractor as follows:

·        $1.80/Any 2’, 3’, 4’ or U LED Lamp

·        $3.80/8’ LED Lamp

·        $9.80/4’ LED Emergency Backup Battery Light

·        $3.80/LED Can Light

·        $19.80/LED High Bay

·        $14.80/Any LED Low Bay, Exterior LED Wall Pack or Flood Light

1,000 Lamps/Month: $1.90/Any LED Lamps

2,000 Lamps/Month: $2.00/Any LED Lamps

We pay everyone at $1.80/ lamp weekly and at the beginning of the next month they receive a bonus check for level earned the previous month.

If you sell over 1,000 tubes you would be due an additional $.10 bonus on all the lamps you sold. If you sell 1,600 lamps in 1 month your bonus would be $160. (1,600 x $0.10 = $160)

If you sell over 2,000 tubes you would be due an additional $.10 bonus on all the lamps you sold. So if you sell 2,800 LED tubes in 1 month you would be due $560 bonus (2,800 x $0.20 = $560)

Quick Start Bonus – Minimum 5 sales completed in the 1^st month: $0.50 bonus/lamp on all sales in the first 30 days. Calculated from your start date through the next 30 day calendar month, example: You start the 15^th of February, your 1^st bonus would be calculated from February 15^th through March 30^th.

Payment Schedule:

We run Sunday to Saturday so whatever sales you have made by Saturday eve put on the commission request form. We ask you to fill out the commission request form at the end of each week. Tell us what the week ending date is?

Sales Reps are to submit by Monday and commissions will be paid the following Friday.

TME Group shall make commission payments in accordance with the independent contractor’s preference that they will specify on the Commission Payment Method Form.
