Urban Celestial Brand Ambassador Program Terms & Conditions

The Urban Celestial Brand Ambassador Program (hereinafter referred to as "the UCBA Program") is managed by Urban Celestial (hereinafter referred to as "the company," "we," "us," or "our"). We reserve the right to modify the Program rules and benefits at any time, without prior notice. By applying for and being accepted as a Brand Ambassador for Urban Celestial, you agree to adhere to the Terms & Conditions, which may be updated periodically without prior notice.

Requirements to consider:

  1. You must be 18 years old or older to participate in this program.
  2. You must live within the United States for more than a month.
  3. You must be authorized to work in the United States.
  4. You acknowledge and understand that your participation in the Program does not make you an employee, partner, agent, consultant, or co-venturer of Urban Celestial or its affiliates. Within the law, you are seen and will be treated as an independent contractor, and this is a commission-based referral program.

 

As a participant in the UCA Program, you acknowledge and understand that you are solely responsible for reporting and paying any taxes associated with the commissions you earn. It may be necessary for the company to provide you with a Form 1099-MISC for tax purposes.

 

Our expectations from our brand Ambassadors / policies

As a brand ambassador for Urban Celestial, you are an important part of our team and play a vital role in representing our brand to the public. We appreciate your efforts and are committed to supporting you in your role as a brand ambassador.

To ensure the success of our brand ambassador program and maintain the integrity of the Urban Celestial brand, we have established the following policies:

  • As a brand ambassador, you are expected to adhere to the highest standards of professionalism and integrity. This includes, but is not limited to, complying with all applicable laws and regulations and refraining from making false or misleading statements about the Urban Celestial brand or its products.
  • You are also expected to maintain a positive and respectful demeanor at all times while representing the Urban Celestial brand.
  • You are required to promote the Urban Celestial brand and its products through social media and other means as agreed upon by the Brand Owner. You are expected to use your best efforts to generate sales and increase the brand's visibility.
  • You may not promote or represent any competing brands or products during the term of your contract with Urban Celestial or for a period of [agreed upon number] months after its termination.
  • Any content that you create and share while representing the Urban Celestial brand must comply with the terms of this brand ambassador policy and the terms of service for Urban Celestial.
  • Urban Celestial reserves the right to terminate your contract and your status as a brand ambassador at any time for any reason.

By becoming a brand ambassador for Urban Celestial, you agree to adhere to this brand ambassador policy and the terms of service for Urban Celestial.

 

Commission

As a brand ambassador, you will have the opportunity to earn commissions on qualifying purchases made by customers who are referred by you. To qualify for a commission, the customer must make a purchase through your unique link or with your unique code. This will automatically be entered as a commission valid purchase and your commission will be tallied for disbursement at the end of the month.

When a person completes an order on the Urban Celestial website or app, you will earn a commission on their total purchase amount (excluding sales tax, returns, discounts, and shipping costs). The commission rate is 4% of the purchase amount. Please note that commissions are not available for withdrawal until 30 days after the relevant order has been placed.

You may request an early imbursement of your commission balance if you have under a maximum balance of $30 in commissions that were unpaid. The company reserves the right to modify the commission rate and eligible purchases at any time, in its sole discretion.

 

Termination

As a brand ambassador, it is your responsibility to adhere to the Terms & Conditions of the Program. We are not responsible for any wrongdoing performed by Brand Ambassadors. If we become aware of any violations of these terms by you, we reserve the right to terminate your ambassador status and withhold any unpaid commissions. Once your brand ambassador status is terminated, you will no longer be eligible to receive any commissions, rewards, benefits, promotions or take part in events associated with the Program.

Please be aware that the Program is subject to modification, being placed on hold, or termination at any moment and without prior notice. These modifications might affect the commission rate, create new limitations, loosen limitations, or even discontinue the Program altogether. It is your duty to remain current on any Program changes.

 

Disclosure

The Urban Celestial Brand Ambassador Program's Terms and Conditions are set forth to govern the relationship between the Brand Ambassadors and Urban Celestial. These terms and conditions may be incomplete, but they are in full effect and binding upon all parties involved. Please note that the terms and conditions of this program may differ from other terms and conditions, including those in a contract. In the event that there are inconsistencies or conflicts between the terms and conditions of this program and the contract, the more limiting or restrictive provision will govern. By participating in this program, you acknowledge that you have read, understand, and accept these terms and conditions, as well as any updates or modifications that may be made from time to time.

  • Disclosure for a business purpose: shared with our processor Shopify and temporary affiliated vendors to fulfill purchased orders. Urban Celestial and temporary affiliated vendors are two separate entities, therefore, Urban Celestial is not responsible for any issues caused by temporary affiliated vendors.

Minors

The Site is not intended for individuals under the age of 18. We do not intentionally collect Personal Information from children. Sharing Personal Information

We share your Personal Information with service providers to help us provide our services and fulfill our contracts with you, as described above. For example:

  • Temporary denylist of IP addresses associated with repeated failed transactions. This denylist persists for a small number of hours.
  • Temporary denylist of credit cards associated with denylisted IP addresses. This denylist persists for a small number of days.

We are using a text messaging platform, which is subject to the following terms and conditions. By opting-in for our text marketing and notifications, you agree to these terms and conditions.
By entering your phone number in the checkout and initializing a purchase, subscribing via our subscription form or a keyword, you agree that we may send you text notifications (for your order, including abandoned cart reminders) and text marketing offers. You acknowledge that consent is not a condition for any purchase.
