Rocket Distribution LLC: Alchemy Labs Nutrition Affiliate Program
BY CLICKING THE "JOIN” CHECKBOX BELOW, AFFILIATE IS AFFIRMATIVELY STATING THEY HAVE READ AND UNDERSTAND THE TERMS AND CONDITIONS SET FORTH AND AGREE TO BE BOUND BY THESE TERMS AND CONDITIONS IN THEIR ENTIRETY FOR THE DURATION OF THIS CONTRACT.
The following terms and conditions apply to individuals participating in the Rocket Distribution LLC — Alchemy Labs Nutrition (“Alchemy Labs”) Affiliate Program (the “Program”) as an affiliate (“Affiliate”). An Affiliate is an individual who promotes or refers customers to purchase Alchemy Labs’ product(s) and/or service(s). By participating in the Program, Affiliate agrees to be bound by these Terms and Conditions. If Affiliate does not agree to all Terms and Conditions as laid out in this contract, Affiliate is not authorized to register as an Affiliate or participate in the Program in any manner.
- Affiliate Registration
Affiliate has no legal claim or recourse against Alchemy Labs for the rejection of Affiliate’s Program registration. Alchemy Labs, in its sole discretion, reserves the right to approve or reject any Program applicant.
A. If accepted into the Affiliate Program, Affiliate will be sent an email via UpPromote, an affiliate software utilized by Alchemy Labs, which will allow Affiliate to access their profile, see sales associated with their profile, and access our brand guide with approved content from the Alchemy Labs media team.
A second email with the Affiliate’s assigned discount code (“Code”) and link (“Link”) will be generated and delivered to Affiliate. The purpose of this Code is to refer new customers/followers to Alchemy Labs’ website to purchase products/services. Codes are prohibited from being added to any discount websites. Alchemy Labs regularly searches discount sites for Affiliate codes; violation of this condition will result in immediate termination of the associated Affiliate’s contract and all sales from Affiliate will be deemed null and void.
B. Report of Sales: To view Affiliate’s sales and reports, Affiliate will be given access to a password-protected site, with a personalized login (username/password), to receive their sales statistics on a daily basis. Sales may take up to 24 hours to reflect in Affiliate portal.
2. Commission Payments
When Affiliate refers a customer to make a purchase on Alchemy Lab’s website, Affiliate will earn a 20% commission (“Commission”) on the purchase price of the customer’s order if the customer placed the order using Affiliate’s Link and/or Code. Commissions will typically appear on UpPromote in under 5 days. Commission Payments are sent to PayPal email provided by affiliate on their UpPromote account, once a minimum threshold of $100 is met via sales commissions using their code.
A. Cookies:
For Link tracking purposes, Alchemy Labs uses cookies, which enables UpPromote to monitor who has clicked on Affiliate’s link. To ensure use of Affiliate’s link is accurately tracked, Affiliate should advise each customer using the Link to enable cookies on their browser. If a customer does not allow cookies or clears their cookies prior to using the Link to make a purchase, Alchemy Labs will be unable to track Link usage and thus will be unable to pay Commission on the customer’s purchase.
B. Review of Orders
Alchemy Labs reserves the right to review every order placed using Affiliate’s Code and/or Link. If an order appears to be made in bad faith, either due to being a personal order for Affiliate or any other arrangement evidencing bad faith, Alchemy Labs may, in its sole discretion, cancel the order and/or remove Affiliate from the Program.
3. Affiliate Best Practices
Affiliates are expected to hold themselves to the highest standard possible, legally and ethically, including, but not limited to:
- Clearly inform & disclose your affiliation with Alchemy Labs when you post and promote.
- Be as authentic as possible. As an Affiliate, you represent the brand. We have spent a long time developing the integrity of the brand, and we expect every Affiliate to do the same.
- All statements made on posts made via social media platforms need to be true, accurate, and comply with all terms and conditions of the platform(s) or site(s) that Affiliate is posting on. Affiliate is solely responsible for ensuring that reviews, descriptions, and articles on their site comply with applicable copyright, FTC disclosure and other laws. You must have express permission to use another party's copyrighted or other proprietary material. We are not responsible for violations.
- Affiliate agrees to act in a socially responsible and moral manner, and if, at any time during Affiliate’s participation in the Program, Affiliate is convicted of any crime or engages in any behavior that tends to bring Affiliate to public disrepute, or that may shock, insult or offend the community or public decency, using a reasonable person standard, or may prejudice Alchemy Labs, or which results in actual or threatened claims against Alchemy Labs, Affiliate shall be disqualified and removed from the Affiliate Program.
- Affiliate shall not disparage, criticize or otherwise remark negatively about Alchemy Labs or any of Alchemy Lab’s affiliates, subsidiaries, representatives, directors, officers, agents, partners, employees, products, services or business, either publicly or privately.
4. Social Media Posting Requirements
Affiliate agrees to post and promote the brand as much as possible. To maintain position as an Affiliate, the following conditions must be met:
- Have “@alchemy_labs” in your bio or have appropriate social media handle for the given platform
- Affiliate will tag Alchemy Labs in 1-2 feed posts per week, either on the post on in the captions.
- Affiliate will tag Alchemy Labs in 3-5 stories per week.
- Affiliate agrees to post additional promotional/ marketing material when necessary and requested by Alchemy Labs.
5. Licenses and Use of the The Company's Logos and Trademarks
WE GRANT YOU A NON-EXCLUSIVE, NON-TRANSFERABLE, REVOCABLE RIGHT TO (i) ACCESS OUR SITE THROUGH THE LINKS IN ACCORDANCE WITH THE TERMS OF THIS AGREEMENT AND (ii) SOLELY IN CONNECTION WITH SUCH LINKS AND UNDER THE CONDITIONS PROVIDED FOR HEREIN, TO USE OUR LOGOS, TRADE NAMES, TRADEMARKS, AND SIMILAR IDENTIFYING MATERIAL RELATING TO US (COLLECTIVELY, THE ‘LICENSED MATERIALS'), FOR THE SOLE PURPOSE OF SELLING PRODUCTS ON YOUR SITE FOR THE COMPANY. YOU MAY NOT ALTER, MODIFY, OR CHANGE THE LICENSED MATERIALS IN ANY
WAY WITHOUT WRITTEN PERMISSION. YOU ARE ONLY ENTITLED TO USE THE LICENSED MATERIALS WHILE YOU ARE A MEMBER IN GOOD STANDING OF THE ALCHEMY LABS AFFILIATE PROGRAM.
Affiliate shall not make any specific use of any Licensed Materials for purposes other than selling products on your site for Alchemy Labs, without first submitting a sample of such to management and obtaining the prior written consent of Alchemy Lab’s Affiliate Program Manager, which shall not be unreasonably withheld. We reserve all of our rights in the Licensed Materials and of our other proprietary rights. We may revoke your license at any time, by giving you written notice.

6. Spamming & Improper Promotion
A. Affiliate agrees to not utilize SPAM in promoting Alchemy Labs. This action
will result in the immediate termination of the Affiliate's account with a cancellation of any pending commissions. Affiliate will also be in violation of the Program and subject to legal action and be held liable for any financial loss incurred by Alchemy Labs. For the purpose of this agreement SPAMMING is defined as contacting ANYONE, in bulk or by single mailing, about Alchemy Labs, who has not specifically requested the
information directly from the Affiliate.
Alchemy Labs considers ANY type of advertisement about the company posted to a Newsgroup or Chat Room not run by the Affiliate to be spam. Alchemy Labs also considers any Affiliate commenting their personal coupon code on any of our social media ads, promotions, or any other Affiliate pages or posts, to be in violation of our agreement and will be considered for removal from the Program.
B. Promotion or sale of Alchemy Lab’s products through Google Shopping, Amazon, Ebay, or other Product Listing Ads or Sites (owned or not owned by Affiliate), are not allowed unless express written permission is provided by Alchemy Labs.
7. Non-Solicitation of Customers:
Affiliate agrees not to solicit or attempt to solicit, directly or indirectly, for any
purpose that is not in the interest of Alchemy Labs, any customers of Alchemy Labs with which Affiliate had any contact during the term of this Agreement, whether or not the
customer is located within the Territory, during the term of this Agreement and for a period of two (2) years following termination of this Agreement, and notwithstanding the cause or reason for the termination of this Agreement. Affiliate agrees that Alchemy Labs has good will among its customers. Affiliate agrees that the temporal restrictions of this provision are reasonable.
8. Lifetime Affiliation
A. If an Affiliate is inactive in the Program for a period of 90 days, with no sales to new customers, Alchemy Labs reserves the right to remove the customer lifetime association of all Affiliate customers and place that association directly with Alchemy Labs.
B. Alchemy Labs engages Affiliate, and Affiliate agrees to be engaged, by Alchemy Labs. The term of this Agreement shall commence on today’s date and shall continue through its termination. Either party may terminate this Agreement without cause. Affiliate agrees to provide thirty (30) days' advance written notice of termination. Alchemy Labs may terminate this Agreement without advance notice. Affiliate acknowledges that he/she is an independent contractor and that no employer-employee relationship, joint venture, partnership or agency relationship is created by this Agreement.
9. Non-Compete:
Affiliate agrees not to directly or indirectly compete with the businesses of Alchemy Labs and its subsidiaries and affiliates, to include, but not limited to Rocket Distribution L.L.C., Alchemy Labs Nutrition, or any other business owned or partially owned by Brody Beach, during the term of this agreement for a period of one (1) year following termination of this Agreement within the Territory and not
withstanding the cause or reason for the termination of this agreement.
The term 'non-compete' as used herein shall mean that the Affiliate shall not
own, manage, operate, consult with, officially represent, or be employed by or in a business substantially similar to or competitive in any way with the business of Alchemy Labs, its subsidiaries, affiliates, or such business activity in which Alchemy Labs may substantially engage during the term of this agreement and for a period of one (1) year following this agreement.
This Agreement is binding upon and will inure to the benefit of the parties, their successors, subsidiaries, affiliates, and personal representatives. I acknowledge that I have read and fully agree to the terms of this Affiliate Agreement.
Affiliates are not permitted to participate in the Program if they are currently employed by a retail store that actively sells any Alchemy Labs products.
10. Pricing and Availability
Alchemy Labs may change pricing and/or availability of its products and/or services at any time. Accordingly, Affiliates should not include pricing information or any assurances of availability to potential customers in order avoid misleading and/or disappointing potential customers.
