Partner Terms & Conditions
These Terms & Conditions ("Agreement") govern participation in the All The Fauna Nonprofit Funding Program ("Program"). By submitting a registration form and joining the Program, the participating organization ("Partner") agrees to be bound by this Agreement.

1. Definitions
"All The Fauna" means All The Fauna LLC, a California limited liability company, operating at allthefauna.com.
"Partner" means A tax-exempt nonprofit organization approved to participate in the Program.
"Program" means The All The Fauna Nonprofit Funding Program, through which approved Partners receive funding on referred sales.
"Shopping Link" means A unique tracking URL assigned to each Partner by All The Fauna through UpPromote, used to attribute referred customer purchases. This term corresponds to "Shopping Link" as it appears in the Partner dashboard.
"Referral Order" means A completed, paid customer purchase on allthefauna.com that is directly attributable to a Partner's Shopping Link within the applicable cookie window.
"Funding" means The monetary payment earned by a Partner for each qualifying Referral Order, calculated as a percentage of the eligible order value. This term may also appear as "Earnings" in the Partner dashboard.
"Gross Sale" means The total customer-paid product price on a qualifying order, excluding taxes, shipping charges, and any applicable discounts or refunds.
"UpPromote" means The third-party platform (Secomapp) used by All The Fauna to manage Shopping Links, referral tracking, and funding payments.
"Return Window" means The period during which a customer may request a return: 30 days from the date of delivery for domestic orders, and 14 days from the date of delivery for orders shipped to the European Union.
2. Program Description
The All The Fauna Nonprofit Funding Program is a cause-commerce referral program in which approved nonprofit organizations participate as Partners. Partners promote All The Fauna's products using their assigned Shopping Link. When a customer completes a qualifying purchase through that link, the Partner receives funding.
Funding paid under this Program is structured as an ordinary referral payment — a business expense of All The Fauna — and does not constitute a charitable donation or gift. Partners are responsible for characterizing and reporting received funding in accordance with their own tax obligations and nonprofit compliance requirements.
3. Eligibility
To participate in the Program, an organization must:
• Be a tax-exempt nonprofit organization recognized under applicable law (e.g., 501(c)(3) status in the United States or equivalent).
• Have a legitimate, publicly accessible web or social media presence aligned with animal welfare, rescue, conservation, or related causes.
• Agree to and comply with all terms of this Agreement.
• Maintain good standing throughout the duration of their participation.
All The Fauna reserves the right to approve or deny any application at its sole discretion and without obligation to provide a reason for denial.
4. Funding Structure
Approved Partners receive funding of 20% of the Gross Sale on each qualifying Referral Order. All The Fauna reserves the right to modify the funding rate at any time, subject to the notice requirements described in Section 15 (Amendments). Partners who do not accept a modified funding rate may terminate their participation without penalty prior to the effective date of the change.
Funding is calculated on the Gross Sale value only. The following are excluded from the funding calculation:
• Sales tax, VAT, or any government-imposed tax or levy
• Shipping and handling charges
• Promotional discounts, coupon reductions, or store credits applied to an order
• Tips, donations, or optional add-on charges
Funding is earned only on orders that are successfully paid, fulfilled, and not subsequently returned, refunded, or charged back. If a customer initiates a return within the applicable Return Window and a refund is issued, any funding previously credited for that order will be reversed or offset against future payments.
5. Attribution & Shopping Link Tracking
Referral attribution is managed by UpPromote using browser-based cookie tracking. When a customer clicks a Partner's Shopping Link, a tracking cookie is placed on the customer's browser. All qualifying purchases made by that customer within the cookie window will be attributed to the Partner.
Cookie window: 30 days from the date of the initial link click.
All The Fauna is not responsible for referrals lost due to:
• A customer's browser blocking, disabling, or clearing cookies
• Ad blockers, privacy extensions, or browser settings that prevent cookie placement
• Customers navigating to allthefauna.com through a different link after the initial click
• Technical interruptions outside All The Fauna's reasonable control
Shopping Links are non-transferable and may not be shared with or used by any other organization or individual.
6. Payment Terms
Funding payments are made through UpPromote via PayPal. Partners must provide valid PayPal payment details in their Partner account settings before any payment can be processed. All The Fauna is not responsible for delays caused by missing, incomplete, or incorrect payment information.
Partners may submit payment requests up to the 10th of each calendar month. Approved payments will be issued on the 15th of that same month."
If a customer subsequently returns an order and a refund is issued, the corresponding funding will be reversed and offset against the Partner's balance in the next payment cycle.
Funding becomes eligible for payment only after the corresponding order has satisfied all three of the following conditions:
• Paid. Paid in full by the customer
• Fulfilled. Fulfilled and shipped by All The Fauna's corresponding production partner
• Cleared. Outside the applicable Return Window with no return request or refund initiated. For domestic orders, this is 30 days from the date of delivery. For orders shipped to the European Union, this is 14 days from the date of delivery.
Defective or damaged items replaced by All The Fauna at no charge to the customer will not result in funding reversal, provided the replacement is fulfilled on the same original order.
Minimum payment threshold: All The Fauna reserves the right to hold payments until a Partner's pending balance reaches a minimum of $10.00 USD. Balances below this threshold will roll over to the following payment period.
Partners are solely responsible for any PayPal fees, wire fees, currency conversion costs, or taxes applicable to received payments. All The Fauna will not gross up payments to cover such costs.
7. Partner Obligations
By participating in the Program, each Partner agrees to:
• Promote All The Fauna and its products honestly, accurately, and in a manner consistent with All The Fauna's brand guidelines.
• Disclose the referral relationship clearly in all promotional content, in compliance with applicable laws including FTC guidelines (e.g., "We receive funding when you purchase through this link, which supports our organization").
• Use only the Shopping Link assigned to them and not modify, disguise, or redirect it in any way that circumvents UpPromote's tracking system.
• Comply with all applicable laws, regulations, and platform policies governing their promotional activities.
• Keep their Partner account information current and accurate, including contact information and payment details.
• Promptly notify All The Fauna of any changes to their nonprofit status or eligibility.
8. Prohibited Conduct
The following are strictly prohibited and will result in immediate removal from the Program and forfeiture of any unpaid funds:
• Self-referrals: purchasing All The Fauna products using your own Shopping Link.
• Cookie stuffing, click fraud, bot traffic, or any artificial inflation of clicks or referrals.
• Misrepresentation of All The Fauna, its products, its mission, or the funding arrangement in any promotional materials.
• Spamming, unsolicited bulk email, or any promotional activity that violates applicable anti-spam laws (CAN-SPAM, CASL, GDPR, etc.).
• Bidding on All The Fauna branded keywords in paid search advertising without prior written approval.
• Using All The Fauna's name, logo, or trademarks in a domain name, social media handle, or branded asset without prior written approval.
• Transferring, sublicensing, or sharing the Shopping Link with any third party.
• Making false or misleading claims about All The Fauna's products, funding rates, or mission.
9. Intellectual Property
All The Fauna grants each Partner a limited, non-exclusive, revocable, royalty-free license to use All The Fauna's name, logo, and approved marketing assets solely for the purpose of promoting the Program during the term of this Agreement. This license does not include the right to modify, alter, or create derivative works from All The Fauna's brand assets.
Partners retain ownership of all content they independently create, provided such content does not infringe All The Fauna's intellectual property rights.
10. Representations & Warranties
Each Partner represents and warrants that:
• They are a validly organized nonprofit organization in good standing under applicable law.
• They hold current tax-exempt status and will promptly notify All The Fauna if that status is revoked, suspended, or materially changed.
• Their participation in the Program does not violate any law, regulation, or agreement to which they are a party.
• All promotional content they create and publish in connection with the Program is accurate, non-deceptive, and compliant with applicable advertising laws.
• They have the authority to enter into this Agreement on behalf of their organization.
11. Disclaimers & Limitation of Liability
The Program is provided "as is." All The Fauna makes no warranty that the Program will be uninterrupted, error-free, or available at all times. All The Fauna reserves the right to modify, suspend, or discontinue the Program at any time with reasonable notice.
To the maximum extent permitted by applicable law, All The Fauna's total liability to any Partner for any claim arising under or related to this Agreement shall not exceed the total funding paid to that Partner in the three (3) calendar months preceding the claim.
All The Fauna is not liable for any indirect, incidental, consequential, or punitive damages arising from a Partner's participation in or exclusion from the Program.
12. Term & Termination
This Agreement is effective upon a Partner's acceptance of the registration form and remains in effect until terminated by either party.
Either party may terminate this Agreement at any time with written notice (email to admin@allthefauna.com is acceptable). All The Fauna may terminate immediately and without notice in the event of a Partner's material breach of this Agreement, including any prohibited conduct described in Section 8.
Upon termination:
• The Partner's Shopping Link will be deactivated immediately.
• Funds earned and approved prior to the termination date will be paid on the next scheduled payment date.
• Funding on orders placed after the termination date, even if initiated through a cookie set prior to termination, is forfeited.
• All The Fauna's intellectual property license granted to the Partner is immediately revoked.
14. Governing Law & Dispute Resolution
This Agreement shall be governed by and construed in accordance with the laws of the State of California, without regard to its conflict of law principles. Any dispute arising out of or relating to this Agreement shall be resolved first through good-faith negotiation between the parties. If the parties are unable to resolve the dispute informally within 30 days, either party may pursue resolution through binding arbitration under the rules of the American Arbitration Association, conducted in Los Angeles County, California.
15. Amendments
All The Fauna reserves the right to amend these Terms & Conditions at any time. Notice of material changes will be provided to active Partners via email at least 14 days prior to the effective date of the change. Continued participation in the Program after that date constitutes acceptance of the revised terms. Partners who do not accept revised terms may terminate their participation without penalty prior to the effective date.
16. Entire Agreement
This Agreement, together with the Program description and funding structure displayed on the registration form, constitutes the entire agreement between All The Fauna and the Partner with respect to the Program. It supersedes all prior negotiations, representations, or agreements relating to the subject matter herein. No waiver of any provision of this Agreement shall be effective unless in writing and signed by an authorized representative of All The Fauna.
Acceptance
By submitting the registration form, the applying organization confirms that it has read, understands, and agrees to be bound by these Terms & Conditions on behalf of itself and its authorized representatives.
