ATA COSMETICS AFFILIATE PARTNERSHIP CONTRACT

The following Affiliate Partnership Contract Agreement (“Agreement”) entered into on the date of signature, outlines the mutual agreement between Affiliate (“the Affiliate”) and ATA Cosmetics (“the Brand”) registered at 301 W. Las Colinas Blvd. Irving, TX 75039 hereto agree to enter into in an affiliate partnership outlined as follows:

COMPENSATION AND FEE: 

A monetary payment equal to 20% of the profits generated from using a customizable tracked link as compensation for their work. 

As the Affiliate makes higher profits their commission percentage can grow up to 30%. The commission structure is as follows: 

• At $10,000 worth of sales the Affiliate can make 22% commission

• At $30,000 worth of sales the Affiliate can make 25% commission

• At $50,000 worth of sales the Affiliate can make 27% commission

• At $100,000 worth of sales the Affiliate can make 30% commission 

DESCRIPTION OF WORK: 

The Affiliate will share ATA Cosmetics’ product(s) through sharing the story, the mission, or the product itself by word of mouth, social media, email/text, or any other way you communicate with your network and community.  

DELIVERABLES: 

The Affiliate will publish and share content as they wish.  In order to get credit for orders, the Affiliate’s referral must purchase merchandise through the Affiliate’s link.  Transactions cannot be tracked otherwise.

Each publication is encouraged to include:

• ATA Cosmetics Social Media Tag

• Hashtags: #atacosmetics & #thejadeapplicator

Each publication must avoid:

• Using the product in conjunction with sponges, brushes, or fingers (unless comparing the products).  The Jade Applicator replaces these application methods and should be used independently

CONTENT VALIDATION: 

ATA Cosmetics reserves the right to quality assure the message and the content the Affiliate is putting forth.  If any information put out does not align with the brand, is disingenuous, or acts out of integrity then the relationship can be terminated. 

PUBLICATION DISCLOSURE REQUIREMENTS: 

In compliance with FTC guidelines, the Affiliate must include a disclosure such as #ad, #affiliatepartner, or “includes a promotion” identifying the nature of the connection with the Brand in their posts.

USAGE RIGHTS: 

ATA Cosmetics may repost/share Affiliates posts

TERM:

This contract agreement shall start on the date of signature and go until Affiliate is no longer interested in promoting the product or the relationship is terminated.  ATA Cosmetics reserves the right to remove Affiliate out of the system after a determined amount of time if the Affiliate is no longer active in the system.

TERMINATION:

The Affiliate and the Brand may each terminate this Agreement in writing at any time.  Termination will be effective on the date of such notice. Any outstanding commission payment will be paid out to the Creator by the Brand via Paypal on the 28th day of the month. 

CONFIDENTIALITY:

The Affiliate and the Brand agree that each shall treat private information such as strategies, PR and campaign and content plans, that may be provided by either party during the term of this Agreement strictly confidential. All such confidential information exchanged between the parties, shall be used solely for the purposes of rendering services pursuant to this Agreement and, shall not be disclosed to any third party without the prior written consent of either party.

PAYMENT INFORMATION: 

Once content is published, The Affiliate can expect 20% commission on total referral sales when a customer makes a purchase through the Affiliate’s link. Payments will be paid out via Paypal every 28th day of the month to the Affiliate.  Payments must meet a minimum of $50 to be paid out.   Brand reserves the right to withhold payment if the Creator breaks any terms listed in this Agreement. 

Affiliate must fill out a W9 Agreement prior to any payments being made.

MODIFICATION:

No modification of this Agreement shall be made unless in writing, signed by both the Affiliate and the Brand.

By joining, you agree to the Terms and Privacy Policy in this Agreement between ATA Cosmetics and yourself, the Creator.

This Privacy Policy of UpPromote about Affiliate Marketing system describes how we may collect and use personal data and the rights granted to merchants, affiliates and customers regarding their respective data.

By joining the Affiliate program, you signify your approval of the terms set out in this Privacy Policy, and other terms and conditions. If you do not agree to this Privacy Policy, you must not use the affiliate marketing system.

We may update this Privacy Policy from time to time in order to reflect, for example, changes to our privacy practices or for other operational, legal, or regulatory reasons. By continuing to our affiliate program after these changes are posted, you agree to the revised policy.

Personal Information Controller

Any personal information provided to or gathered by UpPromote under this Privacy Notice will be stored and controlled by UpPromote (the data controller).

Information collected from Merchants

When merchant uses the app, we are automatically able to access certain types of information from your Shopify account such as email, first name, last name, shop information (shop domain, shop currency, shop address …). We collect this information to provide you with our Services; for example, to confirm your identity, contact you, provide customer support when you contact us, provide you with advertising and marketing activities.

Information collected from Affiliates

When an Affiliate signs up to join a program, we collect some information to inform merchants such as email, personal information, payment details and social network information,...The information would help merchant evaluate affiliate background and potential, along with process specific activities within the app and contact affiliate if needed.

Information collected from Customers when visiting merchant website

In order to track referral order, when customers visit merchant website and make a purchase, UpPromote system will collect information of order such as total order, order items, order ID,....

Ensuring your privacy is important to us. We do not share your personal information with third parties except as described in this privacy policy. We may share your personal information with third-party service providers who we employ to process specific functions; examples include providing email marketing activity, analyzing data and other marketing support,... Third-party service providers have access to personal information only as needed to perform their functions and they must process the personal information in accordance with this Privacy Policy.

We may also disclose your personal information to any third party with your prior consent.

Use of UpPromote app by Children

UpPromote is not intended for children. If you are under 13, you may use the affiliate marketing system only with the supervision of your parent or guardian.

Your Rights

UpPromote understands that you have rights over your personal information, and takes reasonable steps to allow you to access, correct, amend, delete, port, or limit the use of your personal information. If you are using the system and wish to exercise these right, please contact us through info.atacosmetics@gmail.com. We may require that you provide us with acceptable verification of your identity before providing access to such information.

If you are an affiliate and wish to exercise these rights, please contact the merchant you interacted with directly — we serve as a processor on their behalf, and can only forward your request to them to allow them to respond.
