Welcome to ATTITUDE ambassadors Club! Thanks for joining our Ambassador program.
These following terms and conditions (“T&C”) apply to individuals who are accessing or using the Program both as ATTITUDE’s Ambassador and an affiliate who refers customers to use products or service from the merchant.
By accessing, using or participating in the Program, Affiliate agrees to use the Program in the manner specified in, and agree to be bound by, these T&C. If you do not agree to these T&C in their entirety you are not authorized to register as an Affiliate or participate in the Program in any manner.
We reserve the right to update and change these T&C and/or the Program from time to time without notice. Any amendments, modifications, enhancements or changes to the Program made available by us from time to time shall be subject to these T&C. You can review the most current version of T&C in the program portal.
Any violation of the T&C may result in, among other things, termination or suspension of your rights to be an Affiliate, to participate in the Program and forfeiture of any outstanding affiliate referral fee payments earned during the violation.
General Terms and Conditions :
1. Respect is non-negotiable at ATTITUDE. Towards our brand, the community and all other individuals. Affiliate agrees to take no action which is intended, or would reasonably be expected, to harm ATTITUDE ( its reputation, image, products, or brand) or its community and customers. Affiliate shall conduct himself/herself at all times with due regard to public morals and conventions as an Affiliate and/or participant in the Program (including without limitation by not using fraudulent, illegal, or overly aggressive, questionable sales or marketing methods). This provision is essential and non-observance would result in a material breach hereof.
2. Your social network profiles must be and remain public at all times.
3. You must make a minimum of 3 affiliate sales per year to remain in the program.
4. You must stay in the VIP ambassadors mailing list. This is our main source of information for the program. If you're no longer on the list, you won't be able to collaborate properly.
5. You must be 18 years of age or older to join this Program.
6. You must not, in the access or use of the Program, violate any laws or regulations in your jurisdiction (including but not limited to trademark or copyright laws) and you may not use the Program for any illegal or unauthorized purpose.
* If these rules are not respected, we reserve the right to cancel the collaboration and terminate your participation in the Program at any time, with or without notice, and without further obligation or compensation.
1. Approve or Reject of the Registration
You must provide your legal full name, a valid email address, and any other information requested in order to complete the sign up process for an Affiliate Registration.
We reserve the right to approve or reject ANY Affiliate Program Registration in our sole and absolute discretion, without further obligation or liability to you. You will have no legal recourse against us for the rejection of your Affiliate Program Registration.
2. Affiliate Links and Coupon
Affiliate link is automatically generated, but you can also generate an affiliate link for a specific product or collection. If a person clicks on someone else’s referral link and then later they click on yours, yours is the one that counts.
Affiliate might or might not be assigned to one coupon code with details and usage clarified on Dashboard. If customer both click on the affiliate link and use coupon code, you will not receive a double commission. If you’re not assigned a branded coupon, then you’re not allowed to promote the coupon or to obtain commission with respect thereof.
Affiliate may also advertise merchant website on online channels such as Facebook, Instagram,... or offline classified channel ads, magazines, and newspapers.
3. Commissions and payment
Refer any customer to make and complete a purchase on our website, and you will get a commission amount of 3%. Referral commissions are only earned if a customer makes a payment in full. Commission amount is dependent on order value and not including extra fee (tax, shipping cost,...).
For an Affiliate to receive a commission, you need to specify the payment details on Settings. Payment schedule will be every month.
Payments will only be sent for transactions that have been successfully completed. Use of the Affiliate Program is subject to a fair use policy which gives merchant the right to review each and every referral order. Status of commission if displayed in Commission tab, any paid commission will be listed on Payment tab. Transactions that result in charge backs or refunds will not be paid out.
4. Marketing tool
We may share promotion media such as banner, logo or specific collection promotion to you through Marketing tool tab. You can download the media or get the HTML embed code in order to share on affiliate channels.
5. Network
If Network tab is activated, affiliate can invite others to become their downline affiliate. If any downline affiliate brings order to merchant shop, upline affiliate will also get network commission which depends on merchant settings.
To invite other affiliates into the system, share network link and any other affiliate who click on that link and sign up will become a downline affiliate.
6. Cookie
We use a cookie to track people who have clicked on your link, so they need to be using cookies for us to track them.
If a person doesn't allow cookies or clears their cookies then we can't track them so can't pay earnings on that person's activity.
We will only pay referral fees on links that are automatically tracked and reported by our systems. For our systems to track the referral, the visitor must have cookies enabled. We will not pay referral fees if someone says they signed up through you but it was not tracked by our system.
Cookies day is said on the Affiliate registration form. The tracking day will start from the time a customer clicks on the affiliate’s link or use the coupon. Within the cookie time, every order made by this customer at merchant website will automatically result in commissions to the affiliate (There’s no need for the customer to click on the affiliate link then).
7. Term & Removal from Referral Program
These T&C are effective upon our acceptance of your Program Registration and will remain in effect until terminated by either you or us. Either party may terminate this agreement at any time, with or without cause, by notifying the other party. Notice by e-mail, to your address on our records, is considered sufficient notice to terminate this Agreement.
If an affiliate wishes to be removed from the affiliate Program, they can do so at any time by contacting: ambassadors@attitudeliving.com.
ATTITUDE also reserves the right to end the Program at any time, and has the right, at its sole discretion to suspend or terminate your access, use and participation in the Program for any reason at any time.
Upon termination, (i) you will immediately cease access and use of the Program, and (ii) ATTITUDE will pay any legitimate outstanding earnings, except if they were earned through fraudulent, illegal, or in breach of the terms of these T&C.
8. Disclaimer & Limitations
Except as expressly set forth herein, ATTITUDE makes no representations or warranties of any kind (including but not limited to merchantable quality, fitness for a particular purpose, errorless and non-infringement), either express or implied with respect to the Program.
To the maximum extent permitted by law, ATTITUDE (and its officers, directors, employees, or representatives) disclaims all liabilities with respect to, and will not be responsible to you or any third party for any damages or losses (including without limitation direct, indirect, punitive or consequential loss or damages, or any loss of income, profits, goodwill, data, contracts, use of money) arising from the access, use, misuse, participation, reliance on, inability to, interruption, suspension, termination, alteration, or for unauthorized access to, or otherwise in connection with the Program.
ATTITUDE’s maximum aggregate liability under or in connection with the Program or this T&C, or any collateral contract, whether in contract, tort (including negligence) or otherwise (a “Claim”), shall be limited to a sum equal to the aggregate amount which we are obliged to pay you in the three (3) month period immediately prior to the period giving rise to such Claim.
9. Miscellaneous
- Relationship: You and ATTITUDE are independent contractors, and nothing herein or on the Program will create any partnership, joint venture, agency, franchise, sales representative, or employment relationship between the parties. You will have no authority to make or accept any offers or representations on our behalf, nor to make any statement, that reasonably would contradict anything herein.
- Entire agreement: These T&C and any document expressly referred to in it represents the entire agreement between us in relation to the use of the Program and supersedes any prior agreement, understanding or arrangement between us, whether oral or in writing.
- Severability: If any of these T&C are determined by any competent authority to be invalid, unlawful or unenforceable to any extent, such term, condition or provision will to that extent be severed from the remaining terms, conditions and provisions which will continue to be valid to the fullest extent permitted by law.
- Governing law and jurisdiction: The T&C shall be governed by and construed in accordance with English law. Disputes arising in connection with this T&C shall be subject to the exclusive jurisdiction of the courts of the Province of Quebec, Canada.
