These following terms and conditions apply to individuals who are accessing or using the Program both as a merchant (“we” or “merchant”) and an affiliate (“you” or “affiliate”) who refers customers to use products or services from the merchant.
By participating in the Program, the Affiliate agrees to use the Program in the manner specified in, and are bound by, these Terms and Conditions. If you do not agree to these Terms and Conditions in their entirety you are not authorized to register as an Affiliate or participate in the Program in any manner.
1. Approve or Reject the Registration
We reserve the right to approve or reject ANY Affiliate Program Registration at our sole and absolute discretion. You will have no legal recourse against us for the rejection of your Affiliate Program Registration.
2. Affiliate Links and Coupons
An affiliate link is automatically generated, but you can also generate an affiliate link for a specific product or collection. If a person clicks on someone else’s referral link and then later they click on yours, yours is the one that counts.
Affiliate might or might not be assigned to one coupon code with details and usage clarified on Dashboard. If customer both click on the affiliate link and use coupon code, you will not receive a double commission. If you’re not assigned a branded coupon, then you’re not allowed to promote the coupon.
Affiliate may also advertise merchant website on online channels such as Facebook, Instagram,... or offline classified channel ads, magazines, and newspapers.
3. Commissions and payment
Refer any customer to make a purchase on our website, you will get a commission amount which is calculated based on Commission structure. Commission amount is dependent on order value and not including extra fee (tax, shipping cost,...).
For an Affiliate to receive a commission, you need to specify the payment details on Settings. Payment schedule will be notified on Affiliate Guide page.
Payments will only be sent for transactions that have been successfully completed. Use of the Affiliate Program is subject to a fair use policy which gives merchant the right to review each and every referral order. Status of commission if displayed in Commission tab, any paid commission will be listed on Payment tab. Transactions that result in charge backs or refunds will not be paid out.
4. Marketing tool
We may share promotion media such as banner, logo or specific collection promotion to you through Marketing tool tab. You can download the media or get the HTML embed code in order to share on affiliate channels.
5. Network
If Network tab is activated, affiliate can invite others to become their downline affiliate. If any downline affiliate brings order to merchant shop, upline affiliate will also get network commission which depends on merchant settings.
To invite other affiliates into the system, share network link and any other affiliate who click on that link and sign up will become a downline affiliate.
6. Cookie
We use a cookie to track people who have clicked on your link, so they need to be using cookies for us to track them.
If a person doesn't allow cookies or clears their cookies then we can't track them so can't pay earnings on that person's activity.
Cookies day is said on the Affiliate registration form. The tracking day will start from the time a customer clicks on the affiliate’s link or use the coupon. Within the cookie time, every order made by this customer at merchant website will automatically result in commissions to the affiliate (There’s no need for the customer to click on the affiliate link then).
7. Removal from Referral Program
If an affiliate wishes to be removed from the affiliate program, they can do so by contacting: ashley@chiclifestyle.com.
8. Non-Competition, Non-Solicitation, Confidentiality Agreement
THIS NON - COMPETITION, NON - SOLICITATION AND CONFIDENTIALITY AGREEMENT
(this “Agreement”) is made and entered into as of this (date) _________________ ,
by and between Ashley’s Chic Boutique, Inc.. d/b/a Chic Lifestyle (“Company”) and
___________________________ (“Affiliate”).
RECITALS:
1. The Company is engaged in the business (the “Business”) of selling clothing, wigs and
accessories, etc. through online media, as more fully described herein. Affiliate wishes to promote
the products of the Company while earning commissions to be paid by the Company.
3. The Affiliate, from and after the commencement of Service with the Company, will be
engaged in activities such that the Affiliate will have extensive access to and become familiar with,
and may develop or contribute to, the Confidential Information. In addition, Affiliate will have
contact with the customers of the company and will contribute to the development of relationships
with such customers on behalf of the Company. The Affiliate recognizes that the Confidential
Information and the Company’s customer relationships are vital to the success of the Company and
that extensive, irreparable harm would result were such Confidential Information to be disclosed
outside the Company or if the Affiliate were to engage in activity that competes with the Company
as more fully described herein.
AGREEMENT:
NOW, THEREFORE, in view of the above and in consideration for the mutual covenants
and promises to set forth below, the parties hereto, intending to be legally bound hereby, agree as
follows:
1. Confidential Information: For purposes of this Agreement, Confidential Information
means the Company’s business plans and strategies, marketing plans and strategies, customer lists,
customer purchasing information, customer contact information, Affiliate data and information,
financial information, supply sources, operation methods and techniques, manufacturing processes,
testing data and methods, product design and development information, system analyses, quality
control programs and information, pricing information, Inventions (as defined below), innovations,
and any other proprietary information which the Company may reasonably designate as confidential
from time to time.
2. Confidentiality, Non-Solicitation and Non-Competition provisions:
(a) Affiliate acknowledges that the Company would be irreparably injured, and the
good will of the Company would be irreparably damaged if Affiliate were to breach the
covenants set forth herein. Affiliate further acknowledges that the covenants set forth are
reasonable in scope and duration and do not unreasonably restrict Affiliate’s association with
other business entities, either as an Affiliate or otherwise. For purposes of this Section, the
Company will include Ashley’s Chic Boutique, Inc. and any subsidiaries and affiliated
entities now or subsequently existing, which are engaged in the same or substantially the
same business, for which Affiliate provides any services, or with respect to which Affiliate is
provided access to information defined above as Confidential Information.
(b) During Affiliate’s Service with the Company and for 120 dates thereafter, except
in the authorized course and scope of Affiliate’s Service with the Company and as may be
required by law, Affiliate shall not, directly or indirectly, disclose, disseminate, reveal,
divulge, discuss, copy or otherwise use or suffer to be used, any Confidential Information.
Upon termination of Service with the Company, no matter what the reason for such
termination, and at any other time upon the request of the Company, Affiliate shall return to
the Company any and all Confidential Information and all other materials and information in
tangible or electronic form concerning the Business and affairs of the Company and/or its
customers.
(c) Affiliate agrees that during Affiliate’s Service and for a period of 120 days
following the termination of such Service, no matter what the reason for such termination,
Affiliate will not directly or indirectly, whether on Affiliate’s own behalf or on behalf of any
other person or entity, do any of the following:
(i) Own, manage, control, advise, finance, represent, be employed/contracted
by, consult with or otherwise provide any competitive services to any person or
entity that sells wigs or wig products.
(d) The Affiliate agrees not to make any disparaging remarks to any person or
entity regarding the Company, and/or the conduct of the Company or its business practices,
during the term of the Affiliate’s Service with the Company and/or at any time after the
termination thereof, for any reason whatsoever.
3. Remedies: Affiliate acknowledges that the foregoing restrictions are reasonable in light of
Affiliate’s position with the Company and are necessary to protect the Company from unfair
competitive harm. Affiliate further acknowledges that any breach of this Agreement will result in
immediate irreparable harm to the Company and that the Company shall be entitled to immediate
injunctive relief upon any such breach, in addition to all other legal and equitable remedies the
Company may have. This Agreement is to be construed as separate and independent from any other
obligations and any claim by Affiliate asserted against the Company and shall not constitute a
defense to the enforcement of this Agreement. In the event any court determines that the restrictions
set forth herein are unreasonable or unenforceable for any reason, the court will enforce such
restrictions to the fullest extent permitted by law.
4. Position of Service: Affiliate expressly acknowledges that the confidentiality and
noncompetition obligations contained in this Agreement shall remain in full force and effect during
Affiliate’s Service in any position with the Company, or any affiliate thereof, and with respect to
any Confidential Information of the Company or its affiliates.
5. Validity: In the event any provision of this Agreement, or portion thereof, is held by a
court of competent jurisdiction to be unreasonable, arbitrary, or against public policy, then such
provision, or portion thereof, shall be enforced against the Affiliate to the extent the court deems to
be reasonable or in accordance with public policy. In the event any provision of this Agreement
shall for any reason be wholly invalid, or unenforceable in any respect, such invalidity shall not
affect the validity of any remaining portion which shall remain in full force and effect as if the
invalid portion was never part of this Agreement.
6. Miscellaneous: Affiliate acknowledges that the Affiliate has carefully read this entire
Agreement and fully agrees with and understands all of the provisions the hereof. This Agreement
supersedes all prior agreements between the Company and the Affiliate regarding the subject matter
of this Agreement and constitutes the entire agreement between the parties with respect to such
subject matter. The Affiliate further agrees that in executing this Agreement, the Affiliate has not
relied on any written or oral representations, promises, conditions, or understandings of the
Company, express or implied, except as set forth herein. This Agreement may not be amended or
modified other than in writing signed by the parties. This Agreement and any disputes arising
thereunder shall be governed by the laws of the Commonwealth of Pennsylvania without regard to
any State’s choice of law, rules or principles. Any legal action or proceedings related in any way to
or arising out of this Agreement shall be brought exclusively in the state or federal courts located in
Pennsylvania, and the parties’ consent to the exclusive jurisdiction and venue of such courts. This
Agreement may be assigned to any successor-in-interest to the business of the Company without the
consent of Affiliate but may not be assigned by Affiliate to any third party. This Agreement is not a
contract of Service for any definite period and Affiliate acknowledges that Affiliate’s Service with
the Company is terminable at-will.
