**Affiliate Marketing Program Terms and Conditions**

**1. Eligibility Requirements**
1.1. Affiliates must be at least 18 years old.
1.2. Affiliates must have a valid website, blog, or social media account that is active and relevant to our products or services.

**2. Commission Structure**
2.1. Affiliates will earn a commission of 10% on all qualifying sales made through their unique affiliate link. Adjustments to commission will be made based on returns. 
2.2. Commissions are calculated based on the net sales amount, excluding taxes, shipping, and any discounts applied.

**3. Payment Terms**
3.1. Payments will be made monthly, provided the affiliate's commission balance is at least $50.
3.2. Payments will be made via PayPal or in store credit. Affiliates are responsible for any PayPal fees.
3.3. If the commission balance is below $50, the balance will roll over to the next month.

**4. Promotional Methods**
4.1. Affiliates are encouraged to use blogs, social media, email marketing, and other online channels to promote our products.
4.2. Affiliates must not engage in any form of paid search bidding using our brand name or trademarks.
4.3. Spamming, misleading advertising, and any form of deceptive practices are strictly prohibited.

**5. Content Guidelines**
5.1. All promotional content must be original and truthful.
5.2. Affiliates must clearly disclose their affiliate relationship in all promotions as per FTC guidelines.
5.3. Content must not contain offensive, defamatory, or harmful material.

**6. Intellectual Property**
6.1. Affiliates are granted a non-exclusive, non-transferable license to use our trademarks, logos, and other intellectual property for the sole purpose of promoting our products.
6.2. Affiliates must not modify our trademarks or use them in a way that could harm our brand.

**7. Termination**
7.1. Either party may terminate this agreement at any time with or without cause.
7.2. Upon termination, all rights and licenses granted to the affiliate will immediately cease.
7.3. Any commissions earned up to the date of termination will be paid to the affiliate within 30 days.

**8. Tracking and Reporting**
8.1. Sales and leads will be tracked using cookies with a 30-day duration.
8.2. Affiliates can access performance reports through our affiliate dashboard.

**9. Compliance with Laws**
9.1. Affiliates must comply with all applicable laws and regulations, including data protection and privacy laws.
9.2. Affiliates are responsible for ensuring their promotional activities do not violate any local, state, or federal laws.

**10. Indemnification**
10.1. Affiliates agree to indemnify and hold harmless our company from any claims, damages, or liabilities arising from their promotional activities.

**11. Modification of Terms**
11.1. We reserve the right to modify these terms and conditions at any time. Affiliates will be notified of any changes via email or through the affiliate dashboard.
11.2. Continued participation in the affiliate program after any modifications shall constitute acceptance of the new terms.

**12. Confidentiality**
12.1. Affiliates must keep all information regarding commission rates, program details, and other proprietary information confidential.

**13. Dispute Resolution**
13.1. Any disputes arising out of this agreement will be resolved through binding arbitration in accordance with the rules of the American Arbitration Association.

**14. Coupons, Discounts and Product Exlusions**
14.1 Customer coupons valid on first purchase only. May not be combined with other coupon codes. Some products are excluded from commission. See store for details. 

This Privacy Policy of UpPromote about Affiliate Marketing system describes how we may collect and use personal data and the rights granted to merchants, affiliates and customers regarding their respective data.

By joining the Affiliate program, you signify your approval of the terms set out in this Privacy Policy, and other terms and conditions. If you do not agree to this Privacy Policy, you must not use the affiliate marketing system.

We may update this Privacy Policy from time to time in order to reflect, for example, changes to our privacy practices or for other operational, legal, or regulatory reasons. By continuing to our affiliate program after these changes are posted, you agree to the revised policy.

Personal Information Controller

Any personal information provided to or gathered by UpPromote under this Privacy Notice will be stored and controlled by UpPromote (the data controller).

Information collected from Merchants

When merchant uses the app, we are automatically able to access certain types of information from your Shopify account such as email, first name, last name, shop information (shop domain, shop currency, shop address …). We collect this information to provide you with our Services; for example, to confirm your identity, contact you, provide customer support when you contact us, provide you with advertising and marketing activities.

Information collected from Affiliates

When an Affiliate signs up to join a program, we collect some information to inform merchants such as email, personal information, payment details and social network information,...The information would help merchant evaluate affiliate background and potential, along with process specific activities within the app and contact affiliate if needed.

Information collected from Customers when visiting merchant website

In order to track referral order, when customers visit merchant website and make a purchase, UpPromote system will collect information of order such as total order, order items, order ID,....

About Cookies

“Cookies” are data files that are placed on your device or computer and often include an anonymous unique identifier.

Cookies are created when a user's browser loads a particular website. The website sends information to the browser which then creates a text file. Every time the user goes back to the same website, the browser retrieves and sends this file to the website's server.

Information sharing

Ensuring your privacy is important to us. We do not share your personal information with third parties except as described in this privacy policy. We may share your personal information with third-party service providers who we employ to process specific functions; examples include providing email marketing activity, analyzing data and other marketing support,... Third-party service providers have access to personal information only as needed to perform their functions and they must process the personal information in accordance with this Privacy Policy.

We may also disclose your personal information to any third party with your prior consent.

Use of UpPromote app by Children

UpPromote is not intended for children. If you are under 13, you may use the affiliate marketing system only with the supervision of your parent or guardian.

Your Rights

UpPromote understands that you have rights over your personal information, and takes reasonable steps to allow you to access, correct, amend, delete, port, or limit the use of your personal information. If you are using the system and wish to exercise these right, please contact us through shop@davidchristophers.com. We may require that you provide us with acceptable verification of your identity before providing access to such information.

If you are an affiliate and wish to exercise these rights, please contact the merchant you interacted with directly — we serve as a processor on their behalf, and can only forward your request to them to allow them to respond.
