FlasKap Affiliate Program Terms and Conditions

Welcome to FlasKap! Thank you for joining our Affiliate Program.

Agreement Overview
These terms and conditions govern the relationship between FlasKap/Toddy Tech, LLC ("we," "merchant," or "FlasKap") and affiliates ("you" or "affiliate") who refer customers to our products or services. By participating in the Program, you agree to these terms in their entirety.

1. Program Registration
- We reserve the right to approve or reject any Affiliate Program Registration at our sole discretion
- Rejection of applications is final and not subject to appeal
- Acceptance into the program will be communicated directly to applicants

2. Affiliate Links and Promotion
- Unique affiliate links are automatically generated for tracking purposes
- Custom links can be created for specific products or collections
- Last-click attribution model applies - the most recent affiliate link clicked is credited
- Coupon codes may be assigned to specific affiliates
- No double commissions for combined link clicks and coupon usage
- Permitted promotion channels include:
  - Social media (Facebook, Instagram, etc.)
  - Online advertising
  - Print media (magazines, newspapers)
  - Classified advertisements

Restricted Uses:
- Coupon code aggregator sites must set FlasKap-branded pages as 'noindex'
- Affiliates are prohibited from bidding on FlasKap branded keyword terms in search advertising
- Affiliates may not promote false or misleading:
  - Sales
  - Promotions
  - Coupons
  - Discounts
  - Claims about our products
- Violations of these restrictions may result in immediate termination and forfeiture of unpaid commissions

3. Commissions and Payment
- Commission rates are based on order value
- Excludes additional fees (tax, shipping, etc.)
- Payment details must be specified in Settings
- Payment schedule detailed on Affiliate Guide page
- Commissions paid only on successfully completed transactions
- No commission on refunded orders or chargebacks
- All referrals subject to fair use policy review

4. Marketing Materials
- Promotional materials provided through Marketing tool tab
- May include banners, logos, and collection promotions
- Download options and HTML embed codes available
- All materials must be used as provided without modification

5. Network Structure
- Network referral system available if activated
- Upline affiliates earn network commissions from downline performance
- Downline recruitment through shared network links

6. Cookie Policy
- Cookie tracking required for commission attribution
- Cookie duration specified on registration form
- Tracking begins at link click or coupon use
- Commissions credited for all purchases within cookie window
- No tracking available for users who block or clear cookies

7. Program Termination
- FlasKap reserves the right to terminate affiliate participation at any time
- Affiliates may voluntarily withdraw by contacting influencers@flaskap.com

8. Promotional Guidelines and Restrictions
Affiliates must:
- Only promote valid, current offers and promotions
- Use accurate pricing and product information
- Clearly disclose affiliate relationships as required by law
- Obtain approval for any self-created promotional materials
- Not create the impression of being an official FlasKap website or representative

Affiliates must not:
- Engage in cookie stuffing or injection
- Use typosquatting or domain squatting
- Create misleading product comparisons
- Promote FlasKap products on prohibited websites
- Use spam or unauthorized mass messaging
- Make earnings claims or guarantees

9. Intellectual Property Rights
- FlasKap retains all rights to its trademarks, logos, and content
- Content created using FlasKap materials becomes property of FlasKap
- Affiliates must cease use of all materials upon program termination
- No modification of provided marketing materials is permitted

10. Compliance and Representations
You agree to:
- Comply with all applicable laws and regulations
- Not engage in deceptive or misleading practices
- Honor all opt-out and unsubscribe requests
- Maintain appropriate systems for data protection
- Not make unauthorized claims about our products/services

11. Term and Termination
We may terminate this agreement:
- With immediate effect for violations of these terms
- For actions that may negatively affect our business
- Without cause with 15 days' written notice
- Upon termination, all rights and licenses granted herein shall cease

12. Effects of Termination
Upon termination:
- Commission payments will cease as specified
- You must cease use of all marketing materials
- Valid commissions earned prior to termination will be paid according to payment terms

These terms and conditions may be updated periodically. Continued participation in the program constitutes acceptance of any changes.

This Privacy Policy of UpPromote about Affiliate Marketing system describes how we may collect and use personal data and the rights granted to merchants, affiliates and customers regarding their respective data.

By joining the Affiliate program, you signify your approval of the terms set out in this Privacy Policy, and other terms and conditions. If you do not agree to this Privacy Policy, you must not use the affiliate marketing system.

We may update this Privacy Policy from time to time in order to reflect, for example, changes to our privacy practices or for other operational, legal, or regulatory reasons. By continuing to our affiliate program after these changes are posted, you agree to the revised policy.

Personal Information Controller

Any personal information provided to or gathered by UpPromote under this Privacy Notice will be stored and controlled by UpPromote (the data controller).

Information collected from Merchants

When merchant uses the app, we are automatically able to access certain types of information from your Shopify account such as email, first name, last name, shop information (shop domain, shop currency, shop address …). We collect this information to provide you with our Services; for example, to confirm your identity, contact you, provide customer support when you contact us, provide you with advertising and marketing activities.

Information collected from Affiliates

When an Affiliate signs up to join a program, we collect some information to inform merchants such as email, personal information, payment details and social network information,...The information would help merchant evaluate affiliate background and potential, along with process specific activities within the app and contact affiliate if needed.

Information collected from Customers when visiting merchant website

In order to track referral order, when customers visit merchant website and make a purchase, UpPromote system will collect information of order such as total order, order items, order ID,....

About Cookies

“Cookies” are data files that are placed on your device or computer and often include an anonymous unique identifier.

Cookies are created when a user's browser loads a particular website. The website sends information to the browser which then creates a text file. Every time the user goes back to the same website, the browser retrieves and sends this file to the website's server.

Information sharing

Ensuring your privacy is important to us. We do not share your personal information with third parties except as described in this privacy policy. We may share your personal information with third-party service providers who we employ to process specific functions; examples include providing email marketing activity, analyzing data and other marketing support,... Third-party service providers have access to personal information only as needed to perform their functions and they must process the personal information in accordance with this Privacy Policy.

We may also disclose your personal information to any third party with your prior consent.

Use of UpPromote app by Children

UpPromote is not intended for children. If you are under 13, you may use the affiliate marketing system only with the supervision of your parent or guardian.

Your Rights

UpPromote understands that you have rights over your personal information, and takes reasonable steps to allow you to access, correct, amend, delete, port, or limit the use of your personal information. If you are using the system and wish to exercise these right, please contact us through influencers@flaskap.com. We may require that you provide us with acceptable verification of your identity before providing access to such information.

If you are an affiliate and wish to exercise these rights, please contact the merchant you interacted with directly — we serve as a processor on their behalf, and can only forward your request to them to allow them to respond.
