Affiliate Program Terms and Conditions
These Affiliate Program Terms and Conditions govern the participation in the affiliate program offered by Gladium Jewelry to individuals or entities. By joining the Program, Affiliate agrees to comply with all the terms and conditions outlined in this Agreement.
- Enrollment in the Program: 1.1 Affiliate must apply to join the Program by completing the online application form provided by Gladium Jewelry. 1.2 Gladium Jewelry reserves the right to accept or reject any application at its sole discretion, and Affiliate will be notified of the decision via email. 1.3 Affiliate must provide accurate and complete information during the application process. Any changes in the provided information must be promptly updated by the Affiliate.
2. Affiliate Responsibilities: 2.1 Affiliate agrees to promote Gladium Jewelry products or services using personalized affiliate links provided by the Gladium Jewelry. 2.2 Affiliate will be solely responsible for all materials and content used in the promotion of Gladium Jewelry products or services. 2.3 Affiliate must comply with all applicable laws and regulations in the jurisdiction(s) in which they operate, including those related to marketing, advertising, and privacy. 2.4 Affiliate must not engage in any misleading, fraudulent, or unethical practices, including but not limited to spamming, cookie stuffing, or false representation of Gladium Jewelry products or services. 2.5 Affiliate must disclose their affiliate relationship with Gladium Jewelry in a clear and conspicuous manner, as required by relevant laws and regulations.
3. Commission and Payment: 3.1 Affiliate will be eligible to earn a commission based on the agreed-upon commission structure, as outlined by Gladium Jewelry. 3.2 Gladium Jewelry reserves the right to modify the commission structure and rates at its sole discretion. Affiliate will be notified in advance of any changes. 3.3 Commissions will only be paid for qualified referrals that result in a specified action, such as a purchase, as determined by Gladium Jewelry. 3.4 Gladium Jewelry will track and report Affiliate's referrals and commissions through a designated affiliate tracking system or platform. 3.5 Payments will be made to Affiliate after the order and process is approved. Payment methods and thresholds will be outlined by Gladium Jewelry. 3.6 Gladium Jewelry reserves the right to withhold or reverse any commission payments in the event of fraud, chargebacks, or any violation of this Agreement.
4. Intellectual Property: 4.1 Gladium Jewelry grants Affiliate a limited, non-exclusive, non-transferable, revocable license to use Gladium Jewelry's trademarks, logos, and promotional materials solely for the purpose of promoting Gladium Jewelry's products or services. 4.2 Affiliate must not modify or alter any intellectual property provided by Gladium Jewelry without prior written consent. 4.3 Affiliate acknowledges that all intellectual property rights associated with Gladium Jewelry's products or services remain the exclusive property of Gladium Jewelry.
5. Termination: 5.1 Either party may terminate this Agreement at any time and for any reason by providing written notice to the other party. 5.2 In the event of termination, Affiliate will be entitled to receive any outstanding commission payments earned up to the termination date. 5.3 Upon termination, Affiliate must immediately cease all promotional activities related to Gladium Jewelry's products or services and remove any of Gladium Jewelry's provided materials from their platforms.
6. Limitation of Liability: 6.1 Gladium Jewelry will not be liable for any indirect, incidental, special, or consequential damages arising out of or relating to this Agreement, including but not limited to loss of profits, business, interruption, or loss of data. 6.2 Affiliate agrees to indemnify and hold Gladium Jewelry, its officers, directors, employees, and affiliates harmless from any claims, damages, liabilities, or expenses arising out of Affiliate's participation in the Program or any violation of this Agreement.
7. Confidentiality: 7.1 Affiliate agrees to keep all non-public information received from Gladium Jewelry confidential and not disclose it to any third party without prior written consent from Gladium Jewelry. 7.2 This confidentiality obligation shall survive the termination of this Agreement.
8. Modification: 8.1 Gladium Jewelry reserves the right to modify or update these terms and conditions at any time. Affiliate will be notified of any changes and will have the opportunity to review and accept the modified terms before continuing participation in the Program.
9. Governing Law and Jurisdiction: 9.1 This Agreement shall be governed by and construed in accordance with the laws of the United States. Any disputes arising out of or in connection with this Agreement shall be subject to the exclusive jurisdiction of the courts of the United States.
10. Entire Agreement: 10.1 This Agreement constitutes the entire agreement between the Gladium Jewelry and Affiliate and supersedes any prior agreements, understandings, or representations, whether written or oral, relating to the Program.
By joining the Program, Affiliate acknowledges that they have read, understood, and agreed to all the terms and conditions outlined in this Agreement.
