Hair2Life

I. PARTIES

This Hair2Life Influencer Program Agreement is made between Hair2Life and Influencer. Both parties agree to the following arrangements:

II. PAYMENT AND SERVICES

Hair2Life agrees to pay Influencer up to 25% of product sales made through the Influencer website created by Hair2Life. Influencer can have the option to receive monetary compensation or apply compensation to future product purchases. Compensation for Influencers with an unpaid balance for hair products will
automatically be applied towards their balance until it is dissolved. Influencer will promote Hair2Life products to clients in salon, via social media, or advertisements. Hair2Life will calculate compensation on the last day of each month and the Influencer will be compensated on the 5th of the following month. Services will become effective on the agreement submission date.

III. TERMS

Hair2Life or the Influencer may terminate this Agreement, with reasonable cause, effective immediately upon giving written notice. Reasonable cause includes:

a material violation of this Agreement, or 

any act exposing the other party to liability or damage.

Either party may, without cause, terminate this Agreement by giving 30 days written notice to the other.

IV. EXPENSES

Hair2Life will provide a custom website for the Influencer to promote and may provide physical materials the Influencer will need to promote products (e.g., flyers, poster).

V. INTELLECTUAL PROPERTY RIGHTS

The Influencer acknowledges that during the performance of the Services it may be necessary for Hair2Life to disclose certain confidential and proprietary information to the Influencer in order to perform duties under this Agreement. Accordingly, the Influencer will not disclose or use, either during or after the term of this Agreement, any proprietary or confidential information of Hair2Life. Proprietary or confidential information includes: 

Written, printed, graphic, or electronically recorded materials furnished by Hair2Life for the Influencer to use.

Any written or tangible information stamped “confidential,” “proprietary,” or with a similar legend, or any information that Hair2Life makes reasonable efforts to maintain the privacy of.

Business or marketing plans or strategies, customer lists, operating procedures, know-how and processes, improvements of any kind, sales projections, and pricing information.

Information belonging to customers and suppliers of Hair2Life about whom the Influencer gained knowledge as a result of the Influencer's services.

VI. CONFIDENTIALITY

After performing the Services, or at Hair2Life request, the Influencer shall deliver all materials in their possession relating to the Hair2Life business. Any confidential information the Influencer accesses or develops in connection with the Services shall be subject to the terms and conditions of this clause. The Influencer agrees to treat all confidential information as strictly confidential, not to disclose or permit it to be disclosed, in whole or part, to any third party without the prior written consent of Hair2Life, and not to use any confidential information for any purpose except as required in the performance of the Services. You shall notify Hair2Life immediately in the event you become aware of any loss or disclosure of any confidential information. 

VII. RELATIONSHIP TO THE PARTIES

The Influencer and Hair2Life agrees to the following:

The Influencer has the right to use employees to provide the services required by this Agreement. Hair2Life shall not hire, supervise, or pay any employees to help the Influencer. The Influencer nor the Influencer's employees shall be required by Hair2Life to devote full time to the performance of the services required by this Agreement.

VIII. ENTIRE AGREEMENT

This Agreement, along with any attachments or addendums, represents the entire agreement between the parties. Therefore, this Agreement supersedes any prior agreements, promises, conditions, or understandings.

This Privacy Policy of Hair2Life Influencer Program Marketing system describes how we may collect and use personal data and the rights granted to merchants, affiliates and customers regarding their respective data.

By joining the Affiliate program, you signify your approval of the terms set out in this Privacy Policy, and other terms and conditions. If you do not agree to this Privacy Policy, you must not use the affiliate marketing system.

We may update this Privacy Policy from time to time in order to reflect, for example, changes to our privacy practices or for other operational, legal, or regulatory reasons. By continuing to our affiliate program after these changes are posted, you agree to the revised policy.

Personal Information Controller

Any personal information provided to or gathered by UpPromote under this Privacy Notice will be stored and controlled by Hair2Life (the data controller).

Information collected from Merchants

When merchant uses the app, we are automatically able to access certain types of information from your Shopify account such as email, first name, last name, shop information (shop domain, shop currency, shop address …). We collect this information to provide you with our Services; for example, to confirm your identity, contact you, provide customer support when you contact us, provide you with advertising and marketing activities.

Information collected from Affiliates

When an Affiliate signs up to join a program, we collect some information to inform merchants such as email, personal information, payment details and social network information,...The information would help merchant evaluate affiliate background and potential, along with process specific activities within the app and contact affiliate if needed.

Information collected from Customers when visiting merchant website

In order to track referral order, when customers visit merchant website and make a purchase, Hair2Life system will collect information of order such as total order, order items, order ID,....

About Cookies

Information sharing

Ensuring your privacy is important to us. We do not share your personal information with third parties except as described in this privacy policy. We may share your personal information with third-party service providers who we employ to process specific functions; examples include providing email marketing activity, analyzing data and other marketing support,... Third-party service providers have access to personal information only as needed to perform their functions and they must process the personal information in accordance with this Privacy Policy.

We may also disclose your personal information to any third party with your prior consent.

Use of Hair2Life app by Children

Hair2Life is not intended for children. If you are under 13, you may use the Influencer marketing system only with the supervision of your parent or guardian.

Your Rights

Hair2Life understands that you have rights over your personal information, and takes reasonable steps to allow you to access, correct, amend, delete, port, or limit the use of your personal information. If you are using the system and wish to exercise these right, please contact us through info.hair2life@gmail.com. We may require that you provide us with acceptable verification of your identity before providing access to such information.

If you are an affiliate and wish to exercise these rights, please contact the merchant you interacted with directly — we serve as a processor on their behalf, and can only forward your request to them to allow them to respond.
