Brand Affiliate Terms &
Conditions
Welcome
to HappyTails Canine Wellness™. Thanks for considering our Brand Affiliate
program! Our cherished mission is your dog’s optimal wellness. Our company is committed
to providing the finest, scientifically advanced dog treats and supplement. Through
our Brand Affiliate program, we strive to develop mutually beneficial
partnerships with our Brand Affiliates, so we have created some terms to help
guide expectations.
When
we say “Company,” “we,” “our,” or “us” in this document, we are referring to HappyTails Canine Wellness™ a division
of Au Terre™, Inc.
When
we say “Services,” we mean any product manufactured created, distributed
and /or maintained by the Company.
These
terms may be updated at any time in the future. When updates occur, we will be
sure to communicate them with you in writing via email.
By participating in the Brand Affiliate Program,
Brand Affiliate agrees to use the Program in the manner specified in, and are
bound by, these Terms and Conditions. If you do not agree to these Terms and
Conditions in their entirety, you are not authorized to register as a Brand
Affiliate or participate in the Program in any manner.
Please
read this document in its entirety before accepting our invitation to become a Brand
Affiliate of the Company.
Eligibility
To
become a Brand Affiliate of the Company, you must:

Be 18 years of age or older
●
Have read, understood, and agreed
to these terms.
●
Be in good standing with the
Federal Trade Commission (FTC)
●
Own social media account(s)
Engagement
As
a Brand Affiliate of the company, you
agree to:
●
Create, post, and share content
that promotes the Company’s services
●
Promote your unique promo code to
increase sales for the Company
●
Maintain high ethical and moral
standards within your social media accounts
Restrictions
As
a Brand Affiliate you agree not to:
●
Make any guarantees,
representations, or warranties on behalf of the Company, other than the ones
provided in the marketing material.
●
Spam or promote the Company in a
way that violates any laws or regulations.
●
Promote the company in any
sexually explicit, violent, bullying, discriminatory, unlawful, threatening,
illegal, or otherwise objectional content - subject to the sole direction of
the Company.
●
Use the company’s brand, image, or
likeness on your own website, potentially creating customer confusion
●
Run any paid advertising with your
promotional codes
●
Engage in any fraudulent activity
that would artificially affect any social media metrics such as, but not
limited to, likes, follows, shares, and views.
●
Create multiple Brand Affiliate
accounts or use more than one promo code.
●
Misrepresent or modify the price
of the Company’s services
The
Company reserves the right to request removal or modification of any Brand
Affiliate content in its sole discretion.
Disclosure
The
Brand Affiliate agrees to disclose the material connection between them and the
Company.
The
Brand Affiliate may use text such as “#sponsored” or “#ad” to disclose this
relationship.
The
disclosure should be clear and follow all guidelines by the Federal Trade
Commission (FTC)
Compensation
The
Brand Affiliate will be paid 10% of every sale generated through their promo
code.
This
percentage is subject to change by the Company at any time.
The
Brand Affiliate is solely responsible for any and all tax obligations.
Brand Affiliate Links and Coupon
Brand Affiliate link is automatically
generated, but you can also generate a Brand Affiliate link for a specific
product or collection. If a person clicks on someone else’s referral link and
then later they click on yours, yours is the one that counts.
Brand Affiliate might or might not be
assigned to one coupon code with details and usage clarified on Dashboard.
If customer both click on the Brand Affiliate link and use coupon code, you
will not receive a double commission. If you are not assigned a branded coupon,
then you are not allowed to promote the coupon.
Brand Affiliate may also advertise
merchant website on online channels such as Facebook, Instagram, or offline
classified channel ads, magazines, and newspapers.
Commissions and payment
Refer any customer to make a purchase on
our website, you will get a commission amount which is calculated based on Commission
structure. Commission amount is dependent on order value and not including
extra fee (tax, shipping cost, etc.).
For a Brand Affiliate to receive a
commission, you need to specify the payment details on Settings. Payment
schedule will be notified on Brand Affiliate Guide page.
Payments will only be sent for
transactions that have been successfully completed. Use of the Brand Affiliate
Program is subject to a fair use policy which gives merchant the right to
review all referral orders. Status of commission if displayed in Commission
tab, any paid commission will be listed on Payment tab. Transactions that
result in charge backs or refunds will not be paid out.
Commission
is subject to change by the Company at any time. The Brand Affiliate is solely
responsible for any and all tax obligations.
Marketing tool
We may share promotion media such as
banner, logo, or specific collection promotion to you through Marketing tool
tab. You can download the media or get the HTML embed code in order to share on
Brand Affiliate channels.
Network
If Network tab is activated, Brand
Affiliate can invite others to become their downline Brand Affiliate. If any
downline Brand Affiliate brings order to merchant shop, upline Brand Affiliate
will also get network commission which depends on merchant settings.
To invite other Brand Affiliates into the
system, share network link and any other Brand Affiliate who click on that link
and sign up will become a downline Brand Affiliate.
Cookies
We use a cookie to track people who have
clicked on your link, so they need to be using cookies for us to track them.
If a person does not allow cookies or
clears their cookies, then we cannot track them which will interfere with our
ability to pay earnings on that person's activity.
Cookies day is stated on the Brand
Affiliate registration form. The tracking day will start from the time a
customer clicks on the Brand Affiliate’s link or use the coupon. Within the
cookie time, every order made by this customer at merchant website will
automatically result in commissions to the Brand Affiliate (There is no need
for the customer to click on the Brand Affiliate link then).
Intellectual Property Rights
Brand Affiliate content:
The
Brand Affiliate grants the Company a worldwide, irrevocable, sub-licensable,
non-exclusive license to use the content the Brand Affiliate creates to promote
the Company’s services, in any manner, in whole or in part, in perpetuity. This
includes, but is not limited to, social media, advertising, publications,
marketing material, or any other form of media.
The company content:
The
company grants the Brand Affiliate a non-exclusive, non-transferable,
revocable, limited license to use the Company's name, logo, slogans, promo
codes, likeness, and other advertising material solely for the purpose of this Brand
Affiliate agreement. The company retains all rights to their content.
Termination
The
company may terminate the relationship with the Brand Affiliate at any time for
any reason with or without cause.
If a Brand Affiliate wishes to be removed
from the Brand Affiliate program, they can do so at any time by
contacting: info@happytails-wellness.com.
Limited Liability
You
expressly agree and understand that the Company shall not be liable to you or
any third party for any direct, indirect, consequential or any other damages
including, but not limited to, damages for loss of profit, goodwill, or other
intangible losses resulting from the Brand Affiliate program.
Approve or Reject Brand Affiliate
Registration
We reserve the right to approve or reject
ANY Brand Affiliate Program Registration in our sole and absolute discretion.
You will have no legal recourse against us for the rejection of your Brand
Affiliate Program Registration.
