These following terms and conditions apply to individuals who are accessing or using the Program both as a merchant (“we” or “merchant”) and an affiliate (“you” or “affiliate”) who refers customers to use product or service from the merchant.
By participating in the Program, Affiliate agrees to use the Program in the manner specified in, and are bound by, these Terms and Conditions. If you do not agree to these Terms and Conditions in their entirety you are not authorized to register as an Affiliate or participate in the Program in any manner.
1. Approve or Reject of the Registration
We reserve the right to approve or reject ANY Affiliate Program Registration in our sole and absolute discretion. You will have no legal recourse against us for the rejection of your Affiliate Program Registration.
2. Affiliate Links and Coupon
Affiliate link is automatically generated, but you can also generate an affiliate link for a specific product or collection. If a person clicks on someone else’s referral link and then later they click on yours, yours is the one that counts.
Affiliate might or might not be assigned to one coupon code with details and usage clarified on Dashboard. If customer both click on the affiliate link and use coupon code, you will not receive a double commission. If you’re not assigned a branded coupon, then you’re not allowed to promote the coupon. Affiliates may not use their own referral link or coupon code to place orders.
Affiliate may also promote merchant website and products on online channels such as Facebook, Instagram, Tik Tok, and other social media channels, as well as the Affiliate's own website, podcast, online and in person groups. Affiliates may not place their own links/coupon codes on any of our posts/ads/pages.
Affiliates may not use any paid traffic channels (e.g. Facebook/Instagram Ads, YouTube ads, etc.) unless given express written permission from Humboldts Secret.
Affiliates may not run incentive traffic to our site and may not advertise coupon codes on coupon discount websites.
Humboldts Secret reserves the right to remove coupon codes that are found to be violating these terms, and reserves the right to remove Affiliates from the program, without notice, if they are not representing the Humboldts Secret brand in a professional, ethical, & respectful way.
We reserve the right to update terms and conditions. It is your responsibility to ensure that you are operating within them.
3. Conduct of Business
Affiliate agrees to:
To interact with people on behalf of Humboldts Secret in a manner which reflects favorably at all times on the products, services, goodwill and reputation of Humboldts Secret;
To remain in full compliance with all applicable laws and Regulations; including those governing privacy.
To not engage in deceptive, misleading or unethical practices including but not limited to ‘spamming’ unauthorized use of customer information, ‘phishing’, and violating ‘do not contact’ requests.
To not to make any statements, representations, warranties, or guarantees that are inconsistent with this Agreement or the policies established by Humboldts Secret.
To only conduct business in or through the Affiliate’s personal network, and take reasonable precautions to safeguard their discount code against unauthorized distribution.
4. Commissions and payment
Refer any customer to make a purchase on our website, you will get a commission amount which is calculated based on Commission structure. Commission amount is dependent on order value and not including extra fee (tax, shipping cost,...).
For an Affiliate to receive a commission, you need to specify the payment details on Settings. Payment schedule will be notified on Affiliate Guide page.
Payments will only be sent for transactions that have been successfully completed. Use of the Affiliate Program is subject to a fair use policy which gives merchant the right to review each and every referral order. Status of commission if displayed in Commission tab, any paid commission will be listed on Payment tab. Transactions that result in charge backs or refunds will not be paid out.
5. Marketing tool
We may share promotion media such as banner, logo or specific collection promotion to you through Marketing tool tab. You can download the media or get the HTML embed code in order to share on affiliate channels.
6. Network
If Network tab is activated, affiliate can invite others to become their downline affiliate. If any downline affiliate brings order to merchant shop, upline affiliate will also get network commission which depends on merchant settings.
To invite other affiliates into the system, share network link and any other affiliate who click on that link and sign up will become a downline affiliate.
7. Cookie
We use a cookie to track people who have clicked on your link, so they need to be using cookies for us to track them.
If a person doesn't allow cookies or clears their cookies then we can't track them so can't pay earnings on that person's activity.
Cookies day is said on the Affiliate registration form. The tracking day will start from the time a customer clicks on the affiliate’s link or use the coupon. Within the cookie time, every order made by this customer at merchant website will automatically result in commissions to the affiliate (There’s no need for the customer to click on the affiliate link then).
8. Removal from Referral Program
If an affiliate wishes to be removed from the affiliate program, they can do so by contacting: Support@HumboldtsSecret.com.
Humboldts Secret may terminate this Agreement for cause immediately and without further notice in the event that: (i) Affiliate fails to perform any of Affiliate’s obligations under this Agreement or is otherwise in default hereunder; (ii) Humboldts Secret, in its sole discretion, determines that the Affiliate does not meet the Program criteria for participants as determined by Humboldts Secret from time to time; or (iii) any conduct or proposed conduct of the Affiliate exposes or threatens to expose Humboldts Secret to any liability or obligation, including any obligation under federal, state or local law.
Participation in this program is voluntary, and either party may terminate this Agreement upon notification to the other. Termination is effective immediately days following notification by either party.
Effect of Termination. Upon expiration or termination of this Agreement, regardless of the reason therefore: (i) all privileges and benefits of the Program will be immediately revoked; (ii) Affiliate shall immediately cease use of all Humboldts Secret marketing material and discount/coupon codes, copyrights and all Program systems access; (iii) Should this Agreement be terminated by Humboldts Secret for cause including, but not limited to violations of this agreement, violation of any laws or regulations governing this program or sufficiently severe damage to Humboldts Secret’s reputation or ethical standing shall forfeit any commissions not paid out at the time of termination.
Any controversy or claim arising out of or relating to this Agreement or the breach thereof, shall be settled by binding arbitration administered by a single neutral arbitrator in accordance with the Commercial Arbitration Rules of the American Arbitration Association, and judgment upon the award rendered by the arbitrator(s) may be entered in any court having jurisdiction thereof. The arbitration hearing and all proceedings in connection therewith shall take place in San Diego, California. The arbitration shall be conducted by one arbitrator, selected by both the parties or, if they are unable to agree on the selection, a practicing attorney or retired judge with at least ten years total working experience as such. The arbitration hearing shall be commenced within 90 days of the filing of a Demand for Arbitration by either party, and the award shall be rendered within 90 days of the conclusion of such hearing.
