Welcome to Cavelit! Thanks for joining our Affiliate program.
These following terms and conditions (“Terms and Condition”) apply to individuals who are accessing or using the Program (“Program”) both as a merchant (“we” or “Merchant”) and an affiliate (“you” or “Affiliate”) who refer customers to use products or services from the Merchant.
By participating in the Program, Affiliate agrees to use the Program in the manner specified in, and are bound by, these Terms and Conditions. If you do not agree to these Terms and Conditions in their entirety, then you are not authorized to register as an Affiliate or participate in the Program in any manner.
1. Approve or Reject of the Registration
We reserve the right to approve or reject ANY Affiliate Program Registration in our sole and absolute discretion. You will have no legal recourse against us for the rejection of your Affiliate Program Registration.
2. Affiliate Links and Coupon
An Affiliate link will be emailed to you from marty@cavelit.com. If a person clicks on someone else’s referral link and then later they click on your link, your link is the one that counts.
Affiliate may also advertise a Merchant website on online channels such as Facebook or Instagram, or offline classified channel ads, magazines, and newspapers.
3. Commissions and payment
If you refer any customer to make a purchase on our website, you will earn a commission amount which is calculated based on our commission structure. Your commission amount is dependent on the order value and does not include any extra fee (i.e., tax and shipping cost). For an Affiliate to receive a commission.
You cannot refer yourself, and you will not receive a commission on your own accounts. There is also a limit of one commission per referral. If someone clicks the link on your site and orders multiple accounts, then you will receive a commission on the first order only.
For an Affiliate to receive a commission, you need to specify the payment details on Settings. The Affiliate commission payment schedule will be listed on the Affiliate Guide page.
Payments of a commission will only be sent for transactions that have been successfully completed. Use of the Affiliate Program is subject to a fair use policy which gives Merchant the right to review each and every referral order. Status of commission will be displayed in the Commission tab, and any paid commission will be listed on the Payment tab. Transactions that result in charge backs or refunds will not be paid out a commission.
The commission will be paid to Affiliate on a monthly basis within 30 days of the end of each calendar month, provided that the amount due to Affiliate is at least $50.
4. Marketing tool
We may share promotion media such as banner, logo or specific collection promotion to you through the Marketing tool tab. You can download the media or get the HTML embed code in order to share on Affiliate channels.
5. Network
If the Network tab is activated, Affiliate can invite others to become their downline affiliate. If any downline affiliate brings orders to Merchant’s shop, the upline affiliate will also receive a network commission but payment of the commission is dependent on Merchant’s settings.
To invite other affiliates into the system, share your network link and any other affiliate who clicks on that link and signs up will become a downline affiliate.
6. Tracking Orders
We use a cookie to track people who have clicked on your link, so they need to be using cookies for us to track them.
If a person doesn't allow cookies, or clears their cookies, then we cannot track them and we cannot pay earnings on that person's activity.
Cookies day is sated on the Affiliate registration form. The tracking day will start from the time a customer clicks on the Affiliate’s link or uses the coupon. Within the cookie time, every order made by this customer on Merchant’s website will automatically result in commissions to the Affiliate (There’s no need for the customer to click on the Affiliate link).
7. Governing Law, Jurisdiction, and Attorney Fees
This Agreement shall be governed by and construed in accordance with the laws of the Commonwealth of Vermont. Any dispute arising under or related in any way to this Agreement shall be adjudicated exclusively in the state courts located in Burlington, Vermont.
In the event of litigation to enforce any provision of this Agreement, the prevailing party will be entitled to recover from the other party its costs and fees, including reasonable legal fees.
8. Intellectual Property
Cavelit LLC retains all ownership rights to the Program and all associated intellectual property. Affiliate may use Cavelit's logos and marketing materials in promoting the Program, but may not alter or modify them in any way.
9. Confidentiality
Affiliate agrees to keep confidential all information related to Cavelit's business, including but not limited to customer lists, sales figures, and marketing strategies.
10. Pay Per Click (PPC) Policy
PPC bidding is NOT allowed without prior written permission.
11. Liability
We will not be liable for indirect or accidental damages (loss of revenue, commissions) due to affiliate tracking failures, loss of database files, or any results of intents of harm to the Program and/or to our website(s).
We do not make any expressed or implied warranties with respect to the Program and/or the memberships or products sold by us. We make no claim that the operation of the Program and/or our website(s) will be error-free and we will not be liable for any interruptions or errors.
12. Indemnification
Affiliate shall indemnify and hold harmless Cavelit and its affiliate and subsidiary companies, officers, directors, employees, licensees, successors and assigns, including those licensed or authorized by Cavelit to transmit and distribute materials, from any and all liabilities, damages, fines, judgments, claims, costs, losses, and expenses (including reasonable legal fees and costs) arising out of or related to any and all claims sustained in connection with this Agreement due to the negligence, misrepresentation, failure to disclose, or intentional misconduct of Affiliate.
13. Term and Termination
This Agreement will remain in effect until terminated by either party. Either party may terminate this Agreement at any time, with or without cause, by giving written notice to the other party. Upon termination, Affiliate must immediately cease all promotion of the Program and remove all references to Cavelit from Affiliate's website and marketing materials.
14. Changes
We may make changes to these Terms and Conditions (including any additional Program terms and conditions incorporated by reference herein) from time to time by notifying you of such changes by any reasonable means, including by posting the revised Terms and Conditions on the Program (provided that, for material changes, we will seek to supplement such notice by email, an in-service pop-up message, or other prominent notice within the Program, or other means). Your use of the Program following any changes to these Terms and Conditions will constitute your acceptance of such changes.
