These Affiliate Program Terms and Conditions ("Agreement") are entered into by and between Incognito Cosmetic Co. ("Company") and you ("Affiliate"), collectively referred to as the "Parties." By participating in the Incognito Cosmetic Co. Affiliate Program, you agree to comply with the terms and conditions outlined below:
1. Enrollment in the Affiliate Program
1.1 Eligibility: To become an affiliate, you must be at least 18 years old and have a valid, established online platform (e.g., website, blog, social media account) that aligns with Incognito Cosmetic Co. values and target audience.
1.2 Application: To apply to the Affiliate Program, you must complete the affiliate application available on the Incognito Cosmetic Co. website.
1.3 Acceptance: Your application will be reviewed by Incognito Cosmetic Co., and we reserve the right to accept or reject any application at our discretion.
2. Affiliate Responsibilities
2.1 Promotion: As an affiliate, you are responsible for promoting Incognito Cosmetic Co. products and brand in a truthful and ethical manner.
2.2 Compliance: You agree to comply with all applicable laws, regulations, and ethical standards while participating in the Affiliate Program.
2.3 Marketing Materials: Incognito Cosmetic Co. will provide you with marketing materials, such as banners, images, and text links, for use in your promotions. You may only use approved materials provided by Incognito Cosmetic Co.
2.4 No Misleading Claims: You must not make any false, misleading, or deceptive claims about Incognito Cosmetic Co.'s products or services in your marketing efforts.
2.5 Non-Compete: During your participation in the Affiliate Program, you may not promote or advertise products that directly compete with Incognito Cosmetic Co.'s offerings.
3. Commission and Payouts
3.1 Commission: Incognito Cosmetic Co. will pay affiliates a commission on eligible sales generated through their unique affiliate links. The commission rate and structure will be outlined separately and may vary based on the agreement between Incognito Cosmetic Co. and the affiliate.
3.2 Payment: Commissions will be paid on a regular schedule as specified in your affiliate agreement (e.g., monthly, quarterly). Payment will be made via the payment method selected by the affiliate during the application process.
3.3 Minimum Payout: You must reach a minimum commission balance, as specified in your affiliate agreement, before a payout is issued.
3.4 Taxes: You are responsible for paying any taxes or fees associated with your affiliate earnings.
4. Termination and Cancellation
4.1 Termination: Either party may terminate this Agreement at any time, with or without cause, by providing written notice to the other party.
4.2 Incognito Cosmetic Co.'s Right to Terminate: Clean Makeup Company reserves the right to terminate the Agreement immediately if it determines that the affiliate has violated any of the terms and conditions outlined herein.
5. Intellectual Property
5.1 Ownership: Incognito Cosmetic Co. retains all rights, title, and interest in its trademarks, logos, images, and other intellectual property. You may not use Incognito Cosmetic Co.'s intellectual property without prior written consent.
6. Confidentiality
6.1 Confidential Information: During your participation in the Affiliate Program, you may have access to confidential information related to Incognito Cosmetic Co.'s business. You agree to keep such information confidential and not disclose it to third parties.
7. Modification of Agreement
7.1 Amendments: Incognito Cosmetic Co. reserves the right to modify this Agreement at any time. Affiliates will be notified of any changes, and it is their responsibility to review and comply with the updated terms and conditions.
8. Governing Law
8.1 Jurisdiction: This Agreement shall be governed by and construed in accordance with the laws of Bowie County.
By participating in the Incognito Cosmetic Co. Affiliate Program, you acknowledge that you have read, understood, and agreed to these terms and conditions. If you do not agree with these terms, please do not participate in the program.
