This AmbassadorProgram Agreement (“Agreement”) is entered into by and between LOTUSWEI LLC (“LOTUSWEI,” “Company,” “we,” or “us”) and the ambassador, creator, influencer, or partner participating in the LOTUSWEI Ambassador Program (“Ambassador” “Partner,” or “you”).
By applying to, participating in, receiving commissions through, or otherwise engaging in the LOTUSWEI Ambassador Program, Ambassador agrees to the following terms and conditions.
1. Program Overview
The LOTUSWEI Ambassador Program allows approved affiliates to promote LOTUSWEI products in exchange for store credit on qualified sales generated through the Ambassador’s unique referral link or discount code.
Participation in the program is non-exclusive and may be modified or terminated by LOTUSWEI at any time.
2. Affiliate Tiers & Commission Structure
Ambassador store credit commissions are based on total referral sales generated through Affiliate’s unique tracking link or code.
Rose Tier
LOTUSWEI reserves the right to modify commission structures, cookie duration, tier thresholds, payout schedules, or affiliate benefits at any time.
3. FTC Disclosure Compliance
Ambassadormust clearly and conspicuously disclose their relationship with LOTUSWEI in all promotional content in accordance with applicable advertising laws and Federal Trade Commission (“FTC”) guidelines.
Acceptable disclosures include, but are not limited to:
Disclosures must be easy to notice and understandable to viewers.
4. Brand & Marketing Guidelines
Ambassador agrees to:
Use the correct spelling and capitalization of the LOTUSWEI brand name
Use only approved LOTUSWEI branding, messaging, and product descriptions where provided
Avoid misleading, deceptive, or false advertising practices
Represent LOTUSWEI products truthfully and responsibly
Ambassador may not create unauthorized medical, scientific, or therapeutic claims.
5. Permitted Language & Testimonials
Ambassador may use general wellness and structure/function language that is truthful, non-misleading, and aligned with LOTUSWEI marketing guidance.
Permitted examples include:
“Supports emotional balance and wellbeing”
“Promotes relaxation and stress resilience”
“Encourages a calm, grounded state”
“Supports mindset, clarity, and personal growth”
Ambassador may share personal experiences and testimonials provided that:
Testimonials reflect honest and typical experiences
Results are not exaggerated or presented as guaranteed
Testimonials do not include medical or disease-related claims
6. Prohibited Medical & Therapeutic Claims
Ambassador agrees not to make any medical, therapeutic, scientific, or disease-related claims—whether expressed or implied—regarding LOTUSWEI products.
Ambassador may not state or imply that LOTUSWEI products diagnose, treat, cure, prevent, mitigate, or heal any disease, medical condition, or mental health disorder.
Ambassador also agrees not to reference specific diseases, diagnoses, or symptoms in a manner suggesting that LOTUSWEI products are effective treatments.
Prohibited claims include, but are not limited to:
“Treats anxiety, depression, PTSD, or trauma”
“Heals hormonal imbalances or gut disorders”
“Cures insomnia, chronic fatigue, or autoimmune conditions”
“Replaces therapy, medication, or medical treatment”
“Lowers inflammation”
Any statement implying guaranteed or medically proven outcomes
7. Compliance Monitoring & Removal of Content
LOTUSWEI reserves the right to monitor Ambassador marketing, advertising, and communications for compliance with this Agreement.
If LOTUSWEI determines that Ambassador content contains prohibited, misleading, or non-compliant claims, Ambassador agrees to remove or revise such content within twenty-four (24) to forty-eight (48) hours after receiving notice from LOTUSWEI.
Failure to comply may result in:
Immediate suspension or termination from the Ambassador Program
Forfeiture of unpaid commissions
Removal from future campaigns or partnerships
8. Indemnification
Ambassador agrees to indemnify, defend, and hold harmless LOTUSWEI, its officers, employees, contractors, affiliates, successors, and agents from and against any claims, damages, liabilities, losses, expenses, or legal actions arising out of:
Ambassador's breach of this Agreement
Unauthorized claims or representations made by Ambassador
Ambassador's advertising, marketing, or promotional activities
Violations of applicable laws, regulations, or FTC guidelines
9. Intellectual Property & Content Usage Rights
By participating in theAmbassador Program and creating content featuring LOTUSWEI products, Ambassador grants LOTUSWEI a non-exclusive, royalty-free, worldwide license to repost, share, reproduce, and display such content across LOTUSWEI-owned marketing channels, including:
LOTUSWEI agrees to provide credit where reasonably possible.
LOTUSWEI will seek separate written permission before using Ambassador content in paid advertising campaigns.
If Affiliate does not wish for content to be reused in this manner, Ambassador may notify LOTUSWEI in writing at affiliate@lotuswei.com.
10. Independent Contractor Relationship
Ambassador is an independent contractor and not an employee, agent, joint venture partner, or representative of LOTUSWEI.
Ambassador has no authority to bind LOTUSWEI to any obligation or agreement.
11. Termination
LOTUSWEI reserves the right to terminate this Agreement and Ambassador’s participation in the program at any time, with or without notice, including immediately for:
Prohibited medical claims
Misleading marketing
FTC non-compliance
Brand misuse
Failure to comply with program requirements
Conduct that may harm the LOTUSWEI brand or reputation
Ambassador may also terminate participation at any time by providing written notice.
12. Limitation of Liability
To the maximum extent permitted by law, LOTUSWEI shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from participation in the Affiliate Program.
13. Governing Law
This Agreement shall be governed by and construed in accordance with the laws of the State of [STATE], without regard to conflict of law principles.
14. Entire Agreement
This Agreement constitutes the entire understanding between the parties regarding the Affiliate Program and supersedes all prior discussions, communications, or agreements relating to the subject matter herein.
