Affiliate Collaboration Agreement

This Affiliate Collaboration Agreement (the "Agreement") is intended  between Midnuances Academy of Photography, hereinafter referred to as the "Company," and the person who starts an affiliate partnership with the Company, hereinafter referred to as the "Affiliate."

This Agreement is effective as of the date the Affiliate subscribes to the affiliate program.

The affiliate program between the Company and the Affiliate involves the Affiliate promoting the Company's brand and its photography courses both online (to their social audience) and offline, and receiving a commission for each sale derived from their promotional activities.

The Affiliate will be equipped with a unique link and a unique coupon code, in order to effectivly track each sale/enrollment derived from his/her promoting activities (unique link's purpose) and to incentivize enrollments (unique coupon code's purpose).

The Affiliate can decide whether to share the coupon code to his/her audience or not. Sharing it might encourage more enrollments, but the commission's amount will be slightly lower. Not sharing it might result in losing some enrollments, but the commission's amount will be higher.

Each sale/enrollment derived from a visitor clicking the Affiliate's link will grant the Affiliate a commission on the profits generated from the sale. Therefore, taxes (if any) and other expenses will be excluded from the amount calculated for the percentage of the commission.

The following Terms & Conditions apply to this Agreement:

1. Commission:
The Affiliate will receive a commission of 30% on the profits generated from valid sales referred through the Affiliate's promotional activities.

2. Payment Schedule:
Payments will be remitted to the Affiliate on the 15th of each month, from sales made the preceding month. 

3. Cookies:
Cookies will remain active for a period of 30 days after a user clicks the Affiliate's referral link.

4. Content and Promotion:
The Company will provide the Affiliate with promotional content (images, and videos), The Affiliate may also create his/her own content, subject to review and approval by the Company before publication. Misleading promotion, spam, or misinformation about the Company or the courses is prohibited and may lead to the collaboration's termination.

5. Access to Courses and learning material:
The Affiliate will have free access to the Company's courses. The Affiliate may promote the platform using images or videos showing its functionalities and features.

Sharing educational material included in the courses with the Affiliate's audience requires explicit permission from the Company, with the exception for the material visible during platform's features demonstration.
Sharing the educational material within the courses, with exception for the paragraph above, can lead to collaboration termination and to copyright infrangement.

6. Termination:

6.1 The collaboration between the Company and the Affiliate may be terminated for various reasons, including misinformation, spam, unauthorized promotional activities, scam attempts, or any other actions that have a negative impact on the brand's image or its customers. Termination will take effect immediately upon notification.

6.2 The collaboration may also be terminated due to personal reasons from both parties. Nor the Company or the Affiliate will be obligated in sharing the reasons behind the decision of terminating the collaboration.

6.3 In cases where the termination of the collaboration between the Company and the Affiliate is due to negative promotional activities by the Affiliate (such as misleading information or promotions, spam, or activities that negatively impact the brand's reputation or its customers), or due to fraud or attempted fraud, the Affiliate will not receive any outstanding commissions accumulated up to the termination date of the collaboration.

7. Affiliate Dashboard:
The Affiliate will have access to a personalized dashboard to monitor sales and commissions derived from their promotional activities.

8. Prohibited Information:
The Affiliate may only promote the Company's and their own content approved by the Company. Sharing any other information can result in the collaboration's immediate termination.

9. Indemnification:
The Affiliate agrees to indemnify the Company from claims arising from their promotional activities.

10. Contract Duration and withdrawl:
This ongoing contract can be terminated by either party without any specific reason, with immediate effect upon notification.

Penalties will not be applied to neither party in the case of withdraw, witch exception for cases in which the collaboration termination is due to reasons described in point 6.3 above.

Commissions will not apply to sales derived from the Affiliate's promotional activities after the termination of the collaboration.

11. Geographical Restrictions:
No geographical restrictions apply; the Affiliate is encouraged to promote the Company and its courses where he/she and his/her audience reside.

12. Prohibited media:
The Affiliate cannot share advertising material about the Company or its courses on websites, webpages, social accounts, or any communication medium that might negatively associate with the Company's image, such as content related to pornography, hate, violence, political debates etc. Violation will lead to immediate termination of the collaboration and other legal consequences.

13. Misleading or hateful promoting activities:
The Affiliate agrees to not promote the Company's brand and its courses in any way that might negatively impact the Company's image and reputation.

Violation will lead to immediate termination of the collaboration and other legal consequences.

14. Payment method:
The Affiliate will be paid via PayPal and agrees to share personal information for payment processing.

15. Affiliate's personal information:

Affiliate's personal information will not be sold or shared with third parties, except for the parties necessary for collaboration purposes.

16. Tracking:

When a user clicks on the Affiliate's link and accepts the cookies, the cookie related to the Affiliate's link will be present in the user's device for 30 days.

This means that even if the user leaves the page and comes back to complete the purchase/enrollment in a time interval of 30 days (from the same device), the commission to the Affiliate will still apply.

If the user does not accept the cookies, sales and commissions cannot be tracked and therefore commissions cannot be applied to the Affiliate.

17. Communications:
Communication between the Company and the Affiliate will be conducted via the email address provided by the Affiliate.

18. Disclaimer:

The Company doesn't guarantee in any way that the Affiliate will generate sales through his/her promotional activities and therefore  commissions.

By continuing with the subscription to the Affiliate Collaboration Program, both parties acknowledge and agree to the terms and conditions set in this Affiliate Collaboration Agreement.
