These following terms and conditions apply to individuals who are accessing or using the Program both as a merchant (“we” or “merchant”) and an affiliate (“you” or “affiliate”) who refers customers to use product or service from the merchant.
By participating in the Program, Affiliate agrees to use the Program in the manner specified in, and are bound by, these Terms and Conditions. If you do not agree to these Terms and Conditions in their entirety you are not authorized to register as an Affiliate or participate in the Program in any manner.
“Social Media Account” means a registered account with a social media, social network or content sharing platform, including but not limited to Facebook, Twitter, Instagram, Snap, YouTube, Vimeo and Pinterest.
You must refrain from posting or transmitting any unlawful, threatening, libelous, defamatory, obscene, indecent, inflammatory, pornographic or profane material or any material for the matter that could constitute or encourage conduct that would be considered a criminal offense, give rise to civil liability, or otherwise violate any laws. You are not allowed to post anything mentioned in the sentence above.
Also, you are not allowed to posting or transmitting any information that (a) infringes the rights of others or violates their privacy or publicity rights, (b) is protected by copyright, trademark or other proprietary right, unless you have the express written permission of the owner of such right, (c) contains a virus, “bug”, malware or other harmful item or (d) is used to unlawfully conspire against another person in restraint of trade or competition. You shall be solely liable for any damages resulting from any infringement of copyright, trademark or other proprietary right, or any other harm resulting from your use of this Site.
1. Approve or Reject of the Registration
We reserve the right to approve or reject ANY Affiliate Program Registration in our sole and absolute discretion. You will have no legal recourse against us for the rejection of your Affiliate Program Registration.
2. Affiliate Links and Coupon
Affiliate link is automatically generated, but you can also generate an affiliate link for a specific product or collection. If a person clicks on someone else’s referral link and then later they click on yours, yours is the one that counts.
Affiliate might or might not be assigned to one coupon code with details and usage clarified on Dashboard. If customer both click on the affiliate link and use coupon code, you will not receive a double commission. If you’re not assigned a branded coupon, then you’re not allowed to promote the coupon.
Affiliate may also advertise merchant website on online channels such as Facebook, Instagram,... or offline classified channel ads, magazines, and newspapers.
3. Commissions and payment
Refer any customer to make a purchase on our website, you will get a commission amount which is calculated based on Commission structure. Commission amount is dependent on order value and not including extra fee (tax, shipping cost,...).
For an Affiliate to receive a commission, you need to specify the payment details on Settings. Payment schedule will be notified on Affiliate Guide page.
Payments will only be sent for transactions that have been successfully completed. Use of the Affiliate Program is subject to a fair use policy which gives merchant the right to review each and every referral order. Status of commission if displayed in Commission tab, any paid commission will be listed on Payment tab. Transactions that result in charge backs or refunds will not be paid out.
4. Marketing tool
We may share promotion media such as banner, logo or specific collection promotion to you through Marketing tool tab. You can download the media or get the HTML embed code in order to share on affiliate channels.
5. Network
If Network tab is activated, affiliate can invite others to become their downline affiliate. If any downline affiliate brings order to merchant shop, upline affiliate will also get network commission which depends on merchant settings.
To invite other affiliates into the system, share network link and any other affiliate who click on that link and sign up will become a downline affiliate.
6. Cookie
We use a cookie to track people who have clicked on your link, so they need to be using cookies for us to track them.
If a person doesn't allow cookies or clears their cookies then we can't track them so can't pay earnings on that person's activity.
Cookies day is said on the Affiliate registration form. The tracking day will start from the time a customer clicks on the affiliate’s link or use the coupon. Within the cookie time, every order made by this customer at merchant website will automatically result in commissions to the affiliate (There’s no need for the customer to click on the affiliate link then).
7. Removal from Referral Program
If an affiliate wishes to be removed from the affiliate program, they can do so by contacting: contact@mprireartistry.com with a removal or deletion request.
8. Termination
We may, in our discretion and without liability to you, with or without cause, with or without prior notice, and at any time terminate these AToS, the Terms, or your access to the Service. You may cancel your Affiliate account at any time by contacting us or following the prompts on the Site. Please note that if your Affiliate Account is cancelled, we do not have an obligation to delete or return to you any Content you have posted to the Services, including, but not limited to, any reviews or feedback
9. Registration
To create a Affiliate Account by using your email address, follow the prompts on the Site. You agree to provide accurate, current and complete information during registration and to update such information to keep it accurate, current and complete. You agree that you will safeguard your password and that you are solely responsible for any activities or actions under your Affiliate Account, whether or not you have authorized such activities or actions. You will immediately notify us of any unauthorized use of your Affiliate Account. You are solely responsible for your Content and Affiliate Account.
LIMITATION OF LIABILITY
TO THE FULLEST EXTENT PROVIDED BY LAW, MPIRE ARTISTRY ASSUMES NO RESPONSIBILITY, AND SHALL NOT BE LIABLE FOR, ANY LOSS OR DAMAGES CAUSED BY A DISTRIBUTED DENIAL-OF-SERVICE ATTACK, VIRUSES OR OTHER TECHNOLOGICALLY HARMFUL MATERIAL THAT MAY INFECT YOUR COMPUTER EQUIPMENT, COMPUTER PROGRAMS, DATA OR OTHER PROPRIETARY MATERIAL DUE TO YOUR ACCESS TO, USE OF, OR BROWSING IN THIS SITE OR YOUR DOWNLOADING OF ANY MATERIALS, DATA, TEXT, IMAGES, VIDEO OR AUDIO FROM THE SITE.
IN NO EVENT SHALLMPIRE ARTISTRY, ITS EMPLOYEES, AGENTS OR ANY THIRD PARTY PROVIDERS BE LIABLE FOR ANY INJURY, LOSS, CLAIM, DAMAGE, LOSS OF PROFITS, SALES, BUSINESS OR REVENUE, BUSINESSS INTERPRETATION, LOSS OF ANTICIPATED SAVINGS, LOSS OF BUSINESS OPPORTUNITY, GOODWILL OR REPUTATION, OR ANY SPECIAL, EXEMPLARY, PUNITIVE, INDIRECT, INCIDENTAL OR CONSEQUENTIAL DAMAGES OF ANY KIND, WHETHER BASED IN CONTRACT, TORT (INCLUDING NEGLIGENCE), STRICT LIABILITY OR OTHERWISE, WHICH ARISES OUT OF OR IS IN ANY WAY CONNECTED WITH (I) ANY USE OF THIS SITE OR CONTENT, (II) ANY FAILURE OR DELAY (INCLUDING, BUT NOT LIMITED TO THE USE OF OR INABILITY TO USE ANY COMPONENT OF THIS SITE) OR (III) THE PERFORMANCE OR NONPERFORMANCE BY MPIRE ARTISTRY OR ANY THIRD PARTY PROVIDERS, EVEN IF SUCH PARTY HAS BEEN ADVISED OF THE POSSIBILITY OF DAMAGES TO SUCH PARTIES OR ANY OTHER PARTY.
10. Service Process And Payment
Creators retained to participate in a marketing campaign may be compensated in a number of ways: by monetary payment; through receipt of goods or services; or a combination of both. Creators must register as affiliate marketers and will provide compensation based on actions taken by end users (such as shares, re-posts, or purchases of goods or services directly connected to a Creator’s Social Media Account posts). The compensation for each marketing campaign will be communicated in the marketing campaign description.
11. Use of Your Content; Responsibility for Your Content
When you as a Creator post Content on the Services, or post Content on your Social Media Accounts pursuant to an agreement with Mpire Artistry, you represent and warrant as follows:
(a) that you have the right, power, and authority to post that Content and grant the licenses specified below;
(b) that by posting or providing such Content you will not violate third-party rights of any kind, including, without limitation, any Intellectual Property Rights, rights of publicity, and privacy rights;
(c) you are the owner of all the copyright rights to your original Content and that we may exercise the rights to your Content granted under the AToS without any liability or obligation for any payment beyond the compensation agreed to between you and the User that commissioned your Content;
(d) As to any Content you created pursuant to an agreement with another User, you will immediately remove such Content from the Service or any Social Media Account on the request of Mpire Artistry or the User that commissioned the Content;
(e) You are solely responsible for all and Content and all postings to your Social Media Accounts;
(f) all of your Social Media Account and Website postings made under or based on an agreement with another User: (a) will be in compliance with all applicable laws, rules and guides (such as FTC Guides Concerning Sponsored Endorsements); (b) will have all necessary intellectual property and other rights for such use; (c) will not infringe the rights of any third party.
If you are selected to provide Content in support of a marketing campaign, you agree that the terms of your selection include granting Mpire Artistry (i) the right, in its sole discretion, to require that any posting of your Content be removed, (ii) the right and opportunity to include one or more metadata files, pixels,tagging software, or other tracking technology as part of any Content you post, and (iii) the option, in its sole discretion, to require that your Content be reviewed and approved prior to posting.
9. Licenses
(a) Mpire Artistry License to You. Subject to your compliance with these AToS and the Terms, we grant you a limited, non-exclusive, revocable, non-transferable license, to (i) access and utilize the Services made available to you, and (ii) access and view any User Content to which you are permitted access. You have no right to sublicense the license rights granted in this section.You represent, warrant and agree that you will not use, copy, adapt, modify, prepare derivative works based upon, distribute, license, sell, transfer, publicly display, publicly perform, transmit, broadcast or otherwise exploit the Services or Content, except as expressly permitted in these AToS. No licenses or rights are granted to you by implication or otherwise under any intellectual property rights owned or controlled by Mpire Artistry or its licensors, except for the licenses and rights expressly granted in these AToS.
(b) Your License to Mpire Artistry. By posting Content on or through the Services as part of an affiliate, creator or influencer marketing engagement with Mpire Artistry, you hereby grant to Mpire Artistry a worldwide, irrevocable, perpetual, non-exclusive, transferable, royalty-free license, with the right to create derivative works, sublicense, use, edit, view, copy, adapt, modify, distribute, license, sell, host, market, transfer, publicly display, publicly perform, transmit, stream, broadcast, access, and otherwise exploit such publicly available User Content on, through, or by means of the Services as currently exist or may be developed in the future only to: (i) market and promote the Services and the Site, and (ii) for internal reports and reports.
(c) Your License to Marketing Campaign Users. By posting Content on your Social Media Accounts and Websites under an agreement with Mpire Artistry to support a marketing campaign, you hereby grant to Mpire Artistry such license and rights as you specifically accepted pursuant to the rights selected by each such marketing campaign. Nothing in these AToS will be deemed to restrict any rights that you may have to use and exploit any such Content; however, your rights to use or exploit Content may be restricted by the terms of your agreement with the User that retained you to create such Content.
12. Confidentiality; Non-Disparagement
You understand and agree that the information contained within a marketing campaign to which you are invited, as well as other information you may receive from Mpire Artistry posting such marketing campaign, contains confidential business, technical or financial information relating to that User’s business (hereinafter referred to as “Confidential Information”).You agree: (i) to take reasonable precautions to protect such Confidential Information from disclosure to third parties; and (ii) to only use such Confidential Information in the performance of the Services or satisfaction of any agreement you reach with the User posting the marketing campaign.Your obligations under the provision expire five (7) years following the disclosure of the Confidential Information to you, or when such Confidential Information (a) is or becomes generally available to the public, or (b) was in your possession or known to you prior to receipt, or (c) was rightfully disclosed to you without restriction by a third party, or (d) was independently developed by you without the use of any Confidential Information, or (e) is required to be disclosed by law.
You further understand and agree that you will not make any (i) negative, critical, hostile, or disparaging public or private statements concerning Mpire Artistry, any marketing campaign, or any product or service in any way associated with a marketing campaign.This agreement shall not in any way prevent you from disclosing information in response to a lawful subpoena or court order, or to your personal attorney, accountant or other professional obligated to maintain the confidentiality of the information disclosed.
