Welcome to NSJ Wellness Lifestyles Private Limited! Thank you for your interest in joining our Affiliate Program (“Affiliate Program”).

These following terms and conditions apply to individuals who intend to become an affiliate. An “Affiliate” is a marketer who refers customers to purchase products and/or services from us by listing our products and/or services for sale at our store or website.

By participating in the Affiliate Program, an Affiliate agrees to use the Affiliate Program in the manner specified in, and are bound by, these Terms and Conditions. If you do not agree to these Terms and Conditions in their entirety you should not register as an Affiliate or participate in the Affiliate Program in any manner.

1. Approve or Reject of the Registration

We reserve the right to approve or reject ANY Affiliate Program registration in our sole and absolute discretion. You will have no legal recourse against us for the rejection of your application to register as an Affiliate under the Affiliate Program.

2. Affiliate Links and Coupon

Affiliate links are automatically generated, but you can also generate an Affiliate link for a specific product or collection. If a person clicks on someone else’s referral link and then later they click on yours, yours is the one that counts.

Affiliates might or might not be assigned to one coupon code with details and usage clarified on Dashboard. If the customer both click on the Affiliate link and use coupon code, you will not receive a double commission. If you’re not assigned a branded coupon, then you’re not allowed to promote the coupon.

An Affiliate may advertise our website (or our products and/or services) on any online channels such as Facebook, Instagram, telegram, whatsapp, SMS etc.

You agree not to use the Affiliate link or coupon code for any unlawful purpose or for any purpose prohibited under these Terms and Conditions. You further agree not to use the Affiliate link or the coupon code:

a.        In any way that could damage our websites, products, services, or our business generally;

b.         In violation of any applicable statutes, regulations or guidelines;

c.         In violation of any applicable data privacy and security law and regulations;

d.         To harass, abuse, or threaten others or otherwise violate the legal rights of others;

e.         To violate our IP or the IP of any third party;

f.          To upload or disseminate computer viruses, malware, or other software that may damage the property of a third party;

g.         To perpetrate fraud or give false or misleading information about our products and/or services;

h.         To publish or distribute obscene, defamatory, or discriminatory material;

i.          To unlawfully gather information about others;

j.          In connection with illegal spam activities including sending mass commercial emails.

3. Commissions and payment

We will pay the Affiliate the Commission Rate in respect of Net Revenue for each Transaction based on the commission structure  as follows:

a.         in respect of each Transaction, a commission rate of 20% (“Commission Rate”), whereby 15% of the Net Revenue will be paid out in cash and 5% of the Net Revenue will be accumulated as reward points;

b.         the reward points will be awarded and credited into the Affiliate’s account. The reward points are valid for the purchase or use of our products and/or services offered by us in Singapore subject to terms and conditions. The reward points are not transferable, refundable or redeemable in cash;

c.         The “Net Revenue” means in respect of each Transaction, the gross revenue received by us for that Transaction, exclusive of any goods and services tax and any other tax, shipping costs and after deduction of any rebate, allowance, credit or other adjustment granted or allowed in relation to that Transaction and any service fees or fulfilment or other charges (including in relation to credit cards) paid or payable by us to any third party (other than the Affiliate) in relation to that Transaction; and

d.         The “Transaction” means a purchase of any products and/or services offered for sale on our website by a customer who has clicked through directly to the Website from the Affiliate link or coupon code where that purchase is completed during a single browser session.

We reserve the right to modify the commission structure at our sole and absolute discretion. You acknowledge that any changes made to the commission structure are binding, and you waive any legal recourse against us for such modifications. You also acknowledge and agree that no payments are due to you under these Terms and Conditions otherwise than as expressly set out in these Terms and Conditions.

For an Affiliate to receive a commission, the Affiliate needs to specify his or her payment details on the “Settings” page in our portal for Affiliates. The applicable payment schedule for any commission will be notified on the “Affiliate Guide” page.

Payment for commissions will only be made for referrals leading to transactions that have been successfully completed. The use of the Affiliate Program is subject to a fair use policy which gives us the right to review each and every referral order. The status of outstanding commission will be displayed in the “Commission tab”, and any paid commission will be listed on the “Payment tab”. Transactions that result in charge backs or refunds will not be paid out.  The payout of commissions is subject our sole and absolute discretion. We reserve the right to suspend, or refuse or reverse any commissions if we suspect any fraudulent activities relating to the relevant transactions, unauthorised purchases, chargebacks, refunded payments and erroneous crediting and to adjust or offset any excess payments made to you against subsequent payments due to you under these Terms and Conditions or any other agreement you have with us, or to require you to pay such excess back to us promptly in immediately available funds. We will pay out the commissions to your specified bank account on a monthly basis within 20 days of the end of each calendar month.

4. Marketing tool

We may share promotional media such as banner, logo or specific collection promotions to Affiliates through the “Marketing tool tab”. Affiliates can download the media or get the HTML embed code in order to share on their Affiliate channels.

5. Network

If “Network tab” is activated, an Affiliate can invite others to become their downline affiliates.  

An Affiliate may invite a person to become his or her downline affiliate by sharing a “network link”. The invited person who clicks on that link and sign up will become a downline affiliate of the Affiliate who had extended the invitation.

6. Cookie

We use cookies to track the persons who have clicked on an Affiliate’s “link”, so an Affiliate who has extended them the link must ensure that they use cookies in order for us to track them.

If a person does not allow cookies or clears his or her cookies, then we will not be able to track them and we will not be able to pay any commission in relation to such person’s activity.

A description of the cookies used (including the relevant “cookie time”) is set out in the Affiliate Program registration form. The “tracking” for a cookie will start from the time a customer clicks on the Affiliate’s link or use a coupon. Within the “cookie time”, every order made by such customer at our website will automatically result in commissions to the relevant Affiliate (and there is therefore no need for the customer to repeatedly click on the “Affiliate link” within such “cookie time”).

7. Removal from Referral Program

If an Affiliate wishes to be removed from the Affiliate Program, he or she can do so at any time by contacting us at: nvshenjing3@gmail.com.

If you violate these Terms and Conditions or the terms and conditions of any other agreement that you have with us, then, in addition in addition to any rights and remedies that are available to us, we reserve the right to do any one or a combination of the following without advance notice to you:

a.         suspend your participation in this Affiliate Program;

b.         withhold commission payments during your suspension period, whether such commissions were earned before or during your suspension period;

c.         require the forfeiture of any commissions that have accrued to you during the period that you were in violation of these Terms and Conditions, whether or not such commissions have been paid to you and even when the commissions were for sales that did not breach the terms of these Terms and Conditions; and/or

d.         deactivate your account.

Your liability for your breach of these Terms and Conditions is not limited to the forfeiture of your commissions, and we reserve the right to recover the full extent of damages that you have caused to us as a result of your breach of these Terms and Conditions.
