As a NuGo Nutrition Brand Ambassador, I understand and agree to the following:

By signing up for the NuGo Nutrition Brand Ambassador Program through the NuGo Nutrition Brand Ambassador Page at https://www.nugonutrition.com/pages/ambassadors, I am agreeing to the terms and conditions listed below:

1. I am 18 years of age or older.
2. I am not an employee, agent, franchisee, or partner of the company. I cannot act on behalf of the company. I do not have any authority to incur debt, obligation, or liability on behalf of the company.
3. I will promote and market NuGo Nutrition, NuGo Fiber, or Promax Nutrition products to customers.
4. I will receive samples and share authentic reviews and experiences on social networks (blogs, posts, pictures, videos, etc.).
5. I will clearly and conspicuously disclose my relationship with NuGo Nutrition in all promotional or sponsored content in compliance with applicable laws and guidelines, including the Federal Trade Commission (FTC) Endorsement Guides. This includes using appropriate disclosures such as #ad, #sponsored, or #NuGoAmbassador where required.
6. I will receive new products and sample them for promotions we create or to be used as product images. NuGo Nutrition reserves the right to request edits, removal, or non-use of any content that it deems inappropriate, misleading, inaccurate, or inconsistent with brand guidelines or company values.
7. I will share content using our brand hashtag #nugobars
8. I will receive free product for my images and videos used for social media, email marketing or website content. There is no cash value on this product if it is used or unused. When given the product, NuGo Nutrition will own the rights to use the images or videos for use how they see fit.
9. I understand that I will not receive monetary compensation for use of images or videos used on the company’s social media networks unless discussed ahead of time and outlined in the contract or through email from ambassadors@nugo.com or contact@nugo.com.
10. I retain ownership of my original content but grant NuGo Nutrition a perpetual, royalty-free, worldwide license to use, reproduce, modify, distribute, and display such content for marketing and promotional purposes, including after termination of this agreement.
11. I will receive a 20% discount on any NuGo Nutrition products when placing an order using my exclusive Brand Ambassador promotion code that was sent to me.
12. All approved Brand Ambassadors will receive a unique referral link to add to your Instagram bio. This ensures that your followers and audience will easily find your discount/referral link on your profile.
13. If orders are submitted without using my Brand Ambassador promotion code, these orders will not be credited to my account. No cash compensation will be provided by the company. Only one promotion code can be applied per order.
14. NuGo may deduct or withhold any taxes that we may be legally obligated to deduct or withhold from any amounts payable to you under this Agreement. However, you are solely responsible for the payment of any and all income taxes or other taxes levied upon you by your state, federal, or local governments from Commissions received. From time to time, NuGo may request tax information from you. If we request tax information from you and you do not provide it to us, NuGo reserves the right to hold any amounts otherwise payable to you in connection with the Program until you provide this information or otherwise satisfy us that you are not a person from whom we are required to obtain tax information.
15. I will not share my Brand Ambassador promotion code with anyone else unless I have gained explicit consent from the NuGo Nutrition Marketing Team.
16. I will not sell company products on unauthorized websites on the internet or in retail establishments. I understand that my unique referral link cannot be posted on any coupon or discount websites other than my social media profiles. This is to uphold NuGo's brand value and to create more genuine connections with the brand.
17. I will protect the company’s trademark by not reproducing the company’s name/trademark or any company materials for use in advertising without the written approval of the company. I agree not to disclose any confidential or non-public information related to NuGo Nutrition, including but not limited to unreleased products, campaigns, pricing, or internal communications, without prior written consent from the company.
18. I will promote NuGo Nutrition products on social media accounts by posting appropriate photos. I will contact the company if a clear understanding of “appropriate” photos is needed. I will not receive any financial or other compensation for product promotion through my social media network.
19. I will post as often as I would like on my social media accounts and tag @nugonutrition in each post that relates to NuGo Nutrition and has NuGo in the image. I understand that I have permission to repost an existing post by NuGo Nutrition.
20. I will conduct myself in a manner that reflects the highest standard of integrity and responsibility in keeping with the reputation of the company. If I do not uphold these standards, I will be immediately removed from the Brand Ambassador Program and forfeit any other future opportunities and all promotional codes effective immediately. NuGo Nutrition reserves the right to immediately terminate my participation in the Brand Ambassador Program if my conduct may harm the reputation, image, or goodwill of the company.
21. If I choose to leave the Brand Ambassador program, I must use any unused credit balances within 14 days of leaving the program. If a credit balance does not meet the minimum for payment, the funds will also be forfeited. Any photos sent to NuGo Nutrition will remain in their database to use as they see fit.
22. If the company terminates the Brand Ambassador program, I have one month to redeem my credit balances and use the exclusive promotional code.
23. I must be an active Brand Ambassador to remain in the program. Active pertains to posting content at least once a week which includes at least one pre-approved NuGo Nutrition hashtag. 
24. I agree that the company reserves the right to cancel this agreement at any time.
25. I agree to the company’s privacy policy and I have read and agree to the terms and conditions of the website.

NuGo Nutrition (Company) understands and agrees:

1. NuGo will give the Brand Ambassador their own unique promotional or referral link that offers first-time customers 50% OFF one variety pack or 20% off a full-tray order at www.nugonutrition.com and in return, reward the ambassador with a $5 commission for each variety pack sold to a first-time customer and 10% commission on all other sales to customers with less than 5 previous orders.
2. NuGo will provide 2 free boxes of product per month to promote on your social networks. NuGo will not send out free product to Brand Ambassadors who have not promoted or met their monthly requirements the month prior. Once product is provided, NuGo Nutrition owns the rights to use any images or videos they send us or tag us in, even if the Brand Ambassador leaves the program.
3. Company will pay out commissions via PayPal once per week or via physical check once the Brand Ambassador has accrued $50 in pending commissions.
4. Company may provide additional free product or compensation to Brand Ambassadors at it's discretion.
5. If the Company terminates the program, the company must provide 30 days written notice to all Brand Ambassadors prior to the termination date.
6. The Company will retain the rights to use any photos, images or video send to us or tagged in, even if the Brand Ambassador exits the program.

General:

1. This agreement is subject to acceptance by the Company and Brand Ambassador and is conditioned by the acceptance of these terms and conditions.
2. Either party may terminate this agreement immediately for cause or without reason upon written notice. I agree to indemnify and hold harmless NuGo Nutrition from any claims, damages, losses, or liabilities arising from my actions, content, or breach of this agreement.
3. NuGo Nutrition may discontinue the Brand Ambassador Program at any time.
4. The Brand Ambassadors will not be treated as a company employee for any reason.
5. This agreement shall be governed by and construed in accordance with the laws of the State of Pennsylvania, without regard to its conflict of law principles.

When you complete forms online or otherwise provide Us information in connection with the Program, you agree to provide accurate, complete, and true information. You agree not to use a false or misleading name or a name that you are not authorized to use. If, in Our sole discretion, We believe that any such information is untrue, inaccurate, or incomplete, or you have opted into the Program for an ulterior purpose, We may refuse you access to the Program and pursue any appropriate legal remedies.
