These terms
and conditions (“Terms and Conditions”)
apply to any individual who accesses or uses the Affiliate Program (the “Program”)
as an affiliate (“you” or “Affiliate”) to refer customers to use the
products or services of the merchant (“we”
or “Merchant”). These Terms and Conditions constitute a
legally binding agreement made between you and the Merchant concerning your access
to and use of the Program. Your access or use of the Program constitutes your
acceptance of these Terms and Conditions and your agreement to be bound by the
Terms and Conditions.
The
Program is a performance-based marketing Program in which we reward you as
described herein for each successful purchase of our products or services from
a customer brought by your own marketing efforts.
By
participating in the Program, Affiliate agrees to use the Program in the manner
specified in, and is bound by, these Terms and Conditions. If you do not agree to these Terms and
Conditions in their entirety, you are not authorized to register as an
Affiliate (“Registration”) or
participate in the Program in any manner. The merchant may modify, suspend or terminate the Program and these Terms
and Conditions at its sole discretion from time to time.
1. Approval
or Rejection of the Registration
In order to join and participate in the Program, you will complete a
registration form. We reserve the right to approve or reject or terminate ANY
Registration at our sole and absolute discretion. You will have no legal
recourse against us for the rejection or termination of your Registration.
2. Affiliate
Links and Coupon
Once you register for the Program, an Affiliate referral link is
automatically generated for you to use, but you can also generate an Affiliate referral
link for a specific product. Affiliates will use the link to promote the
Merchant’s products or services, and any order made through that link will
become a referral order. If a person
clicks on someone else’s referral link, and then later they click on yours,
yours is the one that counts.
A branded
coupon (“Coupon”) has the same
purpose as an Affiliate link and is another option for affiliates to promote
the Merchant. Affiliates might or might
not be assigned a coupon code with details and usage clarified on the “Dashboard”. If the customer both clicks on the Affiliate
link and uses a Coupon code, you will not receive a double commission. If
you’re not assigned a branded coupon, then you’re not allowed to promote the Coupon.
Affiliates may
also advertise Merchant’s website on online channels, such as Facebook or
Instagram, or other media channels.
3.
Commissions and Payment
If you successfully refer any
customer to make a purchase on the Merchant’s website, you will get a commission amount (“Commission”)
which is calculated based on the Commission structure set forth herein. The
Commission amount is seven and one-half percent (7.5%) of the order value
(after any discounts) and does not include extra fees or expenses (such as taxes,
discounts, and shipping costs). For you to receive a
Commission, you need to specify your preferred payment details on “Settings”.
The payment schedule will be delivered to you
on the “Affiliate Guide” page.
Payments will only be sent for
transactions that have been successfully completed 30 days after delivery of your customer’s product.
Payments are processed every Friday (or
next business day if it’s a Holiday) and will be paid out via the Affiliate’s choice of
payment.
Use of the Program is subject
to a fair use policy which gives the Merchant the right to review each referral order. Status of
Commission is displayed in the “Commission tab”, and any paid Commission
will be listed on the “Payment tab”. Transactions that result in
chargebacks or refunds will not be paid out.
4. Marketing Tool
We may share
promotional media such as banners, logos or specific collection promotions with
you through “Marketing tool” tab.
You can download the media or get the HTML embedded code in order to share on
affiliate channels.
5. Cookies
We use a
cookie to track people (customers) who have clicked on your link, so they need
to be using cookies for us to track them.
If a person or
customer doesn’t allow cookies or clears their cookies, then we can’t track
them and therefore we can’t pay earnings on that person’s or customer’s activity.
The Cookie time, which determines
how long tracking works after a customer clicks on an affiliate link, is set
forth on the Affiliate Registration form. The tracking day will start from the
time a customer clicks on the Affiliate’s link or uses the Coupon. Within the
cookie time, every order made by this customer at the Merchant website will
automatically result in Commissions to you, the Affiliate. There’s no need for
the customer to click on the Affiliate link again within the Cookie time
(but that
customer needs to use the same device
and same browser as he/she did
the first time to make a purchase). After the initial tracking date, if
the customer somehow clicks to buy from the Affiliate link again, a new
Commission/Cookie cycle repeats.
6. Removal
from Referral Program
If you wish
to be removed from the Program, you can do so by contacting: order@nuvo.us.
7. Miscellaneous
You
are an independent contractor. Nothing in
these Terms and Conditions shall be construed as establishing an
employer/employee, a partnership, or a joint venture relationship between you
and Merchant. You do not have the power or authority to obligate or bind Merchant
in any manner whatsoever.
In
no event shall Merchant be liable for any indirect, special, or consequential
damages of any kind arising out of or in connection with these Terms and
Conditions. To the maximum extent
permitted by applicable law, in no event shall Merchant’s liability to you
under these Terms and Conditions exceed the Commission paid (or, if not paid,
that would be payable) to you by Merchant in connection with these Terms and
Conditions.
These
Terms and Conditions and matters connected with the Program shall be governed
by the internal substantive laws of the State of Ohio, without regard to its
conflicts of laws provisions. All suits,
actions, or other proceedings arising out of or relating to these Terms and
Conditions or the subject matter hereof shall be brought only in Cuyahoga
County, Ohio. The parties hereby consent
to the exclusive jurisdiction of the state and Federal courts sitting in
Cuyahoga County, Ohio.

Need for Personal Information
Do not provide Personal Information about yourself unless Energy Focus, Inc. specifically requests information that identifies you and/or your company. If you elect to order products from Energy Focus, Inc., we may ask that you provide Personal Information, such as your first and last name, mailing address, billing address, email address, employer, job title and department, telephone and facsimile numbers, and other personally-identifying information. When ordering products, you may be asked to provide a credit card number. Depending upon the activity, some of the information that we ask you to provide is identified as mandatory and some as voluntary. If you do not provide the mandatory data with respect to a particular activity, the order will be canceled.
Energy Focus, Inc. takes reasonable measures to ensure that information submitted via email or fax is stored securely and intact. Energy Focus, Inc. employs physical security and strict access policies to help protect your data against loss, damage, theft, and unauthorized use. However, any Personal Information sent via email or fax is not secure. Personal Information that you choose to send by email or fax is sent at your own risk. Energy Focus, Inc. will not be held responsible for lost or intercepted Personal Information sent via email or fax.
