Welcome to the Reencle Affiliate Program. These Terms and Conditions ("Terms") govern the relationship between Reencle ("we," "us," or "Merchant") and you ("you" or "Affiliate"), an individual or entity who refers customers to purchase Merchant's products or services.

By registering for or participating in the Program, you agree to be bound by these Terms. If you do not agree to these Terms in their entirety, you are not authorized to register as an Affiliate or participate in the Program in any manner.

1. Registration; Approval or Rejection

We reserve the right to approve or reject any Affiliate registration in our sole and absolute discretion. You will have no legal recourse against us for the rejection of your registration.

As a condition of participation, you must provide valid URLs or social media handles showing how Reencle will be promoted. We reserve the right to request evidence of your traffic sources (e.g., screenshots or links) at any time, and to suspend commissions pending review.

2. Affiliate Links and Coupons

• Affiliate links are generated automatically, and you may also create links for a specific product or collection.
• Last click wins: If a customer clicks another affiliate's link and later clicks yours, yours is the one credited.
• You may be assigned a coupon code, with details and usage shown on your Dashboard. You may only promote a coupon code that has been officially assigned to you. If you are not assigned a branded coupon, you may not promote any coupon.
• If a customer both clicks your affiliate link and uses your coupon code, you will not receive double commission.

3. Promotion Rules and Restrictions

You may advertise the Merchant website through online channels (e.g., Facebook, Instagram, your own website or blog) and offline channels (e.g., classified ads, magazines, newspapers), subject to the following restrictions:

• No Coupon/Deal Aggregators: Posting coupon or discount codes on third-party coupon or deal sites (e.g., Honey, RetailMeNot) is strictly prohibited.
• No Brand Bidding: Bidding on the "Reencle" trademark or variations (e.g., "Reencle," "Reencle discount," "Reencle coupon") on search engines or any paid search platform is prohibited.
• No Self-Referrals: Commissions are not paid on your own or related-party purchases.
• No Spam: Unsolicited direct messages, mass emailing, or any spam activity is prohibited and will result in permanent removal from the Program.
• Required Disclosures: You must include clear and conspicuous affiliate disclosures wherever required by law (e.g., U.S. FTC guidelines) and comply with all applicable advertising and consumer-protection regulations in your jurisdiction.

4. Commissions

• Rate: You will earn a commission of 5% of net sales, unless a different rate is specified on your Dashboard or the Affiliate Guide, which shall control.
• Net Sales: "Net sales" means the actual amount paid by the customer, excluding taxes, shipping, handling, and any refunded or cancelled amounts.
• Cookie / Attribution Window: Tracking begins when a customer clicks your affiliate link or uses your assigned coupon. Within the cookie period stated on the registration form, every qualifying order placed by that customer is credited to you (the customer does not need to click your link again). Tracking depends on the customer's browser accepting cookies; we cannot credit activity from customers who block or clear cookies.

5. Payment

• To receive payment, you must provide valid payment details under Settings. The payment schedule is published on the Affiliate Guide page.
• Payments are made only for successfully completed transactions. All referral orders are subject to a fair-use review.
• Commission status is shown in the Commission tab; paid commissions appear in the Payment tab.
• Clawbacks: Commissions are revoked (and, if already paid, offset against future earnings) for cancelled orders, returns, refunds, or chargebacks.

6. Marketing Tools

We may provide promotional media such as banners, logos, or collection-specific creative through the Marketing Tool tab. You may download this media or use the provided HTML embed code to share on your approved channels. All brand assets remain our property and may be used only to promote Reencle in accordance with these Terms.

7. Network (Multi-Tier Referrals)

If the Network tab is activated, you may invite others to become your downline affiliates by sharing your network link. Anyone who signs up through that link becomes your downline affiliate. When a downline affiliate generates a qualifying order, you (the upline affiliate) also earn a network commission as configured in our settings.

8. Compliance and Termination

You are responsible for complying with all applicable laws in connection with your promotion of Reencle. We may suspend or terminate your participation, and withhold or revoke any unpaid commissions, for any violation of these Terms, in our sole discretion. Violations involving spam, brand bidding, coupon aggregators, or fraud may result in immediate and permanent removal from the Program.

9. Removal from the Program

If you wish to leave the Program, you may do so by contacting help@reencleus.com. We may also remove any Affiliate at our discretion.

10. Changes to These Terms

We may amend these Terms at any time. Material changes will be communicated through the Program dashboard or by email. Your continued participation after such changes constitutes acceptance of the revised Terms.

11. Governing Law

These Terms are governed by the laws of [STATE/COUNTRY], without regard to conflict-of-law principles. Any dispute arising under these Terms shall be subject to the exclusive jurisdiction of the courts located in [JURISDICTION].

By registering as an Affiliate, you acknowledge that you have read, understood, and agree to these Terms and Conditions.

This Privacy Policy of UpPromote about Affiliate Marketing system describes how we may collect and use personal data and the rights granted to merchants, affiliates and customers regarding their respective data.

By joining the Affiliate program, you signify your approval of the terms set out in this Privacy Policy, and other terms and conditions. If you do not agree to this Privacy Policy, you must not use the affiliate marketing system.

We may update this Privacy Policy from time to time in order to reflect, for example, changes to our privacy practices or for other operational, legal, or regulatory reasons. By continuing to our affiliate program after these changes are posted, you agree to the revised policy.

Personal Information Controller

Any personal information provided to or gathered by UpPromote under this Privacy Notice will be stored and controlled by UpPromote (the data controller).

Information collected from Merchants

When merchant uses the app, we are automatically able to access certain types of information from your Shopify account such as email, first name, last name, shop information (shop domain, shop currency, shop address …). We collect this information to provide you with our Services; for example, to confirm your identity, contact you, provide customer support when you contact us, provide you with advertising and marketing activities.

Information collected from Affiliates

When an Affiliate signs up to join a program, we collect some information to inform merchants such as email, personal information, payment details and social network information,...The information would help merchant evaluate affiliate background and potential, along with process specific activities within the app and contact affiliate if needed.

Information collected from Customers when visiting merchant website

In order to track referral order, when customers visit merchant website and make a purchase, UpPromote system will collect information of order such as total order, order items and order ID.

About Cookies

“Cookies” are data files that are placed on your device or computer and often include an anonymous unique identifier.

Cookies are created when a user's browser loads a particular website. The website sends information to the browser which then creates a text file. Every time the user goes back to the same website, the browser retrieves and sends this file to the website's server.

Because cookies allow you to take advantage of some of Affiliate marketing system’s essential features, we recommend that you leave them turned on.

Information sharing

Ensuring your privacy is important to us. We do not share your personal information with third parties except as described in this privacy policy. We may share your personal information with third-party service providers who we employ to process specific functions; examples include providing email marketing activity, analyzing data and other marketing support,... Third-party service providers have access to personal information only as needed to perform their functions and they must process the personal information in accordance with this Privacy Policy.

We may also disclose your personal information to any third party with your prior consent.

Use of UpPromote app by Children

UpPromote is not intended for children. If you are under 13, you may use the affiliate marketing system only with the supervision of your parent or guardian.

Your Rights

UpPromote understands that you have rights over your personal information, and takes reasonable steps to allow you to access, correct, amend, delete, port, or limit the use of your personal information. If you are using the system and wish to exercise these right, please contact us through help@reencleus.com. We may require that you provide us with acceptable verification of your identity before providing access to such information.

If you are an affiliate and wish to exercise these rights, please contact the merchant you interacted with directly — we serve as a processor on their behalf, and can only forward your request to them to allow them to respond.
