RESIDENCE SUPPLY AFFILIATE PROGRAM AGREEMENT

By enrolling in the Residence Supply Affiliate Program (the "Program"), you ("Affiliate") agree to these terms. Affiliate is an independent contractor, not an employee, agent, or partner of Residence Supply ("Company," "we," "us").
1. Program Overview
This Agreement governs Affiliate's participation in the Program. Affiliate's relationship with Company is solely that of an independent contractor. Nothing herein creates a partnership, joint venture, employment, agency, or franchise relationship.
2. Eligibility
Affiliate must be 18 years of age or older and have a website, blog, social media account, or other channel suitable for promoting Company's products. Company reserves the right to accept or reject any applicant at its sole discretion, and to terminate any Affiliate at any time for any reason consistent with this Agreement.
3. Commission
Affiliate earns a 10% commission on the net sales subtotal of qualified referred orders. Net sales exclude shipping, taxes, gift cards, store credit, returns, refunds, chargebacks, and items already on sale or clearance. Commissions are held for a 30-day review period before becoming eligible for payout, during which time they may be denied for fraud, refunds, chargebacks, code leakage, or any other breach of this Agreement. Company may modify commission rates with 14 days' notice; modifications apply only to commissions earned after the effective date.
4. Payment
Approved commissions are paid via PayPal or Check. Minimum payout is $100 USD; balances below this amount roll forward until met. Affiliate is responsible for all taxes on commission income and for providing accurate tax information. Company may delay or withhold payment to investigate suspected fraud, code leakage, or other breaches of this Agreement.
5. Tracking & Attribution
Sales are attributed via Affiliate's unique referral link or coupon code, on a 30-day last-click cookie basis. The Company's affiliate dashboard is the final authority on tracking and attribution. Disputes must be raised in writing within 30 days of the order date; disputes raised after this window will not be considered. Sessions originating from coupon browser extensions, deal sites, or other excluded sources (see Section 8) do not generate commission regardless of code or link presence.
6. FTC Disclosure & Required Disclaimers
Affiliate must disclose the affiliate relationship in all promotional content where Company is mentioned. Acceptable disclosures include "#ad", "#sponsored", "#affiliate", or clear text such as "I earn a commission if you buy through my link." Disclosure must be visible without requiring the reader to expand, scroll, or click. Failure to disclose is a material breach.
7. Brand Guidelines
Affiliate may use Company's logo and product imagery solely for the purpose of promoting Company's products under the Program. Affiliate may not:
Modify, alter, or distort Company's logo or trademarks
Make medical, structural, safety, or guaranteed-result claims about products
Misrepresent product specifications, materials, or warranties
Imply endorsement of Affiliate's other products or services by Company
All promotional claims must be truthful and supportable.
8. Prohibited Activities
Affiliate may not:
Send spam, unsolicited email, or bulk SMS containing the affiliate link or code
Bid on "Residence Supply," "residencesupply.com," or any Company trademark or close variant in paid search (Google Ads, Bing, etc.)
Post the affiliate coupon code or link on any coupon aggregator, deal forum, or discount website, including but not limited to: Knoji, Wethrift, RetailMeNot, SimplyCodes, Tenereteam, CouponBirds, Coupert, ShareCouponer, DealSpotr, Slickdeals, HotDeals, Offers.com, CouponFollow, KarmaNow, DealsPlus, or any successor or comparable site
Distribute the affiliate code or link via cashback or coupon browser extensions, including but not limited to: PayPal Honey, Capital One Shopping, Rakuten/Ebates, Coupert, CouponBirds extension, Karma, Microsoft Shopping, or any successor or comparable extension
Engage in cookie stuffing, forced clicks, iframe stuffing, or any technique designed to set the affiliate cookie without genuine user intent
Create fake reviews, testimonials, or social proof
Purchase products through Affiliate's own link or code, or arrange for friends/family to do so on their behalf, for the purpose of generating commission
Associate Company or its products with adult content, gambling, illegal activity, hate speech, or any subject Company reasonably deems harmful to brand reputation
Operate multiple affiliate accounts without prior written approval
Violation of any of the above is a material breach and may result in immediate account termination and forfeiture of any unpaid commissions, in addition to clawback of previously paid commissions traceable to the violation.
9. Coupon Code Policy
Coupon codes assigned to Affiliate are for use exclusively by Affiliate's own audience reached through Affiliate's own content. Specifically:
Posting an Affiliate's code on any coupon aggregator (see Section 8) is grounds for immediate termination.
Leaked codes will be deactivated immediately upon discovery, with or without notice to Affiliate.
Commissions generated by a leaked code — including commissions already approved but not yet paid — may be denied or clawed back at Company's sole discretion.
Company routinely scans public coupon sites and browser-extension databases. Discovery of a code in such a database creates a rebuttable presumption that Affiliate is responsible for the leak.
Company may, at any time and without notice, transition Affiliate's commission tracking from coupon-based to single-use auto-apply discount links, in which case the prior code will be retired.
10. Confidentiality
Affiliate shall keep confidential: (a) Affiliate's specific commission rate if it differs from the public default, (b) any non-public sales, customer, or financial data shared by Company, and (c) any unreleased product, campaign, or pricing information. This obligation survives termination.
11. Termination
Either party may terminate this Agreement at any time, with or without cause, by giving 14 days' written notice (email is sufficient). Company may terminate immediately, without notice, for any breach of Sections 6, 7, 8, or 9. Upon termination:
Affiliate must immediately cease use of all Company logos, trademarks, links, and codes.
Affiliate must remove all references to the Program from any owned channels.
Pending commissions may, at Company's discretion, be paid out (subject to standard review), forfeited (in cases of breach), or held pending investigation.
12. Limitation of Liability
To the maximum extent permitted by law, Company's total liability under this Agreement is limited to the total commissions paid to Affiliate in the six (6) months preceding the claim. Company is not liable for indirect, incidental, consequential, special, or punitive damages, or for lost profits, lost revenue, lost data, or business interruption.
13. Modifications
Company may modify this Agreement at any time by posting an updated version on the Program registration page. Continued participation in the Program after the effective date of the update constitutes acceptance. Material changes will be communicated by email at least 7 days in advance.
14. Governing Law
This Agreement is governed by the laws of the State of Florida, USA, without regard to its conflict-of-laws provisions. Any dispute shall be resolved in the state or federal courts located in Miami-Dade County, Florida, and Affiliate consents to the personal jurisdiction of such courts.
