Overview
This agreement outlines the terms and conditions that govern the relationship between Good Pharma Dermatology Pte. Ltd. (also known as Suu Balm, we, us or our) and each person or entity (you or ambassador) that enrolls in Suu Balm’s ambassador marketing programme.
We strongly advise that you read this agreement thoroughly before enrolling with us. By registering, you agree to use the Programme in accordance with these Terms and Conditions, and you are legally bound by them. Failure to comply with any of these Terms and Conditions will result in the immediate termination of your participation in the Programme, and you may be subject to legal action.
If you do not agree to these Terms and Conditions in their entirety, you are not authorised to register as an ambassador or participate in the Programme in any manner.
1. You Must Be Of Legal Age
Only adults capable of forming a contract are allowed to participate in the Programme. If you are a minor or do not have the capacity to form a contract, you must obtain your parent’s or legal guardian’s consent to join as an Ambassador. The Programme is not open to anyone below the age of 16, whether or not your parent or legal guardian consents to your participation.
2. Ambassador Links and Coupon
Once you are successfully our ambassador, a unique link will be generated for you and it is your responsibility to ensure the link is correctly formatted.
3. Cookie Duration
Our Programme will be using cookies to allocate commissions to the right ambassadors by tracking where the valid transaction came from and are embedded in a user’s browser when they click on the ambassador link.
The cookie window is set to 14 days, subjected to changes. The cookie will be tracked from the moment a person clicks on the ambassador link , and if the visitor makes a genuine transaction anytime within the 14 days cookie window, you will be compensated in accordance. However, if the visitor purchases any Suu Balm products after the cookie window has elapsed, you will not be given the commission because the cookie has expired.
4. Commissions
Commission rates are applied against the price of the Products actually invoiced to our customers, after deducting goods and services tax (GST), sales tax, sales and services tax (SST), value added tax (VAT), levies or other taxes typically assessed on the sale of goods (the Transaction Taxes) and shipping or fulfilment expenses (whether such expenses were borne by our customers or by us) calculated according to methodology for allocating Transaction Taxes and expenses to Product sales.
You will earn a commission rate of 10% for the total cart-out value (after any discounts and excluding shipping fee if any), which will be confirmed only after the product has been received by the buyer. Please note that we reserve the right to reverse commissions if orders are cancelled, if chargebacks occur, or if payments are refunded.
Commissions will be paid out on a monthly basis to your PayPal account during the 1st week of the month, in Singapore Dollars (SGD) only. It is your responsibility to ensure that your PayPal details are accurate and up-to-date to receive payment. You are solely responsible for using the correctly formatted and tagged ambassador link in any materials you use on your platform. Suu Balm will not be held liable for any lost revenue or commissions resulting from any error made by you. Do note that there would be a payment fee charged which is 3.9% of the amount plus the fixed fee of 0.50 SGD for the transaction of commission payment by PayPal.
5. Compliant Use of Trademarks and Copyright
Once you are accepted into the Programme, and subject to the terms and conditions of this agreement, we grant you a limited, revocable, non-transferable, non-sublicensable, and non-exclusive licence to (a) copy and display the ambassador Link (including any associated image assets provided by us) solely on your approved platforms, and (b) use the name "Suu Balm" and any trademarks we make available to you, solely for the purpose of promoting the Products in a positive manner.
In the event that you provide us with any suggestion or idea for improving or modifying any Product, this Programme or any other Suu Balm products or services (Feedback), you agree that Suu Balm has the right to use, disclose, publish, or otherwise exploit such Feedback without compensation or the need to credit you in any way, for an unlimited time period. You also agree that Suu Balm and its ambassadors and licensors will have perpetual immunity from any infringement or misappropriation claims, actions, and suits based on any act which, if not licensed under this agreement, would infringe or induce the infringement of the Feedback.
If we believe, at our sole discretion, that you have promoted the Products using methods that breach the letter or spirit of the Programme, we reserve the right to permanently withhold any and all fees payable to you under this agreement.
6. Confidential Information
You must keep Suu Balm’s confidential and proprietary information in strict confidentiality and not disclose to any third party or use that information for any purpose other than to confirm the commissions you have the right to receive under the terms and conditions of the Programme. You admit that your breach of this paragraph will cause irreparable harm and Suu Balm shall be entitled to any remedy available to it to enforce its rights under this Programme, including, but not limited to, interim or interlocutory injunctions without the need to provide any undertaking to compensate you for any restraints imposed on you resulting from the granting of such injunctions.
7. Changes to the Terms
We have the sole right and absolute discretion to change or modify the terms of this agreement and any policies or documents that are incorporated by reference herein at any time. Such changes and modifications shall be effective immediately. You acknowledge and agree that (a) Suu Balm may or may not notify you of such changes or modifications; and (b) your continued participation in the Programme after such changes or modifications have been made (as indicated by the "Last Revised" date on this page) shall constitute your acceptance of this agreement as last revised. If you do not agree to be bound by this agreement as last revised, you must formally terminate your ambassador status. In addition, while not required, Suu Balm may occasionally notify you of changes or modifications to this agreement by email.
8. Period and Termination
Each party shall have the right to terminate this Agreement with a month’s written notice to the other party.
Termination of this Agreement for any reason shall not affect the accrued rights and liabilities of the parties hereunder at the date of termination.
