Welcome to the Sud Scrub Affiliate Program (the "Program")! By registering for or participating in the Program, you ("Affiliate" or "you") agree to these Terms and Conditions ("Terms") with Sud Scrub ("we," "us," or "Merchant"). If you do not agree, do not register or participate. These Terms govern your use of the Program, including referrals of customers to purchase products from www.sudscrub.com or integrated platforms like TikTok Shop.

1. Eligibility and Approval of Registration To participate, you must be at least 18 years old, have a valid email address, and comply with all applicable laws, including FTC Endorsement Guides requiring clear disclosures (e.g., #ad or #SudScrubAffiliate) in promotions. We reserve the right to approve or reject any registration in our sole discretion, without liability. Rejected applicants have no recourse. Upon approval, you will receive access to your affiliate dashboard via UpPromote.

2. Affiliate Links, Coupons, and Promotions

• Links: Your unique affiliate link is generated automatically in your dashboard. You may create product-specific or collection-specific links. The most recent link clicked by a customer before purchase governs attribution (last-click model).
• Coupons: You may be assigned a branded coupon code, with usage details in your dashboard. Unauthorized promotion of unassigned coupons is prohibited and may result in termination. If a customer uses both a link and coupon, only one commission applies (no double-dipping).
• Permitted Channels: You may promote on online platforms (e.g., TikTok, YouTube, Instagram, Facebook, X, Reddit) or offline (e.g., magazines, newspapers), provided promotions align with our brand guidelines (available in the Marketing Tools tab) and emphasize our core product benefits: antimicrobial properties, gentle exfoliation, and sustainable design.
• Prohibitions: Do not use spam, misleading claims, or paid search ads bidding on our trademarks (e.g., "Sud Scrub"). All promotions must include FTC-required disclosures. Violations may void commissions and lead to termination.

3. Commissions, Incentives, and Payments

• Commission Structure: Commissions are tiered based on performance: base rate of 10-15% on net order value (excluding taxes, shipping, refunds, or chargebacks), with potential increases up to 25% for higher-performing affiliates. Top performers may qualify for additional rewards, such as product collaborations.
• Performance Bonuses: Eligible affiliates may receive bonuses for high-impact content (e.g., viral reach or consistent posting), as detailed in your dashboard.
• Network/ Multi-Level: If enabled in your dashboard, you may invite downline affiliates via your network link. You earn a percentage on their referrals, subject to our fair use policy (no pyramid schemes).
• Payments: Specify payment details (PayPal or Stripe) in your settings. Payouts occur monthly for completed transactions exceeding $50, net 30 days after order fulfillment. We review all referrals for fraud; invalid ones (e.g., self-referrals) are unpaid. Track status in your Commissions and Payments tabs.
• Taxes: You are responsible for all taxes on earnings. We may withhold if required by law.

4. Marketing Tools and Content Guidelines We provide banners, logos, and promotional media via the Marketing Tools tab. You may download or embed them but must not alter without permission. All content must accurately represent our products (e.g., no unsubstantiated health claims) and comply with platform rules (e.g., TikTok Shop policies).

5. Tracking and Cookies We use cookies for attribution. Cookie duration is 30-90 days from the customer's first click or coupon use, allowing credit for repeat purchases within the window. If cookies are disabled or cleared, we cannot track, and no commission applies. We use post-purchase surveys for attribution accuracy.

6. Representations, Warranties, and Intellectual Property You represent and warrant that: (i) your promotions are truthful and non-deceptive; (ii) you will not infringe third-party rights; (iii) you comply with all laws (e.g., CAN-SPAM, GDPR if applicable). You grant us a non-exclusive license to use your content for Program promotion. We own all IP in our trademarks, products, and materials; your use is limited to approved promotions. Unauthorized use may result in termination and legal action.

7. Confidentiality and Data Protection You agree to keep confidential any non-public information shared (e.g., commission structures, upcoming products). Handle customer data in compliance with privacy laws; do not collect it directly.

8. Termination and Removal

• By You: Email partnerships@sudscrub.com to withdraw.
• By Us: We may terminate immediately for violations (e.g., fraud, low performance, or breach), forfeiting unpaid commissions. Post-termination, cease all promotions.
• Survival: Sections on payments, IP, indemnity, and liability survive termination.

9. Indemnity and Limitation of Liability You indemnify us against claims arising from your actions (e.g., misleading promotions). Our liability is limited to commissions owed; we are not liable for indirect damages (e.g., lost profits). Total liability caps at $1,000.

10. Governing Law and Dispute Resolution These Terms are governed by Delaware law, without regard to conflicts. Disputes shall be resolved exclusively in the courts of Wilmington, Delaware. We may amend Terms with 30 days' notice; continued participation constitutes acceptance.

11. Miscellaneous These Terms are the entire agreement. If any provision is invalid, others remain. No waiver unless written. Contact partnerships@sudscrub.com. for questions.

This Privacy Policy of UpPromote about Affiliate Marketing system describes how we may collect and use personal data and the rights granted to merchants, affiliates and customers regarding their respective data.

By joining the Affiliate program, you signify your approval of the terms set out in this Privacy Policy, and other terms and conditions. If you do not agree to this Privacy Policy, you must not use the affiliate marketing system.

We may update this Privacy Policy from time to time in order to reflect, for example, changes to our privacy practices or for other operational, legal, or regulatory reasons. By continuing to our affiliate program after these changes are posted, you agree to the revised policy.

Personal Information Controller

Any personal information provided to or gathered by UpPromote under this Privacy Notice will be stored and controlled by UpPromote (the data controller).

Information collected from Merchants

When merchant uses the app, we are automatically able to access certain types of information from your Shopify account such as email, first name, last name, shop information (shop domain, shop currency, shop address …). We collect this information to provide you with our Services; for example, to confirm your identity, contact you, provide customer support when you contact us, provide you with advertising and marketing activities.

Information collected from Affiliates

When an Affiliate signs up to join a program, we collect some information to inform merchants such as email, personal information, payment details and social network information,...The information would help merchant evaluate affiliate background and potential, along with process specific activities within the app and contact affiliate if needed.

Information collected from Customers when visiting merchant website

In order to track referral order, when customers visit merchant website and make a purchase, UpPromote system will collect information of order such as total order, order items, order ID,....

Ensuring your privacy is important to us. We do not share your personal information with third parties except as described in this privacy policy. We may share your personal information with third-party service providers who we employ to process specific functions; examples include providing email marketing activity, analyzing data and other marketing support,... Third-party service providers have access to personal information only as needed to perform their functions and they must process the personal information in accordance with this Privacy Policy.

We may also disclose your personal information to any third party with your prior consent.

Use of UpPromote app by Children

UpPromote is not intended for children. If you are under 13, you may use the affiliate marketing system only with the supervision of your parent or guardian.

Your Rights

UpPromote understands that you have rights over your personal information, and takes reasonable steps to allow you to access, correct, amend, delete, port, or limit the use of your personal information. If you are using the system and wish to exercise these right, please contact us through steven@sudscrub.com. We may require that you provide us with acceptable verification of your identity before providing access to such information.

If you are an affiliate and wish to exercise these rights, please contact the merchant you interacted with directly — we serve as a processor on their behalf, and can only forward your request to them to allow them to respond.
