Affiliate Program Policy
AFFILIATE PROGRAM TERMS OF SERVICE
Travesty Candles (“Travesty Candles”, “we,” “our,” or “us”) has implemented these Affiliate Program Terms of Service (the “Terms”), which apply to Affiliates posting about Travesty Candles products. By posting about Products (as hereinafter defined) from Travesty Candles, you (hereinafter “Affiliate,” “you,” or “your”) agree to adhere to these Terms of Service (the “Terms”). Please read these Terms carefully. Unless and until such status is otherwise revoked by Travesty Candles, Affiliate shall be considered an “Affiliate” hereunder.
Travesty Candles reserves the right in its sole discretion to approve or disapprove any posts from Affiliate and to terminate any person or business’s status as a Travesty Candles Affiliate at any time for any reason or for convenience, and with or without notice. Upon termination, Affiliate shall immediately cease any further posting of Travesty Candles.
1) Appointment as a Travesty Candles Affiliate.
All Affiliates must be approved by Travesty Candles prior to being Travesty Candles Affiliates.
Travesty Candles Affiliates are granted the non-exclusive, non-transferable right to post about Products from Travesty Candles to their audience in accordance with these Terms. The “Products” include only those candles of Travesty Candles which are available for purchase from Travesty Candles. Affiliate is not authorized to sell any products or candles sold by Travesty Candles, including those products distributed to the Affiliate for the purposes of posting. Affiliate is, and at all times shall be, an independent contractor in all matters relating to these Terms, and shall not be deemed an agent, employee, franchise or partner of Travesty Candles.
a) Posting Terms. Affiliates are expected to post a minimum of twice per month on their personal accounts on Instagram featuring that month’s free product distributed by Travesty Candles in use and in a favorable light. All posts much show Travesty Candles label with the Travesty Candles logo clearly visible. Failure to post to Instagram at least twice per month and to follow all Travesty Candle’s guidelines around posting may result in termination of the Affiliate from the Affiliate Program.
b) Payment Terms. Affiliate will be sent Travesty Candles products each month prior to posting. Shipping of free products will be paid for by Travesty Candles. At no time shall any Affiliate be responsible for the cost of free Affiliate Program products or the shipping of those products. Any additional products purchased from Travesty Candles, including additional product purchased using the Affiliate Program discount codes, will be subject to shipping charges paid for by the Affiliate.
c) Commission Commission will be tracked via affiliate codes. Failure to use affiliate codes by customers will prevent Travesty Candles from being able to appropriately identify the appropriate Affiliate to receive the commission and prevent that Affiliate from receiving the commission through no fault of Travesty Candles. Commission contributed to an Affiliate through the Affiliate’s personal code will be sent to the Affiliate at the end of each month. All commissions will be paid by the payment type decided upon by Travesty Candles and at Travesty Candles complete discretion, and any transaction fees incurred in the transfer of funds will fall to the Affiliate. Payment is subject to full refund for any breach of contract including: deleting the posting of Travesty Candles content after initial posting and payment are completed, criticizing Travesty Candles in the post, or including any other brands or logos in the post.
d) Online Sales. Affiliate shall not market or offer for sale the Products on or through any publicly accessible website, including, without limitation, any third-party marketplace website such as Amazon, Faire, eBay, Jet, Rakuten, Walmart Marketplace, or Sears Marketplace, or other similar online marketplace. Affiliate may market sales through Travesty Candles website through an affiliate code provided by Travesty Candles. In such case, Travesty Candles reserves the right to approve all online marketing and sales materials, including websites, blogs, social media, and online stores pertaining to the Travesty Candles products prior to publication.
e) Product and Packaging Alterations Prohibited. Affiliate shall market the Travesty Candles Products in their original packaging. Relabeling, repackaging, and other alterations to Travesty Candles Products or their packaging are not permitted. Tampering with, defacing, or otherwise altering any code, lot number, or other identifying information on Products or their packaging is prohibited. Affiliate shall not remove, translate, or modify the contents of any label or literature on or accompanying the Products, or place any trademarks, logos or designs on the Travesty Candles Products at any time. Affiliate shall not advertise, market, display, or demonstrate non-Travesty Candles products together with the Travesty Candles Products in a manner that would create the impression that the non-Travesty Candles products are made by, endorsed by, or associated with Travesty Candles.
f) Product Familiarity. It is hoped that Affiliate will familiarize themselves with the special features of the Travesty Candles Products.
2) Product Care and Quality Controls.
a) Product Storage and Handling. Affiliate shall exercise due care in storing and handling the Products, store the Products in a cool, dry place, away from direct sunlight, extreme heat, and dampness, and in accordance with any additional storage guidelines specified by Travesty Candles from time to time. Affiliate shall not display any damaged Travesty Candles products to the public, including on social media.
3) Warranty Disclaimer.
EXCEPT AS OTHERWISE SPECIFICALLY PROVIDED, ALL TRAVESTY CANDLES PRODUCTS ARE SOLD ON AN “AS IS” AND “AS AVAILABLE” BASIS AND WITHOUT WARRANTIES OF ANY KIND. TO THE FULLEST EXTENT PERMISSIBLE PURSUANT TO APPLICABLE LAW, TRAVESTY CANDLES DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO, IMPLIED WARRANTIES OF MERCHANTABILITY OR FITNESS FOR A PARTICULAR PURPOSE OR NON-INFRINGEMENT, AND ALL OTHER WARRANTIES ARISING BY OPERATION OF LAW, COURSE OF DEALING, CUSTOM OF TRADE, OR OTHERWISE.
4) Intellectual Property.
Affiliate acknowledges and agrees that Travesty Candles owns all proprietary rights in and to the Travesty Candles brand, including, without limitation, Travesty Candles names, logos, trademarks, service marks, trade dress, copyrights, label descriptions, and other intellectual property related to the Products (the “Travesty Candles IP”). Affiliate is granted a limited, non-exclusive, non-transferable, revocable license to use the Travesty Candles IP solely for purposes of marketing the Products as set forth herein. Affiliate’s use of the Travesty Candles IP shall be in conformance with any guidelines specified by Travesty Candles, including those contained within the Travesty Candles Terms of Service, located at https://www.travestycandles.com/termsofuse. This license will cease upon termination of Affiliate’s status as a Travesty Candles Affiliate. Travesty Candles reserves the right to review and approve, in its sole discretion, Affiliate’s use or intended use of the Travesty Candles IP at any time, without limitation. All goodwill arising from Affiliate’s use of the Travesty Candles IP shall inure solely to the benefit of Travesty Candles.
5) Termination.
Travesty Candles reserves the right to terminate Affiliate’s status as a Travesty Candles Affiliate at any time for any reason or for convenience, and with or without notice. Upon termination, Affiliate shall immediately cease (i) all posting on all social media channels regarding Travesty Candles; (ii) acting in any manner that may reasonably give the impression that Affiliate is a Travesty Candles Affiliate or has any affiliation whatsoever with Travesty Candles; and (iii) using all Travesty Candles IP. Affiliate shall not post negatively regarding Travesty Candles brand, Travesty Candles Products, or any Travesty Candles founders, employees, or affiliates in any way, either during the timeline of this contract or after its termination.
6) Limitation of Liability.
TRAVESTY CANDLES SHALL NOT BE LIABLE TO AFFILIATE UNDER ANY CIRCUMSTANCES FOR SPECIAL, INDIRECT, INCIDENTAL, PUNITIVE, OR CONSEQUENTIAL DAMAGES, LOSS OF SALES, OR LOSS OF PROFITS. TRAVESTY CANDLES’S AGGREGATE LIABILITY FOR ANY DAMAGE OR THAT OF ANY THIRD PARTY CAUSED BY ITS PRODUCTS OR OTHERWISE BY IT ACTS OR OMISSIONS, SHALL NOT EXCEED, IN RESPECT OF ANY CLAIM ARISING OUT OF A SINGLE EVENT OR A SERIES OF CONNECTED EVENTS, THE AGGREGATE AMOUNT PAYABLE BY AFFILIATE TO TRAVESTY CANDLES DURING THE TWO MONTH PERIOD IMMEDIATELY PRECEDING THE CAUSATION OF ANY DAMAGES. THE LIMITATIONS OF LIABILITY IN THIS SECTION SHALL APPLY HOWEVER THE LOSS OR DAMAGE IS CAUSED AND REGARDLESS OF THE THEORY OF LIABILITY, WHETHER DERIVED FROM CONTRACT, BREACH OF CONTRACT, DELAY OF PERFORMANCE, TORT (INCLUDING, BUT NOT LIMITED TO, NEGLIGENCE), OR OTHERWISE, WHETHER OR NOT SUCH LOSS WAS FORESEEABLE OR IN THE CONTEMPLATION OF THE PARTIES, AND REGARDLESS OF WHETHER THE LIMITED REMEDIES PROVIDED HEREIN FAIL OF THEIR ESSENTIAL PURPOSE.
7) Availability of Injunctive Relief.
Notwithstanding anything to the contrary herein, if there is a breach or threatened breach of Sections 2, 3, 5, or 6, it is agreed and understood that Travesty Candles will have no adequate remedy in money or other damages at law. Accordingly, Travesty Candles shall be entitled to injunctive relief and other equitable remedies; provided, however, no specification in the Terms of any particular remedy shall be construed as a waiver or prohibition of any other remedies in the event of a breach or threatened breach of the Terms. No failure, refusal, neglect, delay, waiver, forbearance, or omission by Travesty Candles to exercise any right(s) herein or to insist upon full compliance by Affiliate with Affiliate’s obligations herein shall constitute a waiver of any provision herein or otherwise limit Travesty Candles’ right to fully enforce any or all provisions and parts thereof.
8) Audit.
Travesty Candles reserves the right to audit and/or monitor Affiliate’s activities for compliance with the Terms, including, but not limited to, inspection of Affiliate’s posts.
9) Miscellaneous.
a) Modifications. Travesty Candles reserves the right to update, amend, or modify the Terms upon written or electronic notice to Affiliate. Unless otherwise provided, such amendments will take effect immediately and Affiliate’s continued use, advertising, offering for sale, or posting of the Products, use of the Travesty Candles IP, or use of any other information or materials provided by Travesty Candles to Affiliate under the Terms following notice will be deemed Affiliate’s acceptance of the amendments.
b) Waiver. No waiver of any breach of any provision of the Terms shall constitute a waiver of any prior, concurrent, or subsequent breach of the same or any other provisions hereof, nor shall it constitute a course of dealing and no waiver shall be effective unless made in writing.
c) Affiliate Contact Information. Affiliate agrees to maintain accurate and up-to-date company information and to promptly notify Travesty Candles of any change to its telephone number, mailing address, or email address.
d) Force Majeure. Travesty Candles shall not be deemed to be in breach hereof or liable to Affiliate in any manner on account of any delay in delivery or other performance to Affiliate or the Affiliate’s audience caused in whole or in part by, or otherwise materially related to, the occurrence of any contingency beyond Travesty Candles’ control, including without limitation, fire, flood, terrorist threats or acts, riot or other civil unrest, war, invasion, hostilities, strikes or other labor disputes, local or global pandemic, embargoes or transportation delays, shortage of labor, inability to secure fuel, energy, materials, supplies or power at reasonable prices from regular sources or on account of shortages thereof, delays or failures of any of Travesty Candles’ suppliers to deliver, acts of God or of a public enemy, the effect of any existing or future laws, acts or regulation of any applicable federal, state or local government, or any other commercial impracticability.
e) Severability. If any provision of the Terms is held contrary to law, the remaining provisions shall remain valid.
f) Governing Law and Venue. The Terms and any dispute arising under them shall be governed by, construed, and enforced in accordance with the laws of the State of Oregon, without regard to its choice of law rules. In the event of a dispute over the terms or performance under the Terms, Affiliate expressly submits to personal jurisdiction and venue in the federal or state courts in Multnomah County, Oregon.
By becoming a Travesty Candles Affiliate, you are agreeing to all of the above Terms.
